The carrying vessel shall be provided by the sellers. Partialshipment and t

ransshipment are allowed. After loading is completed ，the seller shall not

ify the buyers by cable of the contract number ，name of commodity ，name o

付款条件：Terms of Payment

The Buyers shall open with a acceptable to the Sellers an Irrevocable Sight

Letter of Credit to reach the Sellers 30 days before the month of shipmen

t，valid for negotiation in China until the 15 th day after the month of shi

pment. ( Export )

By Irrevocable Letter of Credit for 90% the total invoice value of the good

s tb be shipped ，in favour of the Sellers ，payable at the issuing bank ag

ainst the Sellers ' draft at sight accompanied by the shipping documents st

ipulated in the Credit. The balance of 10% of the proceeds is to be paid on

ly after the goods have been inspected and approved at the port of destinat ion. ( Import )

ther no tice and to claim aga inst the Buyers for any loss result ing there fr

om.

交货条件：Delivery Terms

Certificates of Quality , Quantity , Weight and Qrigin are required. The B

uyers have the right to have the goods re —in spected by the Guan gzhou Entry ——Exit Inspection and Quarantine Bureau of the People ' s Republic of China

at the prt fo discharge. The releva nt In spect ion Certigficates may serve as

the basis of any claim to be lodged by the Buyers against the Sellers.

检验条款：Commodity In spect ion

It is mutually agreed that he Certificate of Quality and Weight issued by

(eg: China En try-Exit In spect ion and Quara ntine Bureau ) / surv

eyor at the port of shipme nt shall be ( take n as the basis of delivery. ) /

part of the docume nts to be prese nted for n egotiati on un der the releva nt w eight of the

cargo. The re —in spect ion fee shall be borne by the Buyer. The claim with the cargo , if any , shall be lodged to the Seller within

days after arrival of the cargo at the port of desti nati on.

索赔条款：Discrepa ncy and Claim

Any claim by the Buyers regard ing the cargo shall be supported by survey re port issued by a surveyor approved by the Seller and lodged withi n 45 days after the arrival of the cargo at the port of desti naton. The Seller will n ot con sider claims in respect of matters within resp on sibility of in sura nce compa ny or shipp ing compa ny.

Should the Seller fail to make delivery on time , the buyer shall agree to postp one the delivery on the con dit on that the Seller agrees of pay a penal ty which shall be

deducted by the pay ing bank at the time of payme nt. The r ate of pen alty is charged at 0.5%

of the total value of the cargo whose del ivery has bee n delayed for every week , odddays less tha n a week should be

coun ted as a week. But the total amount of pen alty shall not exceed 5% of t he total value of

the cargo in volved in the late delivery .In case the Sell er fail ot make delivery 10 weeks later

than the time of shipment stipulate d on the con tract , the Buyer shall havbe the right to can cel the con tract and the Seller shall still pay the aforesaid pen alty to the Buer without de lay.

Quality / Qua ntity Discrepa ncy and Claim:

In case the quality an d/or qua ntity / weight are found the Buyers to be not in conformity with the Contract after arrival of the goods at the port of destination ，the Buyers may lodge claim with the Sellers supported by surv ey report issued by an inspection

organizaiton agreed upon by both parties with the exception ，however ，of those claims for which the insurance com

pany and/or the shipping company are tobe held responsible. Claim for quali ty discrepancy

should be filed by the Buyers within 30 days after arrival o f the goods at the port of destination

，while for quantity/weight discrepa

ncy claim should be filed by the Buyers within 15days after arrival of the goods at port of destination. The Sellers shall ，within 30 days after rece

ipt of the notification of the claim ，aend reply to the Buyers.

索赔期限：Validity of Claim

The Buyers have the rihgt to lodge claims for all losses sustained within 6

0 days after discharge of the goods at the port of destination.

综合式不可抗力条款：Force Majure

The Seller shall not be held responsible for late delivery or non —delivery of the goods due to flood ，fire ，earthquake ，snowstorm ，drought ，hail storm ，hurricane ，or other events

that are beyond the control of the Selle r. But the Seller shall notify the Buyer by cabel as soon as possible and g ive the Buyer a certificate by6 registered mail issuedd by the China Counci l for the Promotion of International Trade or other competent authorities.

If shipment of the contracted goods is prevented or delayed in whole or in

nt or late shipme nt of the goods un der this Con tract. However , the seller

shall notify the Buyers by fax or telex and furnish the latter within 15 da ys by registered airmail with a certificate issued by the compete nt authori ties at the place of occurre nee attest ing such eve nt or eve nts.

仲裁条款：Arbitrati on 规定在我国仲裁的条款：

All disputes in conn ecti on with or aris ing from the con tract shall be settl

ed amicably through n egotiati on. In case no settleme nt can be reached betwe

en the two parties , the case shall be submitted to the China intermational

Econo mic and Trade Arbitrati on Commissio n , Beiji ng for arbitrait on in acco rdance with its

Rules of Arbitration. The arbitral award is final and bindi ng upon both parties. The arbitration fee shall be borne by the losing par ty uni ess otherwise awarded by the arbitrati on court.

规定在被诉方仲裁的条款：

enthe two parties , the case shall be submitted for arbitration. The locati

on of arbitration shall be in the country of thew domicile of the defendant.

nal Econo mic and Trade Arbitratit on. If in , the arbitrati on s

hall be con ducted by in accorda nee with its arbitral rules. The arbitral award is final and binding upon both parties. The arbitration fees

halll be borne by the los ing paryt uni ess otherwise awarded bythe arbitrati

on court.

This con tract shall be gover ned by the laws of the People ' s Republic of Ch ina.

定金条款：Earn est money

The Buyer shall pay --% of the total value of the cargo by T/T to the Selle

r as the earn est money. In the case that the Buyer fulfilled the obligati on

s in the con tract , the earn est money shall be deducted by the pay ing bank at the time of payme nt. Otherwise the earn est money shall not be retur ned.

In the case that the Seller failed to fulfill any obligati on the the contra

ct , the Seller shall pay twice the earnest money to the Buyer.
