本合同由买卖双方根据以下合同条款所订立。

This contract is made by and between the Buyers and Sellers，whereby the Buyers agree to Buy and the Sellers agree to sell the under mentioned commodity according to the terms and conditions stipulated below：

2. 原产地Country of Origin: Belgium

3. 包装Packing：

必须采用坚固的适合长途空运或陆运防潮、防震、防锈、耐粗暴搬运的包装，由于包装不良所发生的损失及由于未采用充分或不妥善的防护措施而造成的任何锈损，卖方承担由此产生的一切费用或损失。卖方需出有关包装证明，证明该包装材料非针叶树种。

如果包装为木箱包装，则木质包装需经过热处理并在包装上加贴IPPC标志。

To be packed in strong wooden cases or cartons suitable for long distance parcel post／air freight transportation to change of climate，well protected against dampness，moisture，shocks rust and rough handling. The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the Sellers，

and in such cases and all losses and or expenses incur in consequence there of shall be by the Sellers. The package should be made of non-coniferous material and/or the wood package have been treated by high temperature by local organization and marked IPPC label on package.

4．唛头Shipping Mark：

卖方应在每件包装上用不褪色油墨刷写货物名称、件号、尺寸、重量、毛重、净重、此端向上、小心轻放、切勿受潮、等字样并刷有下列唛头：

8．付款条款Payment Terms：

8．1 All payments to be made by the Buyer to the Seller under the Contract shall be made through the Buyer's bank to the Seller’s bank and all payments to be made by the Buyer，if any，shall be made through the Seller's bank to the Buyer’s bank．All documents relative to the aforesaid payments shall be submitted through the respective banks．

8．2 In case the Seller shall pay liquidated damage／compensation to the Buyer，the Buyer shall have the right to deduct such 1iquidated damage／compensation from any payment，which the Buyer shall make to the Seller．

8．3 The total price under the contract shall be paid by the Buyer to the seller according to the following terms and conditions：

100% contract value shall be paid by the Buyer to the Seller by T/T within 5 work days after signed the contract.

100%合同金额于卖方发货前5个工作日内由买方以电汇支付给卖方。

9．装运单据Shipping documents

卖方应于发货后7个工作日内将以下单据以特快专递的方式邮寄买方：（1）全套清洁无疵，注明“运费预付”，空白抬头、空白背书和通知目的地港“已装船”的海运提单；（2）正本发票一式5份（注明合同号和唛头）；（3）正本装箱单一式5 份（注明毛重净重, 尺码和货物每项名称,数量, 合同号, 唛头）；（4）由制造商出具的品质和数量证明书正本各两份；（5）由制造厂出据的原产地证一份；（6）由制造商出具的证明文件一份证明包装原料

非木质包装或证明该木质包装已经过加热除害处理并在木质包装上加贴IPPC标志;（7）通知买方已装船的电报抄件一份。

The Sellers should present the following documents to Buyer by EMS within 7 work days after ship the goods：

(1)Full set of “Clean on Board”Ocean Bill of Lading in original marked “FREIGHT PREPAID”and made out to order, blank endorsed and notifying the Buyer；

(2) Invoice in 5 originals，indicating the contract No. and shipping mark；

(3) Packing list in 5 originals, indicating gross and net weights，measurements， commodity，quantity of each container，contract No．and shipping mark．

(4) Certificate of Quality and Quantity／Weight in 2 originals issued by the manufacture.

(5) Certificate of Origin in 1 original issued by manufacturers or local organization．

(6) One original certificate issued by the manufacturer certifying that the material of package is not made from wood, or certifying that the wood package have been treated by high temperature by local organization and marked IPPC label on package.

(7) Certificate of Shipping Advice by Fax to the Buyer.

10．保险Insurance：由卖方办理（CIF条款）

11．质量保证Quality Guarantee

卖方保证所提供的产品质量良好, 工艺先进, 是全新的优等产品。质保期为设备运至项目地后12个月。

The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship，brand new and unused，and complies in a11 respects with the quality and specification stipulated in this Contract．The guarantee period for the total system shall be l2

months counting from the equipment shipping to the site.

12．迟交货及罚金Late Delivery and Penalty：

除不可抗力的因素外由卖方造成的未按期交货买方有权要求迟交货罚金. 罚金按每七天%计算, 最多不超过合同价的5％为限。

Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception

of Force Majeure, the Buyers have the right to charge late delivery penalty at ％for

every seven days，the total penalty will not exceed 5％ of the total contract value．

13. 检验和索赔Inspection and Claim:

（1）发货前，制造厂应对货物的质量，规格，性能和数量/重量做精密全面的检验，出具检验证明书，并说明检验的技术数据和结论。

The manufacturers shall, before delivery, make a precise and comprehensive

inspection of the goods in regard to the quality specification, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection.

（2）货到项目地后，买方将申请中国出入境检验检疫局（以下简称商检局）对货物的规格和数量/重量进行复检，如发现货物残损或规格，或/和数量与合同规定不符，除保险公司或轮船公司的责任外，买方在货物到达项目地后60日内凭商检局出具的检验证明书向卖方索赔或拒收该货物。

After arrival of the goods at the site the Buyers shall apply to the China Inspection & Quarantine Bureau (hereinafter referred to as CIQ) for a further inspection in respect of the specifications and quantity/weight of the goods.

If damages of the goods are found, or the specification and /or quantity are not in conformity with the stipulations of this Contract, except when the responsibilities lie with Insurance Company or Shipping Company, the Buyers shall within 90 days after arrival of the gods at the site, claim against the Sellers, or reject the goods according to the inspection certificates issued by CIQ.

（3）在保证期限内，如货物由于设计或制造上的缺陷而发生损坏或/和品质，性能与合同规定不符时，买方将委托中国出入境检验检疫局进行检验，并凭其检验证明书向卖方提出索赔（包括换货），由此产生的全部费用应由卖方承担。

In case of damages of the goods incurred due to the design or manufacture defects and / or the quality and performance are not in conformity with the Contract, the Buyers shall, during the guarantee period, request CIQ to make a survey and shall make a claim against the Sellers (including replacement of the goods) and all the expenses incurred, therefrom shall be borne by the Sellers.（4）若卖方收到上述索赔后三十天内未予答复，则认为卖方已接受上述索赔。

The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after the Sellers receive the Buyers’ claim.

14．不可抗力Force Majeure：

由于人力不可抗拒事故，卖方交货推迟或不能交货时责任不在卖方。但卖方应将事故立即通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的证明书航空邮寄交给买方为凭，并取得买方认可。在上述情况下卖方仍有责任采取一切必要措施加快交货。

The Sellers will not be held responsible for any delay in delivery of the goods due to force

majeure. However，the Sellers shall advise the Buyers immediately of such occurrence and

within fourteen days thereafter，shall send by airmail to the Buyers for their acceptance a

certificate issued by the competent government authorities of the place where the accident

occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the

obligation to take all necessary measures to hasten the delivery of the

equipment.

15．仲裁Arbitration：

凡有关本合同或执行合同所发生的一切争执，应通过友好协商解决，不能解决则应申请中国国际贸易促进委员会对外贸易仲裁委员会按照中国国际贸易促进委员会对外贸易仲裁委员会的仲裁程序进行仲裁。该委员会作出的裁决是最终的，仲裁费由败诉方承担.

A11 disputes in connection with this contract or the execution thereof shall be settled through

friendly negotiations．In case no settlement can be reach through negotiations，the case

should then be submitted for arbitration to the foreign trade arbitration commission of the

China Council for the Promotion of International Trade Beijing，in accordance with the

“Provisional Rules of Procedure of the Foreign Trade"．The decision rendered by the said

commission shall be the flnal．The arbitration fees shall be borne by the losing party．
