经买卖双方确认根据下列条款订立合同：

Remarks: The invoice is part of the contract and has the same force of law

2.包装：纸箱包装，如因不当包装引起商品损害，责任应由卖方承担。

rough handling will be on the Seller's responsibility

6.交货期和地点：收到定金后7-10个工作日交货。交货地址：强达光电有限公司厂房

7.付款条件：买方在发货前付清尾款

8.单据：卖方应将下列单据要求付货款。

Documents : The documents for payment from the Seller

（1）标有合同号发票一式贰份。（2）装箱单或重量单一式贰份。

9.装运条款：卖方须按时在装运期限内将货物由装运口岸装运。装载车辆不得悬挂买方不能接受的旗帜。

Term of shipment: The seller must arrange the shipment as per the confirmation and departure from

the port on time. No flag which unacceptable to the buyer hung on the truck

10.装船通知：装运前2天，卖方应电告买方合约号、品名、已装载数量、发票价值、毛重、车牌号及启程日期等。

Shipping Notice: The seller should notify the buyer, the contract No, Goods description,

Shipment QTY, Invoice value, Gross weight, Truck tag No and Departure date, 2 days before the shipment

11.人力不可抗拒：如在制作过程中或运输中发生不可抗拒因素，致使货物推迟装运或不能承交，卖方将不负担责任。卖方

应将上述发生的情况及时通知买方。并在此后的14天内将事故发生所在地政府主管部门开具的事故证明书空邮买方，以便买方承认。然而，在这种情况下，卖方仍然有义务采取一切必要措施加速货物承交。如果事故延续至10个星期以上，买方有权取消合同。

The seller will not be responsible for any delay of shipment or unable to deliver if

any Force Majeure happens during prodcution or transportation,The seller must keep the buyer

informed and send the accident certificate issued by the local government by airmail within

14 days. Under such circumstances the seller still have the responsibility to expedite the

process for early dilivery. The buyer reserve the right to cancell the contract provided the

delay is over 10 weeks

12.仲裁：因执行本合同所发生的或者与本合同有关的一切争执，由签约方友好协商解决，如签约方经协商后尚不能解决时，得提交中国国际经济贸易促进会促裁委员会深圳分会仲裁。仲裁委员会的裁决是最终决定，签约双方都应服从。

仲裁费用败诉方负担。仲裁也可在双方同意的第三国进行。

Arbitration : For any dispute on this contract or those related to this contract, both parties

should negotiate the settlement, or they can submmit to arbitration to the board of arbitration

of China International Economic and Trade Promotion Council ShenZhen Branch. The adjudication from

The arbitration fee will be on the account of the losing party. The arbitration can be carried

out in the 3rd country that agreed by both parties.
