1. Interpretation解释
1.1 In these Conditions: 在这些条件下：
‘charges’ means the fees, charges and expenses for the Specified Services as set
out in the Order

‘the Conditions’ means the standard conditions of purchase set out in this document

‘Input Material’ means any documents, materials, elements of text, images, graphics,
designs, photographs and any data or other information provided by the

‘Order’ means the Client’s purchase order to which these Conditions are annexed “定单” 指符合这些条款的客户购买定单
‘Output Material’ means any documents, transcripts, translations, materials, elements of
text, images, graphics, designs, photographs and any data or other
information provided by the Company to the Client relating to the
Specified Services

‘Specified Services’ means the services to be provided by the Company to the Client and
referred to in the Order

2.2 The headings in these conditions are for convenience only and shall not affect their
interpretation

2.3 Unless the context otherwise requires words importing one gender include all other genders and

2. Basis of sale 销售的总则
1.1 The Company shall provide the Specified Services to the Client subject to these Conditions. Any
changes or additions to the Specified Services or these Conditions must be agreed in writing by the Company and the Client
公司应遵照这些条款向客户提供特定的服务。对特定服务或这些条款的任何改变或增加都必须经过公司和客户的书面同意。
1.2 These Conditions shall apply to the Contract to the exclusion of any other terms and conditions
on which any quotation has been given to the Client or subject to which the Order is accepted or purported to be accepted by the Company.
这些条款应适用于所定合同，除非公司向客户报价时另提出其它条款，或者公司接受定单时或据说接受定单时提出的其它条款和条件。
1.3 The Client shall at its own expense supply the Company with all necessary Input Material within
sufficient time to enable the Company to provide the Specified Services in accordance with the Contract. The Client shall ensure the accuracy of all Input Material

2.4 The Client shall at its own expense retain duplicate copies of all Input Material and insure
against its accidental loss or damage. The Company shall have no liability for any such loss or damage however caused. All Output Material shall be at the sole risk of the Client from the time of delivery to the Client

6.6 The Specified Services shall be provided in accordance with the Order and otherwise in
accordance with the Company’s current brochure or other published literature relating to the Specified Services from time to time but subject to these Conditions
特定服务的提供应符合定单要求，另外还应与公司目前的小册子或不定时出版的、与特定服务有关的其它印刷品内容相符，但应以这些条款为准。
6.7 The Company may correct any typographical or other errors or omissions in any brochure or other
published literature relating to the provision of the Specified Services without any liability to the Client
公司保留纠正小册子或其它与特定服务有关的出版印刷品中的排字或其它错误或遗漏的权利，不对客户负任何法律责任。
2.8 The Company may at any time without notifying the Client make any changes to the Specified
Services which are necessary to comply with statutory requirements or which do not materially affect the nature or quality of the Specified Services
公司可随时在未通知客户的情况下，为符合法定要求对特定服务做任何必需的改变，或做对特定服务的性质或质量没有重大影响的任何改变。
3. Charges服务收费
1.1 Verbal quotations are given for guidance only, they are not binding upon the Company and are
subject to written confirmation in the Order on receipt of the Input Material.
口头报价只作为参考，对公司没有约束力，应以收到输入材料后所签发的书面定单确认为准。
1.2 The Charges, unless otherwise so stated, shall be exclusive of:
除非另有规定，服务收费不含：
3.2.1 any applicable value added tax;

1.1.1 all charges for delivery of the Output Material to the Delivery Address.

1.1.2 any adaption or amendment to the Output Material previously supplied by the Company to
suit a new purpose

1.1.3 preparing and sending additional copies in any form of any Output Material to the
Client

1.1.4 making multiple photocopies of any Output Material or sending multiple facsimile messages
within the United Kingdom and for the purpose of interpreting
this clause the word "multiple" shall mean more than two

1.1.5 sending facsimile messages overseas

1.1.6 proof reading of any Output Material prepared by the Company by a native speaker other
than the original translator

4. Terms of payment 报酬条款
1.1 Unless otherwise stated in the Order, the final payment shall become due and payable to
the Company 30 days after the date of the invoice issued upon completion of the Specified Services
除非定单另有说明，报酬应在特定服务完成后发票开具日期起的30天内付给公司。
1.2 Subject to the provisions of the Order if the provision of the Specified Services takes longer
than 3 months to complete the Company shall be entitled to invoice the Client at monthly intervals for such part of the total price payable for the completed Specified Services as the Company in its absolute discretion thinks fit
按照定单规定，如果所提供的特定服务需要超过三个月的时间来完成，公司应有权每个月按特定服务已完成部分按总价格比例向客户开具发票。
1.3 The Client shall pay any additional Charges which are agreed between the Company and the
Client for the provision of the Specified Services 30 days after completion of the Specified Services and the Client shall also pay such additional Charges which are in the Company's sole discretion required as a result of the Client's instructions or lack of instructions, delay in providing or the inaccuracy of any Input Material or any other cause attributable to the Client

1.4 If payment is not made on the due date the Company shall be entitled to charge interest on the
amount outstanding at the rate of 7% above the base lending rate from time to time of Barclays Bank Plc from the due date until the outstanding amount is paid in full
如果报酬未能按时支付，公司应有权按照超过巴克莱银行变动基本贷款利率7%的利率对拖付款额收取利息，从应付款之日算起，至拖付款全部付清为止。
1.5 If payment remains overdue for more than 21 days the Company reserves the right to withhold the
provision of the Specified Services until payment of all outstanding Charges and interest is made. Such withholding does not relieve the Client of its obligation to pay any outstanding Charges and interest
如果应付款项拖欠超过21天，公司保留暂缓提供特定服务的权利，直到拖欠付款和利息全部付清。这样的暂缓并不减免客户支付任何拖欠付款和利息的义务。
1.6 The Client shall be liable for and shall indemnify the Company against all costs and expenses
incurred by the Company in respect of any steps, actions or proceedings made or brought against the Client by the Company to obtain payment of outstanding Charges and interest
客户应负责赔偿公司为追索拖欠付款和利息而对客户采取的任何步骤、行动或程序所造成的所有费用。
1.7 All payments must be in U.K. pounds sterling unless otherwise agreed in writing
除非另有书面协议，所有付款应以英国英镑支付。
5. Delivery交付
4.4 The Output Material shall be delivered to the Delivery Address on the date or within the period
stated in the Order.
输出材料应在定单所规定日期或时期内交到交付地址。
4.5 Delivery shall be deemed to be made on posting, faxing or electronic delivery to a carrier,
as the case may be, and the risk shall pass to the Client.
根据实际情况，邮寄出、传真出或电子传送至运送者即视为交付完成，其后可能发生的风险由客户承担。
3.3 Where a delivery date is a material part of the Contract this shall be stated in the Order
and time for delivery shall not be of the essence unless this is specifically stated in the Order
如果交付日期是合同中的重要部分，则应在定单中作出规定。除非定单中有明确的规定，否则交付的时间不应作为重要因素。
3.4 If in order to meet the delivery requirements of the Contract it is necessary to sub-contract
all or any part of the Specified Services the Company shall have an absolute right to sub-contract to a person of its choice without further notice to the Client and the Client shall pay any additional Charges incurred by the Company as a result

3.5 Where time is of the essence as provided by clause 5.3 hereof any special arrangements and the
Charges for these for the collection and delivery of the Output Material shall be specified in the Order

3.6 Where time is of the essence as provided by clause 5.3 hereof and if the Company fails to
provide the Specified Services on or before the agreed delivery date or if appropriate the agreed delivery time the Client shall be entitled to a refund in full or in part as may be agreed between the Company and the Client and the Company shall be entitled to require the immediate return of the Output Material in full or in part as is appropriate to the circumstances of the case

6. Warranties and liability保证和义务
1.1 The Company warrants with the Client that the Specified Services will be provided using
reasonable care and skill and as far as reasonably possible in accordance with the Order and at the intervals and within the times referred to therein
公司向客户保证，将以适当的认真态度和工作技能、并尽一切可行的能力，按照定单要求及其规定的时间
间隔和所规定时间内提供特定服务。
1.2 Where under the Order the Specified Services are to be supplied by the Company in stages the
Client agrees to sign off any work which it finds satisfactory. Such signed off work will be deemed to be accepted and approved by the Client and to meet the obligations of the Company to the Client with regard thereto. If the Client has not given written notice to the Company that Output Material is not satisfactory within 10 working days of the delivery to the Client of such Output Material the Client shall be deemed to have accepted and approved such Output Material and to have signed off the same and the Company shall have no liability for any defect in the quality of the Specified Services or their failure to correspond with the Order and the Client shall be bound to pay the Charges as if the Specified Services had been supplied in accordance with the Contract
如果定单规定公司提供的特定服务将分期进行，客户同意签字以示接受令其满意的部分服务。这样签字通过的服务将被视为得到客户的接受和认可、并完成了公司对客户应尽的有关义务。如果客户在输出材料交付10天内没有书面通知公司其对输出材料不满意，客户应被视为已接受和认可这些输出材料并对其签字通过，公司将不继续为特定服务中的任何质量问题或与定单要求不符之处负责，客户应按照特定服务已符合定单要求的情况支付费用。
1.3 Where any claim in respect of any Specified Services which is based upon any defect in the
quality of the Specified Services or in their failure to correspond with an Order is notified to the Company in accordance with these Conditions the Company shall be entitled to re-perform the Specified Services free of charge or at the Company’s discretion to refund the Charge for the Specified Services in whole or in part but the Company shall have no further liability to the Client
如果客户按照这些条款向公司提出任何特定服务有质量问题或与定单要求不符，公司应有权免费重新完成此特定服务，或由公司决定退还特定服务的全部或部分收费，但公司对客户没有任何其它义务。
1.4 The Company shall have no liability to the Client for any loss, damage, costs, expenses or
other claims for compensation arising from any Input Material or instructions supplied by the Client which are incomplete, incorrect, inaccurate, ambiguous, illegible, out of sequence or in the wrong order or arising from their late arrival or non-arrival or any other fault of the Client
公司对因客户提供的输入材料或指示不完整、不正确、不准确、不明确、字迹模糊、无顺序或次序错误、迟交或不交，或因客户其它过错引起的损失、损害、开支、费用或其它赔偿要求概不负责。
1.5 The Company will endeavour to produce an accurate and idiomatic translation of the Input
Material, the Client accepts that the Company is not providing the skills of a copywriter and
a translation may read differently from good original writing and no liability is accepted by
the Company for any loss arising therefrom.
公司将尽力制作出准确的、符合语言习惯的输入材料译文，客户应接受公司并不能提供象广告文编写人那样的文字表达技能，译文读起来可能会与良好的原文表达有所不同，公司对由此造成的任何损失概不负责。
1.6 In the event of use of the Output Material by the Client for a purpose other than for which
it was supplied the Client shall not be entitled to any compensation by the Company, and the Client shall indemnify the Company against any loss arising as a result to the Company, in goodwill, or otherwise
如果客户欲采用与原目的不同的目的使用原先提供的输出材料，没有权利要求公司作任何赔偿，而且客户应赔偿公司在名誉或其它方面因此蒙受的任何损失。
1.7 It is the Client’s responsibility to provide a glossary or other reference document for
industry specific terminology preferences at the time the project is submitted for translation.
In the absence of such a document, all translations are performed according to the word definition provided in standard language dictionaries
在提交翻译项目时，客户有责任提供术语表或其它参考文献作为使用行业特定术语的参考。如果没有这样的文献，所有译文将根据标准语言词典提供的定义来翻译。
1.8 Except in the case of death or personal injury the Company's total liability to the Client
whether for negligence, breach of contract or otherwise shall in no circumstances exceed the Charges. The Company accepts no liability of whatever nature arising as a result of any representations, breach of contract, negligence or otherwise including but not limited to any
liability for indirect or consequential loss, loss or corruption of data, or loss of profits, revenue, business or goodwill. All conditions, warranties, guarantees and representations, express or implied, by statute, common law or otherwise in relation to the Specified Services (other than any liability which the Company is not permitted by law to exclude or restrict) are hereby excluded to the fullest extent permitted by law.
除有人员伤亡的情况外，公司因疏忽、违约或其它原因对客户所负全部责任的赔偿不超过收费金额。公司不承担因任何表现形式、违约、疏忽或其它原因造成的任何性质的责任，包括但不仅限于间接的或由此引起的损失、资料的丢失或残缺、或者利润、收入、业务或名誉的损失。所有明确的或含蓄的、按法令、习惯法规定的、或其它与特定服务有关的条款、保证、担保和代表（除法律不允许公司排除拒绝或限制的任何责任之外）由此尽法律允许的最大范围排除在外。
1.9 The Company shall not be liable for any failure in the performance of its obligation under the
Contract caused by factors or circumstances outside of its control including but not limited to any act of God, war, strike, lockout, industrial action, flood, drought, storm or other event beyond the Company's control.
因公司无法控制的因素或情况——包括但不仅限于不可抗拒的力量、战争、罢工、停工、劳工行动、洪水、干旱、暴风雨或其它公司无法控制的事件——造成公司未能按合同要求履行其义务时，公司不会被追究责任。
1.10 Any advice or recommendation given by the Company or its employees or agents to the Client
as to the application or use of any Output Material which is not confirmed in writing by the Company is followed or acted upon entirely at the Client's own risk and accordingly the Company shall not be liable for any such advice or recommendation which is not so confirmed
如果公司或其职员或代理人对客户提出未经公司书面确定的有关输出材料应用或使用的建议，且客户接受了建议并采取行动，则客户应自己承担全部风险。公司对这些尚未确定的任何建议或推荐概不负责。
6.11 In respect of translating and/or proof reading and/or typesetting and/or other associated
services typewritten Output Material should be proof read by a native speaker other than the original translator prior to publication and after typesetting and/or printing. Except where the Company is required to provide proof reading services under the terms of the Order the Company accepts no liability whatsoever for Output Material which is not proof read as provided by this clause
翻译和（或）校读和（或）排版和（或）其它相关服务，打出的输出材料在出版之前和排版和（或）印刷之后应由原翻译者之外的另一位母语使用者进行校读。除非定单条款中要求公司提供校读，否则公司对不受此校读条款限制的输出材料概不负责。
7. Termination终止
1.1 Either Party may (without limiting any other remedy) at any time terminate the Contract by
giving written notice to the other if the other commits any breach of these Conditions and (if capable of remedy) fails to remedy the breach within 30 days after being required by written notice to do so, or if the other goes into liquidation, or(or in the case of an individual or firm) becomes bankrupt,makes a voluntary arrangement with its creditors or has a receiver or administrator appointed
如果合同一方有任何违背合同条款行为，（在有能力补救的情况下），收到书面补救要求通知30天之内（在有能力补救的情况下）没有采取补救措施，合同任一方可以（无需放弃任何其它补救要求）随时书面通知对方终止合同，或者如果对方被清盘算或（作为个人或公司）导致破产，应与债权人签定自愿的协议或指定破产案产业管理人接受者或执行管理者。
1.2 In the event that the Contract is terminated the Client shall pay to the Company a proportionate
sum for the Specified Services as carried out up to the date of termination on the basis of time incurred and materials used

8 Title and Ownership所有权
1.1 All right, title and interest in and to the Input Materials and any and all patent rights,
copyright, know-how, and trade secrets (subject to any such rights of any third party) belong
to or continue to belong to the Client
输入材料的一切权利、所有权和权益以及任何和一切专利权、版权、知识和商业秘密（在不考虑第三方是否拥有任何这些权利时）属于或继续属于客户。
1.2 The Client warrants that any Input Material and its use by the Company for the purpose of
providing the Specified Services will not infringe the copyright or other rights of any third party and the Client shall indemnify the Company against any loss, damages, costs, expenses or other claims arising from any such infringement

1.3 All right, title and interest in and to the Output Material and any and all patent
rights, copyright, know-how, and trade secrets therein are and remain the sole and
exclusive property of Client. Notwithstanding the above, the Client acknowledges that the
Company is the sole and exclusive owner of all right, title, and interest in and to all

1.5.1 methodology, information, software, and databases used in translating the Input Material, and

8.3.2 inventions, methodology, innovations, know-how, and databases developed by the Company
in the course of translating the Input Material, including any and all patent rights, copyrights, know-how, and trade secrets therein

1.6 The Output Material and copyright, know-how and trade secrets therein shall remain the property
(but not the risk) of the Company until the Company shall have been paid in full for such Output Material

9 Confidentiality保密性
Any Input Material or other information provided by the Client which is so designated by the Client and any Output Material shall be kept confidential by the Company but the foregoing shall not apply to anything which is public knowledge at the time when it is so provided and shall cease to apply if at any future time it becomes public knowledge through no default of the Company
对客户提供的、并经客户指定的任何输入材料或其它资讯，以及输出材料，公司应保持其机密性，但上述要求不适用于在提供之时已经众所周知的任何内容，以及在将来不是因公司违约而造成其众所周知时，保密要求应停止。
10 Non-solicitation不可雇用规定
The Client during the term of the Specified Services and for a period of six months after expiry or termination shall not solicit the Company抯' employees, partners or sub-contractors who have been employed or engaged in the provision of the Specified Services. For the purposes of this clause "solicit" means the soliciting of such person with a view to engaging such person as an employee, director, partner, sub-contractor or independent contractor
客户在特定服务期间和服务完成或终止后六个月内，不应雇用曾参与特定服务工作的公司职员、合作者或转包合同者。为方便此条款，“雇用”意指聘请这些人员作为雇员、主管、合作伙伴、转包合同者或独立的签订合同者。
11 General一般条款
1.1 Any notice required or permitted to be given by either party to the other under these Conditions
shall be in writing addressed to that other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to this provision to the party giving the notice.
由任何一方按照合同条款要求或许可给予另一方的通知，都应以书面形式，写明公司所注册的地址或主要商业场所地址或者是由对方特此提供的在相关时间内的其它地址。
1.2 If any provision of these Conditions is held by any court or competent authority to be invalid
or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected thereby.
如果合同条款中的规定被法庭或相关的权利机构视为全部或部分无效、或不可执行，这些条款中的无效部分不应影响其它部分及其它条款的有效性。
1.3 The Contract shall be governed by the laws of England, and the parties submit to the exclusive
jurisdiction of the English Courts.
合同应遵照英格兰法律，合同各方应只服从英国法庭。
1.4 In providing the Specified Services the Company is acting as an independent contractor and is
not acting as an employee of the Client
在提供特定服务时，公司作为独立的合同商，而不是客户的雇员。
1.5 These Conditions (together with the terms if any set out in the Order) constitute the entire
agreement between the parties supersede any previous agreement or understanding and may not be varied except in writing between the parties. All other terms and conditions express or implied by statute or otherwise are excluded to the fullest extent permitted by law

6.6 Neither party may assign, transfer or in any way make over any of its rights or obligations to
any third party without the written consent of the other party

6.7 No failure or delay by either party in exercising any of its rights under the Contract shall
be deemed to be a waiver of that right and no waiver by either party of any breach of the Contract by the other shall be considered as a waiver of any subsequent breach of the same or any other provision
任何一方推迟或暂不行使其根据合同应有的权利不应视为放弃追究该权利，并且，任何一方放弃追究对方违约责任不应视为其继续放弃对任何随后发生的同类或其它违约的责任追究。
