Warra nties: Seller warra nts that at the time of delivery (1) product is free and clear of all lie ns, en cumbra nces and security in terests; and (2) product complies with seller ' s published specifications (or as otherwise refereneed in the con tract). Seller makes no other warra nty or guara ntee of any kind, express or implied, i ncludi ng without limitati on implied warra nties of fit ness for a particular purpose or mercha ntability.

Buyer shall in spect the product supplies here un der immediately after delivery. Except with respect to claims for shortages, buyer ' s failure to give notice to seller of any claim with in 30 days after the date of delivery shall con stitute unq ualified accepta nee of the product and a waiver by buyer of all claims with respect thereto. 在交付后，买方应就以下方面立即检验供应产品。除了关于货物短缺的索赔，在交付日期之后三十天内，买方如果没有给卖方任何关于索赔的通知，买方将被视为产品的无条件承兑和与就此相关所有条款的放弃。

Claims for shortages must be received by seller in writi ng withi n forty-eight(48) hours after delivery of products. Seller shall be give n a reas on able opport un ity to in spect any shipme nt claimed by buyer to contain a shortage.

Any technical advice furnished or recommendation made by seller or its represe ntative concerning any use or applicati on of any product is believed to be reliable but seller makes no warranty, either express or implied, as to its accuracy or complete ness or of the results to be obta in ed. With regard to any han dli ng of any product, buyer assumes full resp on sibility tor quality con trol, testi ng and determ in atio n of suitability of product for its inten ded applicati on or use.

7. Intellectual Property. Seller warrants that the process or processes of manufacture of the product and the product itself do not infringe any valid U.S. pate nts.

Since seller has no con trol over buyer's (or others') process ing, sale, use, or disposition of any Product (or any product containing Product), including, without limitation, the admixing, reacting or combining of any Product with other products, chemicals or materials, Buyer assumes the entire liability and responsibility therefor and agrees to defend, indemnify and hold harmless Seller from and aga inst all

claims aris ing out of or related to infrin geme nt of any third party ' s intellectual property rights, patents on processes practiced by Buyer or pate nts on products made by Buyer.

7. 知识产权，卖方须担保产品的工艺，加工过程以及产品本身不违反美国的专利法律?

由于卖方无权控制买方对任何产品（或者包含该产品的产品）的加工，销售，使用或处理，包括但不限于与其他产品，化学物品或材料进行的化学或物理反应，因此，买方在其产品加工或制作的过程中应避免违反任何第三方知识产权或专利权的条款，并就保护，赔偿和使卖方受损负有完全法律责任。

8. Limitation of Liability. Seller total liability and buyer ' s exclusive remedy for any cause of action associated with the con tract, whether based in tort, con tract, strict liability or any other legal theory is expressly limited to replaceme nt of noncon forma nee product or payme nt in an amount not to exceed the purchase price of the specific product for which damages are claimed, at seller' s opinion. In no eve nt shall seller be liable for any other damages in cludi ng, without limitatio n, in cide ntal, special, pun itive or consequential damages, such excluded incidental, consequential or special damages in clude loss of profits, loss of product ion, I oss of use, or any other

in direct damage or loss of any kind or character to buyer, its customers, or other pers ons or en tities. Any attempt to remedy or correct a claimed defect by pers ons or en tities not authorized to perform such work by seller or con ti nued use of such product shall void the product warranty set forth in section 6（2） above and buyer is deemed to have accepted the product as is , with no further obligati on of seller to buyer. If requested by seller, buyer shall retur n the nonconforming product to seller strictly in accordanee with seller' s written in structi ons concerning shipp ing, han dli ng, in sura nee and other matters as to which seller issues instructions failure to comply with these provisions shall in validate any claim by buyer for breach of warra nty.

8责任限制
