1Payment Terms : C.O.D.

From Monday to Fridays (except Public Holidays), 0900 to 1700.

There will be additional charges outside office hours. For non-working days, it will be

charged as 2 times of the standard rate, and for non-office hours on a working day, it will

be charged as 1.5 times of the standard rate. All services are charged on actual time and

material basis.

4Warranty Period :12 months after delivery. After expiry of warranty, annual maintenance will be charged

XX% on current list price.

or12 months after installation. After expiry of warranty, annual maintenance will be charged

XX% on current list price.

5Standard Rate of All services are charged on time & material basis and minimum charge is 0.5 man-day Services :or thereafter

Working days (office hours) : RMBxxx with min. charges of four hours (standard rate)

Working days (non-office hours) : 1.5 times of the standard rate

Non-working days : 2 times of the standard rate

If any delay of the project is due to (customer), XXX will do our best endeavour to meet

(customer's) service schedule from the second to fourth month of the originally agreed

project schedule. Beyond the fourth month of the said delay, XXX reserves the right

to revise the consultant rate stipulated in this contract.

6Out of Shanghai In the event that customer shall require our staff to perform the services outside XXX Traveling :Shanghai Branch, the customer shall bear all costs relating to the provision of the services

by our staff including but not limited to full costs of airfares, meals , out-of-pocket expenses,

accommodation and in-land transportation to and from their accommodation to the work

site. Traveling time is considered billable time from the consultants home to the customer

site billed at 50% of the consultant's rate.

7Interest for Late Interest will be charged on overdue amount at 2% per month

Payment:

8Order Cancellation Penalty for order cancellation will be 20% of the total contract value

9Remarks :Please refers to the terms & conditions of Hardware Maintenance Contract or

Software Maintenance Contract, etc.

or Due to reasons of the customer, customer shall be responsible if delay in delivery of goods exceeds the validity of the quotation or contract and hence results in any increase in price.
