9.1 首付款

卖方可以凭以下单据议付信用证下９5% CIF货款金额：

(2） CCＩC或SＧS的货物商检证,质量证明要显示该合同中所要求的所有实际数据。

（3)船运公司的船运单证,清洁装船提单，要求三正三副，空白背书，显示“运费按照租船合同”或“运费预付”,通知申请人。

最终发票以中国签发的ＣIQ为依据,最终5%付款在ＣIQ检测证明在卸货完毕的60天
内提供。如果该单据不能在60天内发给卖方，装货港的检测报告将作为最终发票的
依据。

10.价格的调整和拒收:

锰的含量基于４5%,调价如下:

10．1.锰的含量低于4５%时,其含量每低1%基础价减USD５；锰的含量高于45％时, 其含量每高１%基础价增加USＤ５；锰的含量低于42%时,买方有权拒收。

１０.２.铁的含量超过９％时，其含量每超过1％基础价减ＵSＤ1.5,其含量超过11%时拒收或价格另议。
10.2 Tｈe bａｓe pｒｉce ｓｈａll be dｅcreased by USD 1.５as per Claｕsｅ2ｆoｒ
eａch １%Fe per DMT in casｅoｆFｅａboｖe 9%, ｆractions ｐｒo－rata. When Fe aｂove 11%, bｕyer can rejｅｃt the goｏｄｓor reｎegotｉate the pｒice．
１０．3.磷的含量超过0.１0%时,其含量每超过0.01％基础价减ＵSD2，其含量超过0.15%时拒收或价格另议。

10.４.硫的含量超过0.1０%时,其含量每超过0.01%基础价减ＵＳD1.５，其含量超过０．15%
时拒收或价格另议。

10.５．二氧化硅的含量以9.0%为基准，其含量每超过1%基础价减ＵSＤ1.５，超过１2％
时拒收或价格另议。

１０．6．三氧化二铝的含量以３%为基准,其含量每超过１%基础价减UＳD１.5,超过５％时拒收或价格另议。

10．７水分含量以８.０％为基准,其含量每超过１%基础价减ＵSD2．7,超过12%时拒收或价格另议。

11.品质检测：
11. The deｔerｍiｎａtｉｏｎof qualｉｔy
1１.1．卖方在装运时应提供装运港CCIＣ或ＳＧＳ检验机构出具的对所装运货物的检测证明书。同时进行封样，共４份,以备复核。

１1．2.四份封样中，买卖双方各执一份，一份由ＣＣIC或SGS留存备复,一份由CＣIＣ或SGS 进行检测。检测费用由卖方承担。
11.2. Ｉnｔhｅｆｏur loｔoｆsａｍpｌe,bｕｙer anｄｓｅｌlｅr ｓhaｌl ｅ
ach kｅep oｎe lｏｔ; one lot shａlｌｂe kept bｙtheＣCIＣoｒSGS and one
lot shａｌｌbe tｅsted ｂy the CCIC or ＳＧS. Ｔｈe ｔｅｓt feeｓhall be ｂ
ｏrne by thｅsellｅr.
11.３.该CＣIC或ＳＧS的检测证明交2/3随同卖方的商业发票,装箱单等单据一同作为买
方在付款时的议价单据。同时卖方在货物装运后的7个工作日内，以书面形式将检测
证明书及商业发票的金额通知买方。

11.4买方在卸货港对运抵货物会同CIQ进行取样检测,检测费由买方承担。

oｄs iｎｔhe dischargiｎｇporｔand ｔhｅｔesting fｅe shaｌl be borｎe by tｈｅbuyer.
１1.5.ＣIQ对货物样品的品质成份及水份的检测证明书将作为买方的最终付款依据。
11.5 The quａlity and the moisｔurｅconｔent shown on tｈe CIQ test ｒeport will
ｂe the basis of ｔhe fｉｎal paｙment.
1２．在装运港的所有税费由卖方承担。在卸货港的所有税费由买方承担。

１３.法律与仲裁:
13. ＡRBITRAＴＩOＮ
双方签订合同后应严格遵守执行。如有争议，双方应友好协商。如在15天内不能达成共识应依新加坡仲裁法进行裁决,仲裁地点为新加坡,仲裁委员的裁决为最终裁决,仲裁费用由败诉方承担。

partｉｅs ouｔof or relatiｎg toｔhe constｒuctioｎ, meａｎｉng and oｐera ｔｉoｎor ｅffect ｏｆthｉｓcoｎtractｏr thｅｂreaｃh thｅreof shaｌl be sｅｔtleｄt hroｕｇｈfrｉｅndly ｎｅgoｔiatioｎs.In cａｓe nｏｓeｔtlｅmｅnt ｃaｎｂeｒｅaｃｈed wiｔhｉn15dａｙs，tｈｅdisputes s ｈａll bｅｓuｂmittｅd fｏr arbitｒation to ｔhｅArbｉｔraｔioｎｉｎSｉnga ｐoｒe aｓpｅr ICC rulｅs ｏｆＣonｃｉｌiation aｎd ａrbiｔrａtion (ｌatesｔedｉtion) anｄtｈe awaｒd made iｎｐuｒsuaｎce tｈｅrｅof shaｌｌbe binｄinｇｏn thｅpaｒties. Ｔhe venue of ａrbitｒａtion prｏceｅｄings will ｂe Singａpｏｒe.Ｔhe ＤecisioｎoｆthｅArbitraｔion Commｉｓsion sｈ
ａll be final aｎd ｂiｎdｉng ｕpon both ｐaｒtiesｎeitｈerｐaｒty shall
seeｋrecoｕrｓｅto a ｌaｗcourt or other aｕthoriｔｉeｓfｏr revising
the decｉsiｏn.Ｔhe aｒbiｔrａtion fee shaｌl bｅborne byｔhe lｏsing pa ｒty.
１４.违约：
１4. Bｒｅacｈoｆthe conｔｒａct
通过传真或电子邮件扫描件签章订立本合同后,双方应遵守此合同。合同传真件或
电子邮件扫描件效力等同于原件。违约的一方应付合同总金额的2%的罚金。
Afｔer ｓｉｇniｎg thｅcｏntracｔｏｆthisｃontract bｙFａx ｏr E－
mail,ｂoth paｒtieｓshall ｐerfｏrm ｔｈｉs cｏntract. The legal eｆfｅ
ct of the agreｅment ｍaｄｅby fax or ｓcａｎned E-mail is the same
ａｓｔhｅoｒigiｎal conｔrａct.Ａny ｐarty who ｂreaｃｈtｈｉｓc
ｏｎtract shall pａy2% ｔotal value ｏf thｉｓｃonｔact to theｏｔher
paｒty.
１5．延迟交货及付款
PENＡＬTＹＦOＲDEＬAYＥD DEＬＩVＥRY
如卖方在合同规定的装运日期延迟5天并没有任何解释,买方有权解除合同。除非
卖方得到买方的书面确认,双方就延迟交付时间达成一致，卖方可继续履行合同。
在未经买方书面同意的情况下,卖方未按时交付的货物,将被处以未交付货物价值
０.5%（每天)的罚款，总罚款不得超过未交付货物价值的2%。
Should the Selleｒfaiｌto efｆecｔdeliveｒy on time wｉthｉｎ５dａｙｓaftｅr tｈe latesｔｓhｉpｍenｔtime as stipｕlated in ｔｈiｓconｔract ｗithout ａny eｘplanation,thｅbｕyer has the righｔｔo canｃeｌｔhis con ｔｒaｃｔ. Onｌy when the both pａrtiｅs make an ａgreement on ｔｈe delay of deliverｙｉｎwｒiting foｒm, selｌer can coｎtinue to pｅrfｏｒm the cont ｒact. Ｗiｔhout tｈeａgreemeｎｔfrom ｂuｙｅr in writing fｏrｍ, thｅｓe ｌlｅr may ｐostpone delｉvery to the buｙｅｒｏn paymenｔof pｅnalty to the buyers. Ｐeｎalty shall ｂe chａrgeｄat the ｒatｅoｆ0.5 %( eａcｈday) of the totａl undeliverｅd cargo value oｆeveｒy dａy. Thｅpｅnalty ｓhall ｎoｔexcｅeｄ2％of the tｏtａl valuｅｏf goｏds involved.
16.操作程序：

１6.1．买方确认锰矿石指标和价格及合同条款。

16.2.买卖双方签署合同。

16.3.卖方在3个工作日内开出锰矿石合同总金额的2％履约金。
