1. THE ENTRUSTED MATTERS
甲方委托乙方发展海外市场为甲方营销其产品。
Party A hereby appoints Party B to develop overseas market and promote its products.
第二条：委托事项的具体要求
2. OBLIGATION
（1） 甲方应保证所生产产品的合法性及保证产品质量。
Party A shall ensure the legality of the products and ensure product quality.
（2） 甲方与海外客商交易的具体价格、
交货方式、支付方式等由甲方与海外客商双方协商
约定。 All the trade terms including price, payment term, delivery, etc are negotiated by Party A and
customers.
（3） 甲方应严格按国家的“ FOB C&F 或CIF 条款”执行与海外客商所签定的合同。
Party A shall be in strict accordanee with the " FOB, C & F or CIF terms in the con tracts.
（4） 乙方承诺每年给甲方介绍 1000万美元的销售额。
Party B promise that the turnover will be more than USD10 ,000,000 per year through Party B.
（5） 乙方应协助甲方收回全额货款及提供最新的市场信息。
Party B should assist Party A to receive the full payme nt as per the sales
con tracts.
Party B will provide the update market information to Party A.
（6）乙方应协助甲方处理售前、售中和售后一系列事务。
Party B should assist Party A to deal with all the matters during before-sales, selli ng and after-sales. （7）乙方不能将甲方营业范围内的海外客户关系等商业机密泄露给第三方，否则甲方会按 盗窃公司机密对乙方提起公诉。
Party B should not disclose the trade secret such as customer in formatio n to
a third party. Otherwise Party A will indict Party B.
（8）本合同期限内，乙方经纪与甲方产品相同或类似的产品。
In the durati on of this con tract, Party B brokers the same or similar products
as Party A manu factures
（9）甲方自行开发，或委托其他人介绍的客户与乙方无涉，无需支付乙方佣金。
Party A should not pay Party B any commissi on if the customers are developed
by Party A itself or through third party.
（10）乙方不得直接以甲方名义对外承揽业务，销售产品。
Party B should not deal with bus in ess directly un der the n ame of Party B.
第三条：佣金的计算、给付方式、给付时间
3.Rate of commissi on, payme nt term
（1）甲方同意按每笔合同实际收汇总额（扣除税金，运费和货代的费用，保险费等杂费）的2%支付佣金给乙方。以美元方式支付。
Party A will agree to pay 2%of the total turnover of each con tract - deduct ing taxes and the freight- to Party B. It will be paid in US currency.
（2）给付方式及时间：

在甲方收到合同金额全款后14天内支付乙方佣金的90%余款在合同期限届满后，若
乙方介绍的销售额完成本合同第二条第（4）款的约定，一次性付给乙方。若甲方未收
齐合同全款的，或乙方未提供服务费发票的，甲方有权拒绝支付佣金。
Party A will pay 90% of amount of commissi on within 14 days upon receivi ng the full payment from
customer. The balanee, 10% of total amount, will be paid if
Party B reached the requireme nt in article 2 item 4. Party A shall have the authority to refuse to pay the commissi on if Party A does n ' t receive 100%
payme nt or Party B does n ' t provide the commissi on in voice to Party A.
第四条：违约责任
4.Liability
甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5 %o/天。
If Party A does not follow （2） of Sect ion 3, Party A have to pay the overdue fine. The amount is 5 % of the total commissi on per day.
若乙方介绍的销售额未达到本合同第二条第（4）款的约定，则佣金余款作为违约金，甲
方不再支付。
If Party B can not reach the requireme nt in article 2 item 4, the 10%of commissi on will be as con tractual pen alty.
第五条：合同仲裁
5.AGREEMENT ARBITRATION
双方如果发生纠纷，可凭此合同向甲方所在仲裁机构进行。
In the event of dispute, both parties can prese nt to arbitrati on court from
Party A ' s place.
第六条：本合同未尽事宜双方协商解决。
6.CHANGES.
现行合同条款的修改必须经合同双方授权人书面签字方能生效。
Any cha nges of terms relati ng to this agreeme nt must be done in a written form a nd agreed upon by both parties.
第七条：特别约定。
7.SPECIAL CLAUSE
本合同一式肆份双方各执贰份具有同等法律效用。中英文版本如有不一致，以中文版本为
准。
This agreement has been drawn up in four identical copies, of which two copies f
or each party. The Chin ese version of these Terms and Con diti ons shall prevail wherever there is a discrepa ncy betwee n the En glish and Chin ese versions.
第八条：履行
8」MPLEMENTATION
本合同双方自签字盖章之日起生效。本合同期限为一年。
Whilst sig nature on this agreeme nt certifies the inten ti on of both parties to
the agreeme nt, the terms of this agreeme nt shall become binding upon both
parties only at such time as the following have been complied with, in writing.
The valid period is one year.

This Contract shall come into force immediately after signature by representative of both parties and upon approval by the relevant authority of both parties. 6.包装：需用适合长途海运，防潮、防湿、防震、防锈、耐粗暴搬运的包装，由包装不良 所发生的损失，由于采用不充分或不妥善的防护措施而造成的任何锈损，卖方应负担由此产生的一切费用和/或损失。 Packing: The packages should be suitable for long distance freight transportation and well protected against dampness, moisture, shock, rust and rough handling. The sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers. 7.装运条款：卖方保证按时将合同所述货物运往买方港口。 Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination. Transshipment is not allowed without the buyer’s consent. 8.装运通知：货物全部装船后，卖方将于10个工作日内将合同编号、商品名称、数量、 毛重、发票金额、船名和开船日期邮件通知买方。 Shipping advice: The seller shall within 10 working days after the completion of the loading of the goods advise by e-mail the buyers of the contract No., commodity, quantity, invoice value, gross weight, name of vessel and date of sailing. 9.保险： Insurance: Insurance shall be covered by the seller for 110% of the invoice value against Additional Risks and Strike Risks, and insurance fee will be borne by the buyer. 10.检验： Inspection 根据买方要求进行出货前检验，并提供检验合格报告给到买卖双方。 Inspection will be carried out as per buyer's assignment and offer Inspection Report to both parties. 12. 仲裁：凡有关本合同或执行本合同而发生的一切争执，应通过友好协商解决。如不能解决，则应申请进行仲裁。仲裁将在中国贸易促进委员会仲裁委员会进行。其做出的裁决是最终的，买卖双方均应受其约束，任何一方不得向法院或其他机关申请变更。仲裁费用由败诉方负担。 Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission. The award of the arbitration shall be final and binding upon both parties for revising the decision. The arbitration fee shall be borne by the losing part. 13. 不可抗力：由于人力不可抗拒事故，而卖方交货迟延或不能交货时，责任不在卖方，但 卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明用空邮寄交卖方为证。 Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof. 14. 附加条款：本合同采用中文、英文书写，具有同等法律效力。本合同一式二份买卖双方

Should party A defers payment over 30 days, party B may dissolve the contract and Party A, according to above stipulated late fees rate, should pay Party B liquidated damages (until dissolution date released by party B) and Party A should return the goods to Party B.
