THIS CONTRACT ("Contract") is made in [the Contract Location] and, China on the Contract

PRELIMINARY STATEMENT 前言

9.3 Software Warranty 9.3 合同软件保证

Seller warrants that during the Warranty Period the Software shall be free of Software Defects caused by Seller's fault. If due to the fault of Seller any Software Defect occurs during the Warranty Period, Seller shall be responsible to correct such Software Defect at Seller’s own cost. 卖方保证设备软件在保修期内不存在软件缺陷。在保修期内，假如发现由于卖方原因导致的设备软件缺陷，卖方应自费负责纠正该软件缺陷。

9.4 Defects Due to Buyer 9.4 买方导致缺陷

If during the Warranty Period any Hardware Defect or Software Defect occurs due to the failure of Buyer to comply with the terms of the Contract or the relevant Documentation or due to an event of force majeure or any other reason not due to Seller’s fault, then upon Buyer’s request, Seller shall repair or replace such Hardware or correct such Software Defect at Buyer's expense. Seller shall provide such services at its standard rate. 假如在保修期内，由于买方未遵循本合同条款或相关文件的规定或由于不可抗力，或由于任何其他非卖方的原因，发生了硬件缺陷或软件缺陷，则经买方提出要求，卖方应修理或更换该硬件或纠正软件缺陷，相关费用由买方承担。卖方应按照标准价格提供上述有关服务。

9.5 Exceptions to Hardware Warranty 9.5 合同硬件保证的例外

The Hardware warranty shall not cover Equipment components such as fuses and bulbs that are normally consumed in operation, or have a normal life inherently shorter than the Warranty Period. 卖方承担的设备硬件保修义务不适用于在操作过程中正常消耗掉的设备零部件，如保险丝、灯泡等，或者正常使用年限本来就比保修期要短的设备零部件。

9.6 OEM Equipment 9.6 OME设备

Seller's warranty does not cover OEM Equipment. Seller assigns to Buyer all of its rights under warranties from its third-party vendors in respect of such OEM Equipment. 卖方承担的保修义务不适用于ＯＥＭ设备。卖方将其在第三方供给商对该ＯＥＭ设备的保修条款下的所有权利转给买方。

9.7 Buyer's Warranty Claims 9.7 买方的保修要求

Buyer must notify Seller of any warranty claim within thirty (30) days of the event giving rise to the claim. Seller shall not be obliged to provide any Warranty service in respect of claims made more than thirty (30) days after the event giving rise to the claim, or made after the relevant Warranty Period expires. 假如发生导致要求卖方保修的情况，买方应在30 天内通知卖方，否则，卖方对所涉及的合同设备不再承担保修义务。另外，卖方对保修期届满后提出的保修要求也不再承担保修义务。

9.8 Exclusion of Other Warranties 9.8 其他保证义务的排除

All of Buyer’s claims in respect of Hardware Defects o r Software Defects shall be handled solely in accordance with the provisions of this Article 9. All other warranties are hereby expressly excluded. 买方就硬件缺陷及软件缺陷提出的保修要求应完全按照本章的条款处理。各方确认卖方除此之外针对合同设备并无其他保证义务。

9.9 Seller's Limits of Liability 9.9 卖方的责任限制

Selle r is not responsible for warranties given by Buyer to Buyer’s customers. 卖方对买方给予其客户的保证不承担责任。

9.10 Provision of Spare Parts 9.10 配件的提供

For a period of five (5) years after the expiry of the Warranty Period, Seller shall provide to Buyer at its request, at a favorable price taking prevailing market prices for reference, spare parts (as described in Annex 1) which are compatible with and are required for normal operation of the Equipment. If Seller, its parent or any of its Affiliates intends to discontinue production of any spare parts required for the Equipment, Seller shall give written notice to Buyer six (6) months prior to such discontinuance and Buyer shall be entitled to place orders within eight (8) weeks of receipt of such notice for any such spare parts required. 在保修期届满后5 年期间，卖方将应买方要求向其供给与合同设备相配套的并且是其正常运转所需的配件(如附件一所列)，价格为参照当时通行的市场价格后的优惠价格。假如卖方或其母公司或关联公司任何一方拟停止生产合同设备所需配件，卖方应在停止生产前六(6)个月书面通知买方，买方有权在收到上述通知后8 周内发出订单订购其所需配件。

20.10 Severability 20.10 可分割性

The invalidity of any provision of this Contract shall not affect the validity of any other provision of this Contract. 本合同某一条款的无效

20.11 Entire Agreement 20.11 全部协议

20.12 Further Endeavours 20.12 进一步努力

A Party shall, at any time, upon the request of the other Party, execute or procure the execution of such documents, agreements, contracts or deeds and do or procure the doing of such acts and things as may be [reasonably] necessary to give full effect to the provisions of this Contract. 一方应随时按照另一方要求，签署或促进签署上述文件、协议、合同或地契，并且采取或努力采取[合理]必要的行动以使本合同条款得以生效。

20.13 Costs 20.13 成本

20.14 Schedules and Annexes 20.14 附录以及附件

The Schedules and Annexes hereto are made an integral part of this Contract and are equally binding with the main body of the Contract.
