根据《中华人民共和国合同法》的规定，合同双方就乙方向甲方提供一次性中心机房设备搬

迁服务事宜，经协商达成一致，确立本合同，以明确双方的责任、权利及义务，确保合同双方共同执行。

moving services agreeme nt

this movi ng services agreeme nt (the "agreeme nt") is en tered into as of the 日期day of 月份,2006, betwee n 甲方名称with its prin cipal place of bus in ess at 甲方地址(here in after referred to as the “ shipper " ) and 乙方名称with its princ

recitals

the shipper wishes to have its equipment in the central terminal moved from the

curre nt address to 新地址and the carrier is in the bus in ess of moving service

s and assures the shipper that it has the facilities, personnel, and technical expertise n ecessary to carry out the sin gle full-service move, in con sideratio n of the mutual promises, cove nan ts, and agreeme nts contained here in, both the p arties reach the agreeme nt as follows, subject to the con tract laws of people / s republic of china, hence, the responsibilities, rights, and obligations of eac h party are specified with the view to ensuring that both parties will honorabl

y put the agreeme nt into executi on.

［免责条例］

(1 )针对甲方需搬迁的设备，乙方只负责硬件设备搬迁不负责数据和软件安全。

(2 )对于搬迁的设备，乙方如果需对设备进行拆装，以后因拆装引起的保修问题由甲方负责。

exempti ons

1. in performing the services stipulated in the agreement, the carrier shall be

responsible for moving the shipper / s hardware only, but shall not in any way

be held liable for the safety or in tact ness of the database and software concer n ed.

2. also, the carrier shall unin stall and in stall the equipme nt (as defi ned belo

w), but any problem aris ing thereof in connection with maintenace and repair of

the equipme nt shall be han dled by the shipper only.

甲乙双方在搬迁完三个工作日内：乙方根据《搬迁验机单》统计此次搬迁设备所产生的费用,

将《费用清单》以书面形式交付甲方，甲方核实无误后签字确认，此《费用清单》原件甲乙双方各持一份（《费用清单》见附件b）。

注：因本合同所产生搬迁设备数量无法在搬迁前确认及统计，所以具体费用以《费用清单》为准。

with in three days after the services agreed on are completed, the carrier is to

add up the total cost of the services on the basis of the delivery receipt dul

y signed by the shipper and then present the detailed bill in writing to the sh ipper. after verifying the bill, the shipper shall sign on it. after that, each party shall be give n one copy of the sig ned bill （see attachme nt b）.

no te: since the workload in volved with the agreeme nt cannot be precisely estima ted before the move, the actual expe nses shall depe nd on nothing other tha n the final detailed bill.

［甲方搬迁前准备］

1?做好所有数据备份，确保数据安全；

2. 选择一条以上运输线路图，提前五日提供给乙方；

3. 检测新机房温度，湿度，电源环境（注：地线必须接地）达到设备使用要求；

4. 提前办理好搬迁所需的出入门及相关手续，以便搬迁顺利；

5. 甲方提供一位协调人员与乙方协调人员配合工作；

6. 新机房设备摆放图，提前五天供给乙方；

7. 新工作环境和现在工作环境各提供一间作为设备周转用途的工作场地。

preparati ons on the part of the shipper

the shipper shall make the preparati ons set forth below:

1. reproduce all the digital files in adequate nu mbers of copies to make certai

n that the database is in secure con diti on.

2. select more than one transportation route and provide it for the carrier at least five days prior to the move.

3. in spect and measure the temperature, humidity, and power supply (with ground connection properly made) in the new term inal to en sure that they are up to th

e requireme nts.

4. secure all the entrance and exit permits and go through all the n ecessary pr ocedures in adva nee to facilitate the move.

5. desig nate a coord in ator to work with the coun terpart appo in ted by the carrie

6. provide the map and the layout of the new term inal for the carrier at least five days prior to the move.

7. allocate a temporary storage room suitable for the equipme nt in tran sit both at origin and at destination.

［惠普(hp)服务器，机柜搬迁细则］

一乙方搬迁前准备：

1. 熟知甲方提供的运输线路；

2. 安排好搬迁人员分工；

3. 准备所有搬迁所需工具(如：十字，一字；t8，t9，t10，t15，t20，t30

标签，纸箱，滑车，钳子，减震材料等) ，车辆及相关资料；

4. 经甲方同意提前三天到新机房熟悉甲方提供的设备摆放图；

moving in struct ions on hp server & cab inet

(a). the carrier shall make the follow ing preparati ons beforeha nd:

1. be fully familiar with the transportation route or routes chosen by the ship per.

2. divide the workload among its employees.

3. get ready the vehicles and releva nt docume nts as well as all the tools n eede

d, such as various types of screw-drivers, t8 ，t9，t10 ，t15，t20 ，

color-coded labels, cartons, pulleys, wren ches, and shock-absorb ing materials.

4. with the shipper / s approval, inspect the new terminal and get familiar with its layout three days prior to the move.

二服务器，机柜拆卸

1. 甲方与乙方同时检测服务器状态和服务器配置，检测完后双方在验机单上签字机表》见附件

2. 由甲方关闭所有搬迁设备软件程序；

3. 由乙方工作人员断开电源；

4. 拆卸前每位乙方工作人员佩戴防静电手环；

5. 以甲方现在每个机柜为一套设备进行统一标识；

6. 每台服务器对应的联线、硬盘、电源贴上对应标签；

7?断开服务器所有联线；

8. 将服务器拆离机柜，如果拆离硬盘应做好标识；

9. 对服务器进行包装，对拆离的硬盘做减震包装；

10. 搬运上车。

(b). disassembli ng hp server & cab inet

1. both the shipper and the carrier shall in spect and test the server and its a ccessories simulta neously and both parties shall sig n on the inven tory list (se e attachme nt a) after the satisfactory in spect ion.

2. the shipper is to term in ate all the software employed on the server.

3. the employee of the carrier is to turn off the power supply.

4. each employee of the carrier shall put on an antistatic bracelet before work.

5. the carrier shall now start to attach a color-coded label to the cabinet and

its corresp onding server in an orga ni zed way.

6. the cables, disks, and power supply of each server are marked with ide ntical

color-coded labels respectively.

7. the cables of the server are take n away.

8. the server is separated from the cab inet and its disks are properly labeled

if take n out.

9. the server is securely packed and its isolated disks are wrapped in shock-ab sorb ing materials.

10. the server together with its accessories is loaded in the vehicle.

一乙方搬迁前准备：

1. 熟知甲方提供的运输线路；

2. 安排好搬迁人员分工；

3. 准备所有搬迁所需工具(如：十字，一字；t8 , t9 , t10 , t15 , t20 , t30 , t40 ;搬迁

标签，纸箱，滑车，钳子，减震材料等) ，车辆及相关资料；

4. 经甲方同意提前三天到新机房熟悉甲方提供的设备摆放图。

2. 由甲方关闭所有搬迁设备软件程序；

3. 由乙方工作人员断开电源；

4. 拆卸前每位乙方工作人员佩戴防静电手环；

5. 以甲方现在每个机柜为一套设备单元进行统一标识；

6. 每台服务器对应的联线、硬盘、电源贴上对应标签；

7. 断开服务器所有联线；

8. 将服务器拆离机柜；

9. 对服务器进行整体减震包装(注：甲方咨询过易安信客服建议硬盘不要单独拆离服务器)

10. 搬运上车。

10. the server together with its accessories is loaded in the vehicle.

一乙方搬迁前准备

1. 熟知甲方提供的运输线路；

2. 安排好搬迁人员分工；

3. 准备所有搬迁所需工具，车辆及相关资料；

4. 经甲方同意提前三天到新机房熟悉甲方提供的设备摆放图；

5. 与小型机工作人员配合完成拆卸前准备。

4. with the shipper / s approval, i nspect the new term inal and get familiar with

its layout three days prior to the move.

5. team up with the work ing staff of the shipper in charge of the said device t

o ren der it ready to be disassembled.

二拆卸

1. 甲方与乙方同时检测设备，检测完后双方在验机单上签字(《搬迁验机表》见附件 a );

2. 由甲方关闭搬迁设备软件程序；

3. 拆卸前每位乙方工作人员佩戴防静电手环；

4. 以甲方现在每个机柜为一套设备单元进行统一标识；

5. 每台小型机，磁盘阵列柜对应的联线贴上对应标签；

6. 断开所有联线；

7. 对设备进行减震包装；

8. 搬运上车。
