Unit 6

Translation

1. Enclosed please find our Sales Contract No818 in duplicate. Please countersign and return one for our file if you find everything in order.

2. As stipulated in the contract, in case of the quality discrepancy or quantity discrepancy, claim should be filed by the buyer within 15 days after the arrival of the goods at port of destination. Failing to do this will possibly lead to disputes. Should the responsibility of the subject under claim be found to rest on the part of the seller, the sellers shall, within 20 days after receipt of the claim, send their reply to the buyer together with the suggestion for settlement.

3. In case the seller breaches this contract, the buyer has the right to deduct the default fine, compensation for damage or any other expenses from the deposit. The seller shall not be held responsible for late delivery or non-delivery of the goods owing to generally recognized “Force Majeure”affairs. However, the seller shall inform the buyer immediately by Fax.

4. All the disputes in connection with this contract or the execution thereof shall be amicably settled through friendly negotiation. The parties may, through consultation, make amendments to

and revisions of this contract when the needs arise. In case no settlement can be reached, the case at issue shall then be submitted to arbitration, which shall be held in the country where the defendant resides, or in third country agreed by both parties.

5. This contract is composed in both Chinese and English, each of which shall be deemed equally authentic. Conflicts between these two languages arising therefrom shall be subject to Chinese.
