经甲、乙双方协商一致,甲方现决定委託乙方为艺术品顾问,(以下简称“合同”)。合同条款和条件如下;

The Client hereby awards this Art Consultancy Agreement (hereinafter named The Contract) to the Art Consultant. The terms and conditions of the Contract are as follows:

1. 合同内容 The Contract

1.1 本合同将为所有室內範圍之藝術設計和挑選.

The contract scope includes art selection for all interior space art.

2. 服务阶段Scope of Services

各阶段工作完成时间见本合同附表。若进度有调整,以甲方确认的实际进度为准。Refer to appendix 1 for project schedule. In case of any changes, Client shall advise the final schedule.

2.1阶段一艺术概念与创意Phase I Art Concept and Development

初期的讨论将由甲方和设计师建立明确的艺术品的需求范围。指明设计艺术品的类型、质量和艺术品的总体方向的要求。甲方和设计师提供设计的进度表和工程进度以使艺

术品顾问能够及时跟进。

Preliminary conference shall be held with the Client and interior designer to establish a clear scope of areas requiring artwork. Types of artwork, quantity and overall direction of artwork themes shall be determined according to design brief.

Client/interior designer to provide design schedule and project programme to Art Consultant to follow.

通过与设计师一起对平面、立面、物料、透视图共同的探讨和分析,艺术品顾问将提

供楼层示意图(兩份包括电子文件),显示艺术品/文物的位置,描绘艺术品/文物的基

本概念和印象提供给甲方批准。

Upon reviewing and analyzing the interior floor plans, elevations, mood boards, perspective together with brief from the interior designer, the Art Consultant will prepare schematic floor plans (two sets and also in digital format) showing the proposed locations. Conceptual images of the artworks/artifacts representing the basic concept will be presented for client’s approval.

2.2阶段二艺术品选择和規格 Phase II Art Selection and Specification

当第I 阶段的工作被批准和接受并支付完成后,艺术顾问将演示各个不同区域总体艺

术品/文物概念,完成日程计划和艺术品安放位置,在这个阶段将展示图片样本、主题、材质和尺寸的方案。艺术品顾问将提供有关图纸和电子文件。根据艺术品工作的日程

计划将提出一个估价,这个艺术品/文物估价只是指导性的用来作为成本控制。到甲方签字批准才进入下一阶段。

After receipt of written approval and payment from the Client for Phase I work, with consultation with the Client/interior designer, the Art Consultant will present an overall artworks/artifacts concept for the various areas complete with schedule of artworks, location plans and dimensions of the artworks/artifacts. Image reference, samples to indicate style, subject and medium will be presented at this

phase. Based on this artworks schedule, a budget estimate will be submitted. The artworks/artifacts budget estimate is only guidance for budget control. Client is to sign off art proposal before proceeding to the next phase. Art Consultant to provide relevant drawings and digital documents.

2.3 阶段三预算Phase III Budgeting

艺术顾问将准备必要的艺术品/文物供货和安装文件(包括电子文件)。如果需要,艺术顾问将在甲方确认后合理的调整文件以符合预算要求。

The Art Consultant will prepare necessary documents for the supply and installation of artworks/artifacts (in digital format) If necessary, Art Consultant shall make reasonable adjustments to documents in order to meet the budget.

2.4 阶段四协调和监督

在这个阶段艺术顾问须访问确定的供应商使其了解艺术顾问的意图。然而艺术顾问将不对艺术品供应商的执行和完成能力负有责任。若甲方要求艺术顾问访问甲方推荐的供应商,则该访问的所有费用包括:机票、住宿、餐费和交通费等将由甲方支付。During this stage, the Art Consultant shall make factory/studio visits to ensure that the works of the makers are consistent with the intent of the Art

Consultant. However, the Art Consultant shall not be held liable for the competence in proper execution and performance of the work which are entrusted to the professional art supplier. For client nominated suppliers, all travel expenses including airfare, accommodation, meals, transportation, etc shall be borne by the Client.

2.5 阶段五交货和安装

完成第四阶段的工作后,艺术顾问将会同甲方进行最后的工地检查,设计师和甲方将根据招标文件和产品说明书检验合同的完成情况。最终结果以甲方签字确认为准。若

在以上工作完成后甲方再委托艺术顾问附加大量的艺术品和/或文物设计,则必要时双方可另行协商相关费用。

Upon completion of Phase IV and receipt of payment, the Art Consultant shall conduct a final site review inspection with the Client, interior designer and the awarded art supplier to verify that the work is completed in accordance to the tender documentation and specifications. The final review shall be completed when the Client certifies the approval. Should many additional artworks and/or artifacts are required during this final site inspection then a separate additional fee shall be submitted and agreed upon.

3. 价格条款FEE

3.1 合同总金额:美金60,000.00 (不包括发票或稅款)

Total Contract Sum: USD60,000.00 (excluding any official receipt or tax)

3.2 付款根据以下阶段分步进行:

Payments will be payable progressively in accordance with the following schedule: 签定合同后 (20%) USD12,000

Upon signing of agreement (initial deposit)

阶段一艺术概念and创意 (25%) USD15,000

Phase I Art Concept and Development

阶段二艺术品选择 (25%) USD 15,000

Phase II Selection

阶段三预算 (15%) USD9,000

Phase III Budgeting

阶段四协调 and 监督 (10%) USD6,000

Phase IV Coordination and Inspection

阶段五交货 and 安装 (5%) USD3,000

Phase V Delivery and Installation

总計算﹕ USD 60,000

3.3 合同总金额,不包括发票、税务、报关代理费用。银行手续费由乙方自行負責。

The total contract value excludes official receipts, use taxes, custom

charges. Each parties’ bank charges will be borne by themselves.

3.4 合同总金额中包括6次全部的差旅费(留宿一晚) 。

6 trips to site are inclusive in this contract including all travel expense.

3.6 於本合同有效期之内,如工程需附加出差次數到工地,費用由甲方支付。按实报实销原則,藝術顧問可獲償還机票费用及所有暫墊費用包括酒店(留宿一晚, 國際五星級酒店)、膳食和交通费费用。

Addition trips to site as required by the project would be borne by the Client. Art Consultant is to be reimbursed air ticket and also all out of pocket expenses including accommodation (one night overstay in international five star hotel), meals and transportation for the duration of validity of the contract.

3.7 乙方完成各阶段工作、并经甲方书面确认后,出具相应的发票经甲方确认后予以支付,其余在收到有效发票之日起三十日(30)内支付,甲方逾期付款每天按应支付费用0.3%向乙方支付违约金。支付乙方的款项应以人民幣,并以电汇方式汇入指定的帐户.

Upon completion of each phase and with written confirmation from the Client, invoice should be settled within 30 days upon presenting invoices relating to the project. If payment is over 30 days, an interest of 0.3% per day will be levied. The Client’s payment should be made payable to Osage Art Consultancy specified RMB dollar account.

4. 规定GENERAL

PROVISIONS:

以下条款, 双方同意并履行:

The following responsibilities are agreed to:

4.1 甲方或设计师需提供给乙方相关的全套设计/运作要求、项目进度、项目预算明细等,以便乙方进行设计深化。

The Client and/or interior designer shall furnish to the Art Consultant full information as to their design/operational directions/requirements, project schedule, project budget breakdown and all such information, which shall be pertinent to the creation

and carrying of the art consultancy.

4.2甲方或设计师需提供一套复印和光盘AutoCad室内设计建筑施工图和彩色效果图予乙方,所有图纸需按比例绘制。

The Client and/or interior designer shall provide a set of hard and soft copy of to scale relevant drawings as well as color renderings and sample of special effect interior fitting out materials.

4.3 乙方不能控制,不赔偿和不负责任何与项目有关的施工方法、技术、程序、装配、供货期或安全措施,以及没有按照装饰画及艺术品图纸安装所产生的后果。

The Art Consultant shall not have control or charge of the means, methods, techniques, sequences, or procedures of fabrication, procurement, shipment, delivery or installation or for safety precautions and programs in connection with the work, for the acts or omissions of the supplier or for the failure to carry out the work in accordance with the artwork and artifacts documents.

4.4 项目完成后,如乙方将此项目中现有的照片、图片,作为乙方的广告宣传材料使用的,须事先征得甲方的同意。

It is expressly agreed between the parties hereto that the Client upon completion provide the Art Consultant with photographs of the project and allow the Art Consultant access to the site after completion and have the right in perpetuity to use project photographs and advertising copy for use in advertising, public relations, and press materials supporting the Art Consultant.

4.5 本合同未经双方协商一致不得任意终止。任何一方如在没有合理理由的情况下要求终止本合同,应提前30天通过书面形式通知对方。

Both parties cannot terminate contract without mutual agreement. This appointment may be terminated by either party upon a 30-day notice in writing to the

other. However one party has the right to request continuation of contract to the other.

4.6当甲方非因乙方原因提前终止本合同时,甲方将支付乙方已完成部分工作的费用。In the event of early termination not caused by the Artwork Consultant, the Client shall pay up to the work completed upon such early termination.

4.7 双方均应遵守本合同约定,切实履行合同义务。任何一方如有违约行为,应承担相应的违约责任。

Both parties shall carry out the duties in this contract. If any parties intend to violate the contract in any means, he/she shall bear any liabilities caused,

4.8 乙方應按本合同附表的工作進度、配合其他設計/工程進度、逐步完成各階段的設計,若延遲,則乙方应向甲方支付按該延遲部分的設計費用、以每逾期一天支付0.3%的利率計算的違約金;若延遲三十(30)天以上,則甲方有權單方解除本合約,乙方除退还甲方已付费用外,且乙方應按本項目合同總金額的10%向甲方支付違約金。

The Art Consultant will carry out work according to the project schedule as stated at appendix 1. If Art Consultant work is delayed by more than 30 days, the Art Consultant shall compensate the Client the days delayed with 0.3% interest per day. If the delay is more than 60 days, the Client has the right to terminate the contract and the Art Consultant shall compensate the Client 10% of the contract sum.

5.语言LANGUAGE

5.1 本合同若以中、英文兩種版本書寫,如中、英文版本內容不一致時,應以中文版本為。

Both Chinese and English versions have the equal force and effect, but just in case of dispute, the Chinese version will take precedent.

6.合同生效CONTRACT VALIDITY

6.1 本合同以双方授权代表签字并加盖公章之日起生效,至2012年5月31日。

The Contract will be valid upon signing with company chop by the authorised representatives of both parties, till 31 May, 2012.

6.2 合同正本一式二份,甲乙双方各执一份。

Two(2) sets of The Contract shall be signed, one(1) copy to be kept by Client

and one(1) by the Art Consultant.
