第十五章买卖合同中的支付条款 1.在进出口贸易中,选择结算(支付)方式应考虑哪些因素?其中最重要的是什么?在具体工作中,还应注意哪些问题? 答:(1)选择结算(支付)方式应考虑的因素 在进出口贸易中,选择结算(支付)方式应考虑以下因素:①客户信用;②经营意图; ③贸易术语;④运输单据。 (2)选择结算(支付)方式应考虑的最重要因素 在国际货物买卖中,依法订立的合同能否顺利完满地得到履行,客户的信用度是决定性的因素。因此,要在出口业务中做到安全收汇;在进口业务中做到安全用汇,即安全收到符合合同的货物,就必须事先做好对国外客户即交易对手的信用调查,以便根据客户的具体情况,选用适当的结算方式,这是选用结算方式成败的关键和基础。 (3)具体工作中选择结算(支付)方式应注意的问题 在具体工作中,应针对不同国家(地区)、不同客户、不同交易的具体情况全面衡量,取长补短、趋利避害,力求做到既能达成交易,又能维护企业的权益,最终达到确保外汇资金安全,加速资金周转,扩大贸易往来的目的。 2.在L/C、D/P和D/A三种方式中,就卖方的风险而言,何种最大?何种其次?何种最小?如采用汇付方式,又如何? 答:(1)在L/C、D/P和D/A三种方式中,就卖方的风险而言,D/A最大,其次是D/P,风险最小的是L/C。原因是:L/C(信用证)是开证行以自己的信用做出的付款承诺,属于银行信用,所以卖方收汇风险最小;D/P即付款交单,D/A即承兑交单,这两种支付方式都属于商业信用。D/P付款交单情况下,买方只有支付货款后代收行才交出单据,卖方风险相对较小;而D/A承兑交单情况下,买方承兑后即可取得相关单据,汇票到期时再付款。如果汇票到期后买方不能按期付款,卖方就需要承担较大的收汇风险,所以承兑交单的风险最大。 (2)汇付有预付款和货到付款之分。就卖方而言,采用预付款于己有利;而货到付款对卖方风险很大,为了不影响资金周转和避免收不回货款的风险,一般不宜采用货到付款的做法,也只限对资信可靠地客户出口,而且交易金额不宜太大。 3.试分别草拟不同结算(支付)方式的国际货物买卖合同中的支付条款各一则。 答:(1)汇付方式下的支付条款 买方应不晚于×年×月×日将全部货款用电汇(信汇或票汇)方式预付给卖方。 The Buyers shall pay the total value to the Setters in advance by T/T(M/T or D/D) not later than… (2)托收方式下的付款条款 买方应凭卖方开具的即期跟单汇票于见票时立即付款,付款后交单。 Upon first presentation the Buyers shall pay against documentary draft drawn by the Sellers at sight.
