1.Walk me through the 3 financial statements? ?The 3 financial statements are the Income Statement, the Balance Sheet and the Cash Flow Statement ?Income Statement gives the company’s revenue and expenses and goes down to Net Income, the final line of the statement ?The Balance sheet shows the company’s Assets (its resources such as cash, inventory and PP&E) as well as its Liabilities (such as Debt, Accounts Payable) and finally Shareholders Equity. Explain an LBO (leveraged buyout) to my grandmother, who knows nothing about finance An LBO is a transaction in which a party purchases a business and brings it private. The transaction is funded using a large portion of debt. Three main characteristics of LBOs – 1) high debt, which is intended to be paid down, 2) incentives, managers are given greater stake in business, 3) private ownership, many LBOs go public again once debt has been paid down. If a company was looking to raise debt or equity, what are the 3 most important questions to ask? 1) Whether they will generate enough cash flows to cover interest obligations. How many multiples in excess of current interest payments is their operations generating in cash flow? 2) What is their current capital structure and can they bring on more debt and leverage the company further without being too levered versus industry and peers so that their credit rating and stock price isn’t negatively impacted. 3) What is the current equity value? If the stock price is appropriately valued or has a potentially high value, then equity might be better. How does FED change the interest rates? The FED can adjust the Federal Funds Rate which is the interbank overnight rate at which the FED lends money. The lower the Federal Funds Rate, the lower real interest rates. The FED can also adjust the money supply through the purchase or sale of government bonds, whereby affecting inflationary expectations which will adjust nominal interest rates. What would be the difference between the interest coverage rate of a senior board vs. junior debt? Interest coverage rate is operating income divided by interest expense (EBIT/interest). This basically measures how much leadway a company has between its earnings and interest payments (a hurdle they must keep jumping to avoid default). In event of bankruptcy, the senior debt would have to be paid before the junior. However, when using the interest coverage ratio to analyze a company’s ability to keep up with their debt payments, I would look at the EBIT divided by ALL forms of debt as a failure to make payments for any form of debt results in default. How does Net Income flow into the Balance Sheet, Income Statement and Statement of Cash Flows? The Net Income on the bottom line of the income statement gets added into the retained earnings on the balance sheet. The net income from the income statement is also the starting line of the statement of cash flows.

HSBC投行实习面试自我介绍 昨晚面的,一位男士,标准的伦敦音。他打来先恭喜我通过了online test,然后告诉我如果能通过这次的电面的话下一轮就是final的assessment center了。他说这个电面主要就是问一些behavioral questions,希望我尽量用详细例子回答,还说由于他们时间很紧,可能会在我没答完面试问题前就打断我。还告诉我他是用电话的免提功能,所以声音听起来会有点远,要是我听不清可以跟他说,他会大声shout的~ 还有如果我答问题的时候觉得他那边很沉静、没反应的话不用担心,那是因为他在一边听一边做笔记。 原本一开始我有点紧张,可是听完他这一堆背景介绍后就放心了很多,然后就正式开始了~ 他一开始就直接问面试问题,没让我面试自我介绍。题目未名bbs上一个同学面经里说的一样,估计是每天用的都是同一套题,我是昨晚九点面的,后来十一点多看到那个同学的面经。 1.你是如何鼓励和帮助团队成员实现他们的目标的?我讲完后他又追问了一个细节问题。 2.团队工作中如果有成员没有尽他的责任,导致影响团队的表现,你如何处理? 3.你是如何聆听别人不同的意见的?

中信投行部面试(实习) 当天参加面试的一共13人,8个投行部,5个资本市场。投行部的8个里面2个复旦,3个财大,1个交大,1个同济,剩下的另外一个我没遇到,估计也是这四所高校里面的。由于招人条件的限制,所以都是小硕没有大本。 面试形式4人一组,现场4位面试官来自投行部,另外还有北京的两位HR通过视屏远程考察(中信好像很喜欢这个模式)。上来是每人一分钟的自我介绍,除了简单交代一下自己的教育经历,剩下的就是突出自己的优势,比如经历或者能力。不过感觉包括自己在内大家都有点罗嗦,基本都超过两分钟,而且特点不是突出得很明显。 Tips: 自我介绍思路一定要清楚,举例说明要简洁,不痛不痒的例子还是算了,实习一定要说,但不必太详细,因为后面一定会重点问。如果介绍因为太繁琐而被打断, 那么第一印象就毁了,自己也会比较受打击,影响后面的发挥,所以控制时间很重要。 接下来就是针对每个人的经历挨个做了比较详细地询问。因为本人的求学之路走得比较崎岖坎坷,6年换了3个学校,所以在这方面被问的比较多,但基本都是求证性的问题,不是非常具有价值。比较Challenge 的两个问题都是北京HR问的。一个是问为什么学理工的对经济感兴趣,我说自己性格上可能不太适合搞研究,结果对面立马抛过来一句:我们也是做基本研究的……被呛了几秒钟,只好拿“学术研究周期太长,而自己希望每个阶段都能明显看到自己在进步”这个理由搪塞,最后还是投行部的老大一句“基础学科研究不太一样”,算是帮我解了围。第二个问题是“看你实习经历都是复旦校内的,为什么不找外面的实习”,心里想着“这不过来找呢嘛”,嘴上却解释说自己起点太低,所以只能从基础做起,感觉这个回答比上个问题好一点,因为通过交流发现他们还是很注重踏实这项quality的。一起面的交大跟财大的两位经历比较牛,一位在Bain Capital做过私募,于是问了一些项目的细节,另一位在券商研究部待过,于是问了很多关于Wind 数据库使用的问题。个人感觉这些问题更偏向考察性,两相比较,自己的短板效应就变得非常明显了。 Tips1:简历上不要存在时间空白,也就是某一年的经历在简历上看不出来,面试官会疑惑这一年你干嘛去了,就算自己觉得没什么价值也要写出来,至少我们不是挑人的,我们的标准不作数。 Tips2:针对自己的简历想方设法挑战下自己,不然临阵容易慌了手脚,遇到意外情况要镇定,最低限度保持交流,不能停滞过长时间。 Tip3:实习的内容要在心里细化,做了哪些事情,用的那些工具,得到哪些结果等等。如果一知半解宁愿不说,学会藏拙有时也是种智慧。 Tips4:回答问题要有针对性,背下来的台词要活学活用,生搬硬套容易让面试官觉得你没听懂他的问题,浪费彼此时间,如果打断的话,说明这方面的问题就比较严重了 。 Tips5:无论是IBD还是行研,数据库的运用都是基本技能,其中Wind跟Bloomberg是主流,有机会要熟悉一下,没有机会创造机会也要熟悉一下。 基本内容就是这些,没问任何关于公司定价或者证券市场方面的专业问题,倒是问了一句“你知道我们是干什么的么?”,明显被bs了一把。还有就是未来的职业规划,估计也是想考察下我对这个行业的了解,并不是真的有兴趣知道我的想法。 Tips:全职面讲究素质,实习注重技能,大老板看潜力,小老板看能力,评判的思维一致,但侧重点会稍有不同。

【海归求职】面试投行的十大最经典的Technical问题 随着MBA和大学本科的新的一个学期即将要开始,面试这个令人头疼的问题又要摆在大家的面前了。 下面是我们为大家挑选的10个投资银行最经典的技术问题。 1.如何去衡量一个公司的价值 对于这个问题以及变体问题,我们应该用两个最基本的估值方法来回答:第一个是内在价值(Discounted Cash Flow Valuation,以下简称DCF),第二个是相对估值(comparable/multiples valuation)。 内在价值(DCF) 这种方法相对学术化。DCF要求通过对未来现金流的折现来衡量一个资产的投资价值。这种方法要求我们预测未来5到20年的现金流,并且根据现在所能得到的信息以及信息的可靠程度,来预测现金流的终值。然后通过选择合适的投资回报率(对于Unlevered DCF 我们选择加权平均资本成本(WACC),对于Levered DCF我们选择cost of capital,股本成本)对现金流的终值以及预测的现金流进行折现。在Unlevered DCF中,(这是比较普遍的方法)我们得到的是公司的企业价值。要扣除净借贷来计算出股票价值。对于派发股利的股票,我们要计算被摊薄后每股收益来计算每股平均价值 相对估值法(comparable/multiples valuation) 第二个方法中需要选定同一类的公司,一般这类公司与要估值的公司处于同一个行业,有相似的经营环境,成长率,风险,以及投资回报率等。在现实情况里面,完全相同的公司是不存在的,但是我们要尽量找到相类似的企业从而计算出相对准确的industry multiples,通过计算几个同类型企业的平均multiples,来算出目标企业的价值。比较常用的乘数有:EV/Rev, EV/EBITDA,P/E,P/Book。尽管一些行业会比较只强调某几个multiples,另外一些行业会同时使用很多industry multiples。 在你去面试之前,通过学习一个行业或者两个行业(阅读sell-side的研究报告是最好的方法),来准备有可能的会遇到面试问题(告诉我哪个行业你比较有兴趣,以及他们普遍使用的估值乘数是什么)一个不错的方法。 2. 在Unlevered DCF的分析过程中, 什么才是合适的折现率? 由于在Unlevered DCF中自由现金流是pre-debt的(举个栗子帮助你理解这个问题,想象无杠杆现金流(unlevered cash flow)就是无举债的公司的现金流-所以公司没有利息支出,也无法从利息支出中获得税收利益),现金流的成

高盛投行面试经验 先自我介绍一下,偶系计算机系小本,专业技术不算突出(虽然还是热爱自己的专业的),但做事情比较认真,喜欢英语这门科目。 先概述一下自己从投简历到被录取的过程,然后叙述一下对于各个环节的个人感想,这个算是此面经的基本框架吧。 (一)应聘过程 高盛今年在中国大陆地区主要在七所高校开办了宣讲会,大约于十月中旬的一个周三来的南大,因为我对自己被这样的金融公司录取没抱很大信心,再加上喜欢陆MM 的并行计算课,没舍得跷,所以当五点钟赶到逸夫管理大楼的报告厅的时候,宣讲会已经结束了,剩下一些同学在围着招聘人员就公司情况和录取过程等一些事情询问。大概是因为商院的同学比较多的缘故吧,大家好像都对FICC(fixed income,currencies and commodities)这个部门比较感兴趣,都在围着来自这个部门的MM询问(刚巧该MM会说中文)。我插空递上了自己的简历,那个MM 扫视了一下,好像有点兴趣,说既然你是计算机系的学生,不如尝试申请一下我们的technology division,并指向不远处,说那是我们technology division的工作人员。我扭头一看,是个老外,旁边只围着两三个人,就向MM道谢,拿起自己的简历,向那个老外走过去。老外名Joe,非常nice,听说我因为来晚了,没能赶上宣讲会,就又给我对该部门的职能,主要从事的工作进行了一些介绍,我当时颇有些受宠若惊,(后来拿到Joe的名片的时候,发现他是Tokyo的Technology Division的vice president就更加吃惊了,这么高level的人都来了,说明高盛对招聘工作还是非常重视的。)由于我只带了份中文简历,就只好把自己简历上面的内容一项一项解释给Joe听,参加过些什么项目,有过一些什么样的活动经历,获得过些什么奖项等等。Joe说我英语满流利的,是不是在国外生活过,我说没有,我只是刚巧在香港做过交换生,那边是英文教学的。Joe 还问了我是否知道这个职位是在东京,他说在中科大做宣讲的时候,好像很多同学都不知道职位是在东京等等,我就表示自己愿意赴遥远的东京工作。后来wenxin MM过来了,同样是来自Technology Division的工作人员,不过是个上海的MM,大家就中英文夹杂的交流。wenxin简单介绍了一下自己的经历,并且谈了谈作为一个中国人在日本、在高盛工作的感想,使我对这份工作更加感兴趣了。临走的时候,Joe说非常感谢你对我们公司的关注,就你简历上面所反映的情况,我觉得你还是很qualify的,我相信你一定可以得到我们的第一个电话interview的。 online application: 听了宣讲会之后,我对高盛更加感兴趣了,也对申请有了一点信心,回家就填写了高盛的online application, 顺便把它的网页认真浏览了一下,该打印的内容打印了出来,便于后面多熟悉熟悉。在线填写并不复杂,和其它外企的网申差不多,好像多了一个语言选项吧,我填了流利的普通话、广东话、英语,和初级日语(日语小时候学了点忘的差不多了,临面试了,roommate sasa 给我补了一个晚上)。申请了两个部门:FICC 和Technolgy。马上收到了系统的recruitment confirmation, 等后面的回音了。 第一轮电话面试: 11月9号收到的email,通知三天内会有电话面试,因为申请了两个部门,就收到了两个电话,问的问题差不多,主要有:Why investment bank?
