The following words and expressions shall have the meanings assigned to them except where the context otherwise requires:

1.1.1 (see below: 1vii)

(i) “Project” means the project named in the Particular

Conditions for which the Works are to be provided. 1.1.2 “Project” means the project named in the Particular

Conditions for which the Services are to be

provided.

(ii) “Services” means the services to be performed by the Consultant in accordance with the Agreement

and comprise Normal Services, Additional Services and Exceptional Services. 1.1.3 “Services” means the services defined in Appendix

1 [Scope of Services] to be performed by the

Consultant in accordance with the Agreement

which comprise Normal Services, Additional

Services and Exceptional Services.

(iii) “Works” means the permanent works to be executed (including the goods and equipment to be supplied to the Client) for the achievement of the

Project. 1.1.4 “Works” means the permanent works (if any) to be

executed (including the goods and equipment to be

supplied to the Client) for the achievement of the

Project.

1.1.5 “Country” means the country to which the Project

(or most of it) relates.

1.1.6 “Party” and “Parties” means the Client and the

Consultant and “third party” means any other

person or entity as the context requires.

1 DEFINITIONS

(iv) “Client” means the party named in the Agreement,

who employs the Consultant, and legal successors

to the Client and permitted assignees. 1.1 Definitions

1.1.7 “Client” means the Party named in the Agreement,

who employs the Consultant, and legal successors

to the Client and permitted assignees.

(v) “Consultant” means the party named in the Agreement, who is employed as an independent professional firm by the Client to perform the

Services, and legal successors to the Consultant and permitted assignees. 1.1.8 “Consultant” means the professional firm or

individual named in the Agreement, who is

employed by the Client to perform the Services, and

legal successors to the Consultant and permitted

assignees.

1.1.9 “FIDIC” means the Fédération Internationale des

Ingénieurs-Conseils, the international federation of

consulting engineers.

(vi) “party” and “parties” means the Client and the Consultant and “third party” means any other

person or entity as the context requires.

(vii) “Agreement” means the Conditions comprising the Conditions of the Client/Consultant Model Services Agreement (General Conditions and Particular

Conditions) together with Appendix A (Scope of

Services), Appendix B (Personnel, Equipment,

Facilities and Services of Others to be provided by

the Client), Appendix C (Remuneration and

Payment), Letter of Acceptance and Formal

Agreement if completed, or otherwise as specified

in the Particular Conditions. 1.1.1 “Agreement” means the Conditions of the

Client/Consultant Model Services Agreement

(General Conditions and Particular Conditions)

together with Appendix 1 [Scope of Services],

Appendix 2 [Personnel, Equipment, Facilities and

Services of Others to be Provided by the Client],

Appendix 3 [Remuneration and Payment],

Appendix 4 [Time Schedule for Services], and any

letters of offer and acceptance, or otherwise as

specified in the Particular Conditions.

1.1.10 “Commencement Date” means the date stated in

the Particular Conditions.

1.1.11 “Time for Completion” means the time period stated

for this purpose in the Particular Conditions.

(viii)“day” means the period between any one midnight and the next. 1.1.12 “day” means a calendar day and “year” means 365

days.

(ix) “month” means a period of one month according to

the Gregorian calendar commencing with any day

of the month.

1.1.13 “written” or “in-writing“ mean hand-written, type-

written, printed or electronically made, and resulting

in a permanent un-editable record.

(x) “Local Currency” (LC) means the currency of the country where the Project is located and “Foreign Currency” (FC) means any other currency. 1.1.14 “Local Currency” (LC) means the currency of the

Country and "Foreign Currency" (FC) means any

other currency.

(xi) “Agreed Compensation” means additional sums as defined in the Particular Conditions which are

payable under the Agreement. 1.1.15 “Agreed Compensation” means additional sums as

defined in Appendix 3 [Remuneration and

Payment] which are payable under the Agreement.

(i) The headings in the Agreement shall not be used in

its interpretation. 1.2.1 The marginal words and other headings in the

Agreement shall not be taken into consideration in

the interpretation of these Conditions.

(ii) The singular includes the plural, the masculine includes the feminine, and vice-versa where the context requires. 1.2.2 The singular includes the plural, and vice-versa

where the context requires.

(iii) If there is conflict between provisions of the Agreement, the last to be written chronologically shall prevail, unless otherwise specified in the

Particular Conditions. 1.2.3 The documents forming this Agreement are to be

taken as mutually explanatory of one another. If

there is a conflict between these documents, the

last to be agreed shall prevail, unless otherwise

specified in Part B of the Particular Conditions. 1.2.4 Words indicating one gender include all genders.

2 INTERPRETATION 1.2 Interpretation

1.2.5 Provisions including the word “agree”, “agreed” or

“agreement” require the agreement to be recorded

in writing, and signed by both Parties.

1.3 Communications Whenever provision is made for the giving or issue

of any notice, instruction or other communication by

any person, unless otherwise specified such

communication shall be written in the language

stated in the Particular Conditions and shall not be

unreasonably withheld or delayed.

Arrangements The Client shall submit, within 28 days after receiving any request from the Consultant, reasonable evidence that financial arrangements have been made and are being maintained which will enable the Client to pay the Consultant’s fees in accordance with Appendix 3 [Remuneration and Payment]. If the Client intends to make any material change to his financial arrangements, the Client shall give notice to the Consultant with detailed particulars.

OBLIGATIONS OF THE CONSULTANT 3 THE CONSULTANT

3. SCOPE

OF

SERVICES

The Consultant shall perform Services relating to

the Project. The Scope of the Services is stated in

Appendix A.

3.1 Scope of Services 3.1.1 The Consultant shall perform the Services as stated

in Appendix 1 [Scope of Services ].

(i) Normal Services are those described as such in

Appendix A.

3.2.1 Normal and Additional Services are those described

as such in Appendix 1 [Scope of Services ].

(ii) Additional Services are those described as such in

Appendix A or which by written agreement of the

parties are otherwise additional to Normal Services.

4. NORMAL,

ADDITIONAL AND

EXCEPTIONAL

SERVICES

(iii) Exceptional Services are those which are not

Normal or Additional Services but which are

necessarily performed by the Consultant in

accordance with Clause 28. 3.2 Normal,

Additional

and Exceptional

Services

3.2.2 Exceptional Services are those which are not

Normal or Additional Services but which are

necessarily performed by the Consultant in

accordance with Clause 4.8.

(i) The Consultant shall exercise reasonable skill, care

and diligence in the performance of his obligations

under the Agreement. 3.3.1 Notwithstanding anything else in this Agreement or

any legal requirement of the Country or any other

jurisdiction (including, for the avoidance of doubt,

the jurisdiction of the place of establishment of the

Consultant), the Consultant shall have no other

responsibility than to exercise reasonable skill, care

and diligence in the performance of his obligations

under the Agreement.

(ii) Where the Services include the exercise of powers or performance of duties authorised or required by

the terms of a contract between the Client and any third party, the Consultant shall: 3.3.2 Where the Services include the exercise of powers

or performance of duties authorised or required by

the terms of a contract between the Client and any

third party, the Consultant may:

(a) act in accordance with the contract provided that

the details of such powers and duties are

acceptable to him where they are not described in Appendix A. (a) have due regard to the third party contract provided

acceptable to him and agreed in writing where they

are not described in Appendix 1 [Scope of

Services];

5. DUTY OF CARE

AND EXERCISE

(b) if authorised to certify, decide or exercise discretion,

do so fairly between the Client and third party not as

an arbitrator but as an independent professional

acts by his skill and judgement. 3.3 Duty of Care and

Exercise of

Authority

(c) if so authorised vary the obligations of any third

party, subject to obtaining the prior approval of the

emergency when the Consultant shall inform the

6. CLIENT'S

PROPERTY Anything supplied by or paid for by the Client for the

use of the Consultant shall be the property of the

Client and where practicable shall be so marked.

When the Services are completed or terminated the

Consultant shall furnish inventories to the Client of

what has not been consumed in the performance of

the Services and shall deliver it as directed by the

Client. Such delivery shall be regarded as an

Additional Service.

3.4 Client’s Property 3.

use of the Consultant shall be the property of the

Client and where practicable shall be so marked.

OBLIGATIONS OF THE CLIENT

7 INFORMATION The Client shall so as not to delay the Services

and within a reasonable time give to the

Consultant free of cost all information in his power

to obtain which may pertain to the Services. 2.1 Information 2.1.1 In order not to delay the Consultant in the

performance of the Services, the Client shall within

a reasonable time give to the Consultant free of

cost all information which may pertain to the

Services which the Client is able to obtain.

8 DECISIONS On all matters properly referred to him in writing

by the Consultant the Client shall give his decision

in writing so as not to delay the Services and

within a reasonable time. 2.2 Decisions 2.2.1 On all matters properly referred to him in writing by

the Consultant the Client shall give his decision in

writing within a reasonable time so as not to delay

the Services.

9 ASSISTANCE In the country of the Project and in respect of the

Consultant, his personnel and dependants, as the

case may be, the Client shall do all in his power to

assist in: 2.3 Assistance 2.3.1 In the Country and in respect of the Consultant, his

personnel and dependants, as the case may be, the

Client shall do all in his power to assist in:

(i) the provision of documents necessary for entry,

residence work and exit; (a) the provision of documents necessary for entry,

residency, working and exit;

(ii) providing unobstructed access wherever it is required for the Services; (b) providing unobstructed access wherever it is

required for the Services;

(iii) import, export and customs clearance of personal effects and of goods required for the Services; (c) import, export and customs clearance of personal

effects and of goods required for the Services;

(iv) their repatriation in emergencies; (d) their repatriation in emergencies;

(v) the provision of the authorities necessary to permit the import of foreign currency by the Consultant

for the Services and by his personnel for their

personal use and to permit the export of money

earned in the performance of the Services; (e) the provision of the authority necessary to permit

the import of foreign currency by the Consultant for

the Services and by his personnel for their personal

use and to permit the export of money earned in the

performance of the Services; and

(vi) providing access to other organisations for collection of information which is to be obtained by the Consultant. (f) providing access to other organisations for

the Consultant.

10. EQUIPMENT

AND FACILITIES The Client shall make available, free of cost, to

the Consultant for the purpose of the Services the

equipment and facilities described in Appendix B.

2.5 Equipment

Others to be Provided by the Client].

11. CLIENT'S

PERSONNEL In consultation with the Consultant, the Client shall

at his own cost arrange for the selection and

provision of personnel in his employment to the

Consultant in accordance with Appendix B. In

connection with the Services such personnel shall

take instructions only from the Consultant.

2.6.1 In consultation with the Consultant, the Client shall

at his own cost arrange for the selection and

provision of personnel in his employment to the

Consultant in accordance with Appendix 2

[Personnel, Equipment, Facilities and Services of

Others to be Provided by the Client]. In connection

with the provision of the Services such personnel

shall take instructions only from the Consultant.

12. SERVICES

OF

OTHERS The Client shall at his cost arrange for the

provision of services from others as described in

Appendix B, and the Consultant shall co-operate

with the suppliers of such services but shall not be

responsible for them or their performance.

2.8 Services of Others 2.8.1 The Client shall at his cost arrange for the provision

of services from others as described in Appendix 2

[Personnel, Equipment, Facilities and Services of

Others to be Provided by the Client ], and the

Consultant shall co-operate with the suppliers of

such services but shall not be responsible for them

or their performance.

PERSONNEL

The personnel who are sent by the Consultant to work in the country of the Project shall have been physically examined and found fit for their assignments, and their qualifications shall be acceptable to the Client. 3.5.1 The personnel who are proposed by the Consultant

to work in the Country shall be subject to

acceptance by the Client with regard to their

qualifications and experience; such acceptance

shall not be unreasonably withheld.

The personnel to be supplied by the Client in accordance with Clause 11 shall be acceptable to the Consultant. 2.6.2 The personnel to be supplied by the Client, and any

future replacements that may be necessary, shall

be subject to the acceptance of the Consultant;

such acceptance shall not be unreasonably

withheld.

13. SUPPLY OF

PERSONNEL

If the Client cannot supply Client’s personnel or

services of others for which he is responsible and

it is agreed to be necessary for the satisfactory

performance of the Services, the Consultant shall

arrange for its supply as an Additional Service 3.5 Supply

of

2.6.3 If the Client cannot supply Client’s personnel for

which he is responsible and it is agreed to be

necessary for the satisfactory performance of the

Services, the Consultant shall arrange for such

supply as an Additional Service.

For the administration of the Agreement each party shall designate the official or individual to be his representative. 2.7 Client’s

Representative

2.7.1 The Client shall designate an official or individual to

be his representative for the administration of the

Agreement.

3.6.1 For the administration of the Agreement the

Consultant shall designate an official or individual to

be his representative.

14 REPRESENTATIVES

If required by the Client, the Consultant shall designate an individual to liase with the Client's representative in the country of the Project. 3.6 Representatives

3.6.2 If required by the Client, the Consultant shall

designate an individual to liaise with the Client’s

representative in the Country.

If it is necessary to replace any person, the party responsible for the appointment shall immediately arrange for replacement by a person of comparable competence. 3.7.1 If it is necessary to replace any of the personnel

provided by the Consultant, the Consultant shall

arrange for replacement by a person of comparable

competence as soon as reasonably possible.

The cost of such replacement shall be borne by the party responsible for the appointment except that if the replacement is requested by the other party 3.7.2 The cost of such replacement shall be borne by the

Consultant except where the replacement is

requested by the Client, and in such case:

(i) such request shall be in writing stating the

reasons for it and (a) the request shall be in writing stating the reasons for

it; and

15. CHANGES IN

PERSONNEL

(ii) the party making the request shall bear the cost of

replacement unless misconduct or inability to

perform satisfactorily is established as the reason.Changes in

Liability of the Consultant 16.1 6.1

The Consultant shall only be liable to pay compensation to the Client arising out of or in connection with the Agreement if a breach of Clause 5(i) is established against him. 6.1.1 The Consultant shall only be liable to pay

compensation to the Client arising out of or in

connection with the Agreement if a breach of

Clause 3.3.1 is established against him.

Liability of the Client 16.2

The Client shall be liable to the Consultant if a breach of his duty to the Consultant is established against the Client. 6.1.2 The Client shall be liable to the Consultant if a

breach of his duty to the Consultant is established

against the Client.

Compensation

16.3

If it is considered that either party is liable to the other, compensation shall be payable only on the following terms: 6.1.3 If it is considered that either Party is liable to the

(i) Such compensation shall be limited to the amount

of reasonably foreseeable loss and damage

suffered as a result of such breach, but not

16. LIABILITY BETWEEN

THE PARTIES

(ii) In any event, the amount of such compensation

will be limited to the amount specified in Clause

18.1. Liability and

6.3.1;

(iii) If either party is considered to be liable jointly with third parties to the other, the proportion of

compensation payable by him shall be limited to

that proportion of liability which is attributable to

his breach. (c) if either Party is considered to be liable jointly with

third parties to the other, the proportion of

compensation payable by that Party shall be limited

to that proportion of liability which is attributable to

his breach.

17 DURATION OF

LIABILITY Neither the Client nor the Consultant shall be

considered liable for any loss or damage resulting

from any occurrence unless a claim is formally

made on him before the expiry of the relevant

period stated in the Particular Conditions, or such

earlier date as may be prescribed by law.

6.2 Duration of Liability Notwithstanding anything else in this Agreement or

any legal requirement of the Country or any other

jurisdiction (including, for the avoidance of doubt,

the jurisdiction of the place of establishment of the

Consultant), neither the Client nor the Consultant

shall be considered liable for any loss or damage

resulting from any occurrence unless a claim is

formally made on him before the expiry of the

relevant period stated in the Particular Conditions. Limit of Compensation 18.1

The maximum amount of compensation payable

by either party to the other in respect of liability

under Clause 16 is limited to the amount stated in

the Particular Conditions. This limit is without

prejudice to any Agreed Compensation specified

under Clause 31(ii) or otherwise imposed by the

Agreement.

6.3.1 The maximum amount of compensation payable by

either Party to the other in respect of liability under

Clause 6.1 is limited to the amount stated in the

Particular Conditions. This limit is without prejudice

to any Agreed Compensation specified under

Clause 5.2.2 or otherwise imposed by the

Agreement.

Each party agrees to waive all claims against the

other in so far as the aggregate of compensation

which might otherwise be payable exceeds the

maximum amount payable.

6.3.2 Each Party agrees to waive all claims against the

other in so far as the aggregate of compensation

which might otherwise be payable exceeds the

maximum amount payable.

If either party makes a claim for compensation

against the other party and this is not established

the claimant shall entirely reimburse the other for

his costs incurred as a result of the claim.

6.3.3 If either Party makes a claim for compensation

against the other Party and this is not established

the claimant shall fully reimburse the other for his

costs incurred as a result of the claim. Indemnity 18.2

6.3 Limit

18 LIMIT OF

COMPENSATION

AND INDEMNITY

So far as the applicable law permits, the Client shall indemnify the Consultant against the adverse effects of all claims including such claims by third parties which arise out of or in connection with the Agreement: 6.4 Indemnity 6.4.1 So far as the law governing this Agreement permits,

the Client shall indemnify the Consultant against the

adverse effects of all claims including claims by

third parties which arise out of or in connection with

the Agreement including any made after the expiry

(i)

except insofar as they are covered by the

insurances arranged under the terms of Clause 19.

(ii) made after the expiry of the period of liability

referred to in Clause 17. of the period of liability referred to in Clause 6.2, except insofar as they are covered by the

insurances arranged under the terms of Clause 7.1.

第三节流水生产组织 研究生产过程组织的目的,是为了在空间上和时间上合理地组织生产过程,提高劳动生产率和设备利用率,缩短生产周期,加速资金周转,降低产品成本。采用对象专业化的空间组织形式和平行移动的时间组织方式,是达到此目的的两个重要方法。而流水生产把高度的对象专业化的生产组织和劳动对象的平行移动方式有机地结合 起来,成为一种先进的生产过程组织形式。特别是在大量生产企业和成批生产企业中,流水生产占有十分重要的地位。 2.3.1流水生产的特征、形式和组织条件 一、流水生产的特征 流水生产是指劳动对象按一定的工艺路线和统一的生产速度,连续不断地通过各个工作地,顺序地进行加工并出产产品(零件)的一种生产过程组织形式。典型的流水生产线具有以下特点: 1、工作地专业化程度高,在流水线上固定生产一种或有限几种产品(零件),在每个工作地上固定地完成一道或几道工序。 2、生产具有明显的节奏性,即按照规定的节拍进行生产。 3、流水线上各工序之间的生产能力是平衡的,成比例的,即各道工序的工作地(设备)数同各道工序单件时间的比例相一致。设流水线上各道工序的工作地(设备)数分别为s1,s2,s3,…,s m,各道工序的单件时间分别为t1,t2,t3,…,t m,流水线节拍为r,为使流水线各工序之间保持平衡,必须有: (2.1) 4、工艺过程是封闭的,并且工作地(设备)按工艺顺序排列成链状,劳动对象在工序间作单向移动。 5、劳动对象流水般地在工序之间移动,生产过程具有高度的连续性。 将一定的设备、工具、传送装置和人员按照上述特征组织起来的生产线称为流水线。如果工作地(设备)是按工艺顺序排列,但不满足上述特征的要求,只能称为生产线。 二、流水线分类 1、按生产对象的移动方式 ①固定流水线。即生产对象固定不动,由不同工种的工人(组或队)携带工具按规定的节拍轮流到各个产品上去完成自己所担任的工序。这种生产组织形式适用于装配特别笨重、巨大的产品,以及在造船、建筑、工程施工等部门中采用。 ②移动流水线。即生产对象移动,工人和设备、位置固定,生产对象顺次经过各道工序的工作地进行加工或装配。这种生产组织形式在机械制造、服装等工业部门广泛采用。 2、按生产对象的数目 ①单一对象流水线。即一条流水线只固定生产一种产品。故又称为大量或不变流水线。 ②多对象流水线。即一条流水线上生产两种以上制品,并且按轮换方式不同,又可分为可变流水线、成组流水线和混合流水线。 3、按生产过程的连续程度

1、菲迪克(FIDIC)定义、起源、目的、发展、现状 (1)定义 FIDIC是“国际咨询工程师联合会”(Fédération Internationale Des Ing énieurs Conseils)的法文缩写。中文音译为“菲迪克”;其英文名称是International Federation of Consulting Engineers;指国际咨询工程师联合会这一独立的国际组织。 我们通常所说的FIDIC条款,就是指FIDIC施工合同条件。条款通过业主和承包商签定的承包合同作为基础,以独立、公正的第三方(施工监理)为核心,从而形成业主、监理、承包商三者之间互相联系、互相制约、互相监督的合同管理模式。 FIDIC条款虽然不是法律,也不是法规,但是全世界公认的一种国际惯例。 (2)起源 于1913年由欧洲(法国、比利时)3国独立的咨询工程师协会在比利时根特成立。1949年,英国土木工程师协会成为正式代表,并于次年以东道主身份在伦敦主办FIDIC代表会议,一般历史学家将这次会议描述成当代国际咨询工程师联合会的诞生。1959年,美国、南非、澳大利亚和加拿大也加入了联合会,FIDIC从此打破了地域的划分,成为了一个真正的国际组织。现在本部在瑞士的洛桑。1996年,我国加入。FIDIC是国际上最有权威的被世界银行认可的咨询工程师组织。 (3)目的 “国际咨询工程师联合会”是共同促进成员协会的行业利益,代表着全世界大多数私营的咨询工程师。以及向成员协会传播他们感兴趣的信息。在创立之初,FIDIC组织的最重要的职业道德准则之一就是咨询工程师的行为必须独立于承包商、制造商和供应商之外,他必须以独立的身份向委托人提供工程咨询服务,为委托人的利益尽责,并仅以此获得报酬。 FIDIC举办各类研讨会、会议及其他活动,目的在于实现其行业目标:坚持高水平的道德和职业标准;交流观点和信息;讨论成员协会和国际金融机构代表共同关心的问题;以及促进发展中国家工程咨询业的发展。 FIDIC的出版物包括:各类会议和研讨会的论文集,为咨询工程师、项目业主和国际发展机构提供的信息,资格预审标准格式,合同文件以及客户与咨询单位协议书。它们可以从设在瑞士的FIDIC秘书处得到。 (4)发展 FIDIC合同条件第1版于1957年、第2版于1963年、第3版于1977年、1988年及1992年做了两次修改,习惯对1988年版称为第4版。1999年国际工程师联合会根据多年来在实践中取得的经验以及专家、学者的建议与意见,在继承前四版优点的基础上进行重新编写(即新编FIDC合同条件)。

FIDIC生产设备和设计施工合同下的信用证付款方式

国际工程承包中,信用证的使用越来越广泛。它在以往的工程承包项目中主要用于对设备的付款,但在总承包方式中,承包商承担了全部的设计、采购和施工,由于土木工程和设备工程存在紧密关系,使得越来越多的雇主将土木工程部分的付款也采用信用证方式。在FIDIC于1999年出版了《生产设备和设计施工合同条件》(简称“新黄皮书”)后,一些大型的国际工程总承包项目采用此合同条件,并在付款方式上也采用信用证支付全部合同价款。 一、信用证付款方式 信用证的种类很多,从不同的角度可作不同的划分。在业务中使用较多的信用证包括跟单信用证、可(不可)撤销的信用证、保兑信用证、可转让信用证、循环信用证、即期信用证、远期信用证、对开信用证、付款信用证、议付信用证等等。在实际应用中,可能是上述两种以上信用证的结合,如在工程总承包合同中最为常见的议付不可撤消的即期跟单信用证,就包括了议付、不可撤消、即期、跟单等特征。 “议付信用证”是指开证银行允许受益人向某一指定银行或者任一银行交单议付的信用证。议付是指在单据相符的情况下,银行买下跟单汇票,扣除利息和手续费后,将货款传给受益人。 “不可撤销的信用证”是指信用证一经开出,在有效期内非经信用证各有关当事人同意,开证行不能片面修改或撤销的信用证。只要信用证的受益人提供了与信用证条款相符的单据,开证行就必须履行付款的义务,这对卖方收取款项有较大的保障。因此,在对外承包工程中,应要求对方开立“不可撤销的信用证”,以便更好地保障我国对外承包公司的利益。 “付款信用证”是指定某一银行付款的信用证,在对总承包合同中的土建部分进行付款时往往采用这种信用证。当信用证的受益人向指定的银行提交规定的单据后,付款行即行付款。付款信用证一般不要求受益人出具汇票,而凭受益人提交的合格单据付款。因此信用证的保证文字中要说明:“我行保证凭提交的符合信用证条款的单据付款。” 对于我国的对外承包企业来说,具备下列性质的信用证都是有利的:电开(开证行将信用证内容以加注密押的电报或电传通知卖方所在地的通知行)、不可撤销、即期以及总额或循环(利于分期付款)。当对开证行的资信不十分了解时,可要求加以保兑,议付行则直接由中国银行或其分行担任。由于开证行和买方同处于一个国家,往往容易产生共谋,欺骗卖方,因此,在合同中最好规定开证行必须得到受益人(卖方)的认可。 FIDIC生产设备和设计施工 合同下的信用证付款方式 吕文学陈茜陈卓 内容提要:信用证是国际结算中最普遍使用的付款方式,主要用于货物的买卖合同。从信用证 与FIDIC合同条件的结合角度,分析总承包项目的全额信用证付款方式和如何修改FIDIC “新黄皮书”的支付条款,提出要重点审核单证不符、合同与单证不符以及合同各个文件的规 定不一致。 关键字:信用证总承包项目FIDIC合同条件
