ESTABLISHMENT OF JV COMPANY WITH QIJIANG GEAR
TRANSMISSION AND REINTEL
The Board is pleased to announce that on4May2015,the Company,Qijiang Gear Transmission(a wholly-owned subsidiary of the Company)and Reintel entered into the JV Contract,pursuant to which,the Company,Qijiang Gear Transmission and Reintel have agreed to establish a JV Company in the name of Chongqing QG Reintel Transmission Company Limited（重慶綦齒睿安特變速器有限公司）(name subject to the final approval of Chongqing Administration for Industry and Commerce)

in Qijiang District,Chongqing,the PRC for the purpose of undertaking the Project of200,000Sets of Medium-and Heavy-Duty Vehicle Gearboxes of Qijiang Gear Transmission.The principal terms of the JV Contract are as follows:

c.JV Company
The JV Company,which will be based in Qijiang District,Chongqing,the PRC,will undertake the Project of200,000Sets of Medium-and Heavy-Duty Vehicle Gearboxes of Qijiang Gear Transmission.Upon completion of the capital contribution by the parties,the JV Company will be held as to55%by Reintel,35%by Qijiang Gear Transmission and10%by the Company, respectively.
d.Capital Contribution
The registered capital of the JV Company will be RMB200,000,000,of which Reintel will contribute RMB110,000,000in cash,representing55%of the equity interests;Qijiang Gear Transmission will contribute RMB70,000,000in the forms of land and cash,with the land valuing RMB33,756,700which is based on the land valuation report((Chongqing)Zhongding [2015](Gu)Zi No.07)issued by Chongqing Zhongding Asset Appraisal and Real Estate Valuation Co.,Ltd.and the cash amounting to RMB36,243,300,representing35%of the equity interests;and the Company will contribute RMB20,000,000in cash,representing10%of the equity interests.

The board of the JV Company will comprise seven directors.The directors will be appointed by the shareholders,of which,Reintel is entitled to nominate four directors,Qijiang Gear Transmission is entitled to nominate two directors,while the Company is entitled to nominate one director.The board of the JV Company will have one chairman who will be nominated by Reintel,and one vice chairman who will be nominated by the Company.It is agreed by the parties that Reintel may nominate staff from Qijiang Gear Transmission to act as the chairman of the board of the JV Company.
f.Transfer of equity
In the event that any party intends to transfer all or any part of its equity interests in the JV Company,prior written notice shall be served to the other two parties,and the other two parties shall have the first rights of refusal under the same conditions.
COOPERATION AMONG THE PARTIES
On25October2011,the production base project with an annual capacity of400,000sets of medium-and heavy-duty automobile gearboxes(200,000sets for Phase I of the project)of Qijiang Gear Transmission was approved at the11th extraordinary meeting of the2nd session of the Board of the Company in2011,details of which were set out in the announcement of the Company dated25 October2011.The total investment of the Project amounted to RMB900million,of which fixed asset investments amounted to RMB765million.On10October2013,it was approved that the fixed asset investments of the Project be reduced to RMB750million at the1st extraordinary meeting of the3rd session of the Board of the Company in2013.Currently,the contractual value of the Project amounts to RMB590million,among which RMB440million has been injected with the land turning into fixed asset.The Project will be put into operation in2015.
The parties will fund to establish the JV Company,where Qijiang Gear Transmission will contribute in the forms of fixed assets(https://www.360docs.net/doc/a515756263.html,nd)and cash,while Reintel and the Company will contribute in cash.All costs of the Project(except the land and equipment of the technology center)will be borne by the JV Company.The capital invested and the relevant financial costs incurred by Qijiang Gear Transmission for the Project will be reimbursed,while the remaining outstanding contractual amount together with the costs to be incurred for the Project in the future will be borne by the JV Company.

The Company mainly engages in the manufacturing and sales of automobile parts and components, power equipment,general machinery and CNC machine tools.
Information on Qijiang Gear Transmission
Qijiang Gear Transmission mainly engages in the manufacturing and sales of gear boxes for large and medium passenger vehicles,gear boxes for heavy-duty vehicles and axle gears.
Information on Reintel
Reintel is a comprehensive private technology company mainly engaged in steel structure engineering,TBM engineering and other businesses.
Reasons for and Benefits of Entering into the JV Contract
By forming partnership with private companies,it will present a good opportunity to introduce the flexible operation and management mechanism of private companies,so as to promote penetration into the truck gearbox market by Qijiang Gear Transmission and achieve industrialization production. As a private technology company and with the core system developed by it,Reintel will help to achieve breakthrough in the new products of the JV Company.
The Board(including independent non-executive Directors)believes that the JV Contract entered into with Qijiang Gear Transmission and Reintel is on normal commercial terms and the terms are fair and reasonable and in the interests of the Company and shareholders as a whole.As none of the Directors has any material interests in the JV Contract,they are not required to abstain from voting on the relevant Board resolution in accordance with the Listing Rules and/or the Articles of Association of the Company.
LISTING RULE IMPLICATIONS
The transaction contemplated under the JV Contract does not constitute any notifiable transaction of the Company under Chapter14of the Listing Rules.

白公馆、渣滓洞游记

党支部开展党员参观学习活动 7月12日，为了深入贯彻学习实践科学发展观，积极创建学习型党支部，高场镇中心卫生院党支部全体党员在重庆渣滓洞、红岩纪念馆、白公馆、歌乐山开展了一次主题为弘扬雷锋精神、深入学习实践科学发展观的主题活动。 我院党支部组织参观了歌乐山的白公馆和渣滓洞。看了掩映在林木间的旧址以及陈列的图片、实物，心里想像着江姐、许云峰、小萝卜头等一张张坚贞不屈的脸庞，恍若隔世，心潮不平，思绪驰向那个血雨腥风的年代。 歌乐山，一个如此动听的名字，一个风景如画的地方。然而，六十年前，这里却是阴森恐怖的人间地狱，几百名戴着脚镣手铐的共产党员、革命志士、青年学生、妇女甚至小孩遭到国民党军统特务惨绝人寰的折磨和屠杀，他们的鲜血染红了歌乐山上的渣滓洞、白公馆，染红了松林坡、步云桥和梅园。 渣滓洞，一个原本就不会讨人喜欢的地方。今天，顺着蜿蜒崎岖的山路进入中美合作所集中营旧址——渣滓洞监狱，呈现在眼前的仍然是一派萧杀的景象。院落的四周是虎视眈眈的碉堡、暗哨、铁丝网，院中的牢房是黑暗、潮湿、阴冷、仅三米见方的小屋。每个房间住十人左右，房中惟一通风的地方是那个巴掌大的窗户。看到一组组陌生的名单，看到一张张发黄的照片，眼前浮现出革命志士的宁愿把牢底坐穿的视死如归的音容笑貌。 在渣滓洞监狱的一个不起眼的房间里，我看到了监狱的刑讯室，看到了用来拷打、迫害革命志士的数十种刑具。那些脚镣、手铐、烙铁早已锈迹斑斑，皮鞭、老虎凳也蒙上厚厚的灰尘。讲解员缓缓描述着骇人听闻的“披麻带孝”、“烤人油”、“点灯”等人间酷刑，实在不忍卒听。 参加革命者并非铁板一块，面对国民党特务的淫威酷刑和突如其来的死亡威胁，刘国定等贪生怕死者的精神彻底崩溃了，他们把党的机密和盘托出，成了可耻的叛徒。而江姐等革命烈士面对敌人的严刑拷打和死亡威胁，却表现出“生当作人杰，死亦为鬼雄”的宁死不屈的伟大精神。 在白公馆监狱，我看到一面用红色绣花被面做成的五星红旗。缀在中间的一颗大星和环绕四周的四颗小星，都是用草纸做成的，这是狱中难友为迎接重庆解放而精心制作的一面国旗。当他们听到中华人民共和国成立，第一面五星红旗飘

渣滓洞社会实践参观 利用暑假探亲机会，我参观了渣滓洞，感悟革命道路的艰难曲折，学习革命先辈的伟大精神。 渣滓洞，位于重庆市郊歌乐山下磁器口一带，它三面环山，一面临沟，地形隐蔽。1938年起，这里被国民党特务机关改造成秘密监狱，专门用来关押和迫害革命者。渣滓洞分内、外两院，内院有一楼一底的男牢16间，另有两间平房作女牢，外院为特务办公室和刑讯室。解放前夕，国民党特务纵火焚烧了渣滓洞，仅逃出15位被囚禁的革命者，其余皆不幸牺牲。1947年12月，关闭半年多的渣滓洞作为重庆行辕二处第二看守所重新关人。关押人员来源主要有1947年“六、一”大逮捕的“要犯”、《挺进报》案和“小民革”案中的被捕人员。上下川东武装起义失败后的被捕起义人员，最多时达三百多人。江竹筠、许建业、余祖胜等烈士曾在此关押过。为了从精神上瓦解革命者的斗志，特务们特意在渣滓洞内院墙上写“青春一去不复返，仔细想想，认明此时与此地，切莫执迷。”、“迷津无边，回头是岸”，“宁静忍耐，毋怨毋忧”的标语。外院是特务办公室，刑讯室。外院墙上写有讯示特务的标语“长官看不到、想不到、听不到、我们要替长官看到、想到、听到，做到”。 渣滓洞原本是一处小煤窑，因为出的煤渣比煤多，所以称其为渣滓洞。渣滓洞后来成了国民党反动派关押共产党员和革命志士的牢狱。渣滓洞分内院、外院，内院为二层牢房和放风的一小块空地，外院为牢头办公和刽子手审讯、用刑的地方。平方米的黑房里，每晚只能侧着用半个身子睡觉。敌人除了使用酷刑，还用断水断电、饮食虐待等卑鄙无耻手段企图瓦解革命者的斗志。但是，革命志士以视死如归和大勇大智的精神与敌人展开了不屈不挠的斗争。重庆解放前夕，反动派自知末日已到，对革命者进行了血腥的屠杀。 参观审讯用刑室时，只见室内布满了锈迹斑斑令人恐惧的铁链、手铐、钢鞭、老虎凳等各种刑具。睹物思人，我想到了《红岩》中的难忘情节：江姐在狱中受尽折磨，凶残的敌人把竹签钉进了她的十指。十指连心，痛彻入骨。面对毒刑，江姐傲然宣告：“毒刑拷打是太小的考验，竹签子是竹做的，共产党员的意志是钢铁。”此刻，我深切领悟到什么叫坚贞不屈，什么叫视死如归，江姐他们那一辈革命者不愧为真正的共产党员，那才是对共产主义信仰的无比坚定和铁心追求。与此相比，当今的极少数党员干部或贪污受贿，或以权谋私，或碌碌无为，他们在革命志士面前都应该极其愧疚，深感耻辱。

重庆磁器口—闹市边的古镇 Ciqikou is an old town preserved in sprawling modern Chongqing, about an hour's drive from the city center. It's an old sleepy town built in the Ming and Qing Dynasties. Although it's preserved as a tourist town, you don't have to pay to get in. The town's name, Ciqikou, means porcelain harbor, and the community prospered from the porcelain trade. Today it offers a glimpse of the peaceful laid-back life in the Sichuan countryside and is somewhere to take a break from the busy commercial world of Chongqing. A number of old courtyard compounds still stand here. Small as it is, the town used to have several temples, and one of them, a Taoism temple, had been turned into an elementary school. What makes the school special is one of its students. Nobel Prize Winner Samuel CC Ding, who we know as Ding Zhaozhong in Chinese, once studied here. A small classroom, small stool and desk, oil lamp, blackboard, and a picture of Doctor Sun Yet-san, that's the custom of the time. The old town has only two main streets and they've been taken up by all kinds of shops. The teahouse puts on a diverse range of entertainment shows staged from time to time. One of the shows is the famous Sichuan show 'Changing the face'. The biggest secret is how the performer changes his masks. In this performance, he has to switch masks something like nine times. It's such a difficult trick that sometimes it does not work, but the audience will always forgive him. The show originated from an old show in Sichuan called Nine Changes. There was a knight-errant called Baiyong who brought hope to many poor and unfortunate people. Every time he showed up, he changed his masks nine times. It's a way of indicating that he would help people but not ask anything in return. He did not let people know whom he was. Today it's purely a show of skills. Changing’s skyline today is dominated by modern highrises and skyscrapers. But more than half a century ago, during the Second World War, the Japanese forces bombed the city for five years. But the Chinese were not alone in fighting against the Japanese. Among all the others, is General Joseph Stilwell.

参观考察白公馆渣滓洞的感受 5月9日上午，局党支部组织集体参观了重庆白公馆、渣滓洞红色革命教育基地。满怀着对江姐、许云峰等革命烈士的敬仰，我们亲眼看到了烈士们曾经战斗和生活过的地方，对他们的英勇事迹有了更加详细的了解。白公馆原是四川军阀白驹的郊外别墅，1939年，军统特务头子戴笠为审讯、关押的保密起见，将其选中辟为军统局本部直属看守所，大门终日紧闭，只从侧面小门进出，原储藏室改为地牢，原防空洞改为刑讯洞。在白公馆里主要关押有一定知名度的共产党员和国民党内部有军衔的爱国将领，小说中的烈士江姐、许云峰、陈然、爱国将领黄显声以及小萝卜头和他的父母都被关押于此。渣滓洞原为人工采煤的小煤窑，因煤少渣多而得名。1943年白公馆被改为“中美合作所”招待所，所押“政治犯”暂迁此地。1947年12月关闭半年多时间的渣滓洞重新关人，最多时达300多人，江姐等烈士都曾在此关押过。通过参观地牢，我们可以想象到国民党反动派是如何用阴暗潮湿的地牢来折磨我们优秀的共产党人的意志的，看着那一张张英气勃勃的脸庞，他们是那么的年轻，在革命烈士遗作中有示儿诗，有写给妻子、孩子不要悲伤，跟着党走的离别信，有给兄弟姐妹勉励革命斗志的励志诗。1949年11月27
日，国民党反动派对关押在白公馆、渣滓洞看守所的革命者进行了灭绝人性的集体大屠杀，200多名革命志士饮恨枪弹，倒在了重庆解放的前夕。 通过参观，使我的心灵受到了洗礼和极大的震撼，江姐、许云峰、陈然、小萝卜头等一个个革命先烈的光辉形象依然浮现在眼前，他们钢铁般的意志、不屈不挠、大义凛然、置生死于度外的精神和对共产主义的坚定信念时刻教育着、激励着我。在改革开放的今天，不仅需要大力弘扬以改革创新为核心的时代精神，更加需要大力弘扬以爱国主义为核心的民族精神。我们要继承和学习革命先烈崇高的思想境界，坚定的理想信念，伟大的人格力量，浩然的革命正气，在今后的学习和工作中要扎实工作，锐意进取，勇于创新，为全面小康社会建设作出应有贡献。
