租赁合同

PREMISES LEASE CONTRACT

立合同人：

出租方（以下简称甲方）：

Parties to the Contract:Lessor (hereinafter referred to as Party A) :

承租方（以下简称乙方）：RAINES AGUSTINUS SETANUGRAHA

Tenant (hereinafter referred to as Party B) :

甲、乙双方经过友好协商一致订立本合同，以资共同遵守。

Having reached unanimity through friendly consultation and negotiation, Party A and Party B, hereby agree to enter into the following contract to be abided by both parties.

一建物地址：

甲方将其所有的位于上海市区的房屋在正常状态下出租给乙方

使用。

Address of Premises : Party A lets to Party B its lawfully owned premises in

normal condition ,located at _ District, Shanghai for residence

purpose.

二、房屋面积：

出租房屋的登记面积为方米（建筑面积）。

Area of Premises :The registered area of the premises let by Party A shall be square meters ( gross area).

三、租赁期限：

租赁期自年月日起至年月日止。甲方应于年月日_以前将房屋及附属设施交给乙方使用。

Lease Term: The lease term shall be from (month) (day)_ (year) to _(month) (day), _(year). Party A shall deliver the premises and accessory facilities to Party B for use before (month) (day) ______ (year).

四、定金：

Booking Deposit:

1、乙方应付的定金为_ 整，年月日支付给甲方定金共不足则

于当日内补足。

Party B should pay￥as a booking deposit . The deposit to be paid to Party A on _ (month)

(day), _(year) shall be ￥total. Any shortage shall be made up within ONE days

2、在本合同签定之后至租期开始之前如甲方违约，则上述定金由甲方双倍返还乙方，如乙方违约则定金

由甲方没收。

If Party A violates the Contract after it is signed and before the lease term begins, it

shall pay double the booking deposit back to Party B. If Party B violates the Contract, the booking deposit shall be forfeit to Party A.

3、租期开始之后，上述定金自动转为保证金。

After the lease term begins, the above-mentioned booking deposit will automatically be converted into

the Security Deposit.

五、租金：

Rental:

1、数额：双方议定租金为每月整，乙方以现金或转帐形式支付给甲方。

Amount : The total amount of monthly rental agreed upon by both parties shall be￥. Party B shall pay the rental to Party A in the form of cash or inter-bank transfer.

2、租金调整约定：/

3、支付方式：

Method of Payment :

租金按_ 个月为壹期支付，第一期租金于____年___月__ 日以前付清，以后每期租金支付时间为／，先付后用（若乙方以汇款形式支付租金，则汇出日为支付日，汇费由汇出方承担），甲方收到租金后应予以书面签收。

The payment of rental shall be made every ___ months. The first payment shall be made before __ (month) __(day), __ (year). Each successive payment shall be made in _／.Party B shall pay the rental before it moves into the premises. ( If Party B pays the rental in the form of remittance, the date of remitting shall be day of rental payment . The remittance fee shall be borne by the remitter.). Party A shall issue a written receipt after each payment of rental is received.

4, 如乙方逾期支付租金超过五日，则每逾期一周按应付租金的百分之一向甲方

支付滞纳金。如乙方逾期超过十五日，则视为乙方自动退租，构成违约。甲方有权收回房屋，并追究乙方违约责任。

If Party B delays rental payment in excess of 5 days, Party B shall pay liquidated damages to Party A at the rate of 1% of the due rental for each week of delay. If the delay is in excess of 15 days, it shall be deemed as an automatic termination of tenancy, and which shall constitute a breach of contract. Party A shall have the right to recover the leased premises and take actions against Party B for liabilities of breach of contract.

六、保证金：

Security Deposit:

1、为确保房屋及其附属设施之安全与完好及租赁期内相关费用之如期结算，乙方同意支付给甲方保证金

共计人民币整,甲方在收到保证金后应予以书面签收。

To ensure that the premises and its accessory facilities are safe and in good condition and that accounts of relevant fees are settled on schedule during the term of lease, Party B agrees to pay to Party A￥as a Security Deposit as part of fulfilling the Contract for Rental. After receiving the Security Deposit, Party A should issue a written receipt.

2、除合同另有约定之外，甲方应于租赁关系消除且乙方迁空、点清、并付清所有应付费用后，当天将保

证金全额无息退还乙方。

Unless otherwise agreed upon, the full amount of security deposit shall be

refunded by Party A without interest to Party B upon expiration of the lease,

Provided that Party B has vacated the premises, leave everything in the premises

intact and paid up all expenses due.

3、因乙方违反本合同的规定，而产生的违约金、损害赔偿金以及应付租金及相关

费用，甲方可在保证金中扣抵，不足部分乙方必须在接到甲方付款通知后十天内补足。

Any penalty for breach of contract, compensation for damage and rental and other relevant fees payable arising from Party B's breach of the provisions of the Contract may be deducted by Party A from the Security Deposit. Any shortage thereof must be made up for by Party B within ten days of the receipt of the notice of payment issued by Party A.

七、其他费用：

Other Fees:

1、乙方应承担租赁期内水、煤、电、电讯、等一切因乙方实际使用而产生的费用，并按单如期缴纳。

Party B shall bear the electricity fee, water fee, gas fee, , Telecommunications fees (Phone, Internet etc),

and all other fees incurred by Party B in terms actual use and must pay the bills on schedule during the term of lease.

2、房屋维修费、管理费等原有甲方支付的费用，仍由甲方缴纳。

House maintenance fee and management fee that were originally payable by Party A still shall be paid by Party A.

3、乙方不需要租赁发票，若乙方需要租赁发票会以书面形式提出要求，只有在乙方向甲方正式提出要求

发票后，乙方才会承担甲方出具的租赁发票产生的税金。

Party B Do Not Need rent invoice. If Party B asked for rent invoice then Party B will request it by formal writing. Party B will pay the tax own to party A if and only if Party A issue rent invoice by the formal request from Party B

八、甲方的义务：

Obligations of Party A:

1、甲方须按时将房屋及附属设施（详见附件）交付乙方使用。

Party A shall turn over the premises and accessory facilities (details refer to the

appendix) on schedule to Party B for use.

2、房屋设施如因质量原因、自然损耗或灾害而受到损坏时，甲方有修缮的责任并承担有关的费用。

Party A shall be responsible for repairing any damage of the premises due to poor

quality, natural tear and wear or calamities and bear the expenses thereof.

3、甲方应确保所出租的房屋享有出租的权利，如在租赁期内，该房屋发生所有权全部或部分的转移、设

定他项物权或其他影响乙方权益的事情时，甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者，能继续遵守本合同所有条款，反之如乙方权益因此而遭受损害，甲方应负赔偿责任。

Party A shall ensure that the rights to lease said premises are in order. If all or

part of the ownership of the premises is transferred, other rights in them are settled, or any other happening affects the rights and interests of Party B during the leasehold, Party A should guarantee that the owner, person to the rights in them or any other third party that affects the rights and interest of Party B continue to abide by all the articles of the Contract. Otherwise, Party A shall be liable for compensating the loss to the rights and interests suffered by Party B therefrom.

九、乙方的义务：

Obligations of Party B:

1、乙方应按合同的规定，按时支付租金、保证金及其他各项应付费用。

Party B should pay the rental, deposit of security and other fees payable on schedule according to the

provisions of the Contract.

2、乙方经甲方同意，可在不影响房屋结构的情况下，进行房屋内部装修及添置设备。租赁期满后，乙方

可将添置的可拆动的动产部分自行拆运，并保证不影响房屋的完好及正常所有。

Party B may, upon approval by Party A, modify renovations of the leased premises

or add equipment therein during the leasehold. Upon expiration of the leasehold, Party B may remove the added part of property that is removable, but it must ensure that the premises are restored back to original condition for normal use.

3、未经甲方同意，乙方不得将承租的房屋转租或变相出租，并爱护使用租赁的房屋和附带设备。如因乙

方的过失或过错致使房屋及设施受到损坏，乙方应负修复及赔偿责任。

Party B shall not transfer or sublet the leased premises without the approval by Party A. Party B shall take good care of the leased premises. Party B shall be liable for compensating for any damage it caused to the premises and facilities resulting from Party B's fault or negligence.

4、乙方应按本合同的约定合法使用租赁房屋，不得擅自变更使用性质，不应存放危险品，如因此发生损

害，乙方应承担全部责任。

Party B shall use the leased premises lawfully according to the provisions of the Contract. Party B shall not arbitrarily change the use of the said premises. No hazardous materials and goods will be allowed to be kept in the premises. If any damage is attributable to such use, Party B shall be fully liable.

十、合同终止及解除的规定：

Termination and Dissolution of the Contract:

1、乙方在租赁期满后，如需续租，应提前两个月通知对方，由双方另行协商续

租事宜，在同等条件下，乙方有优先续租权。

If Party B intends to renew the leasehold upon its expiration, it shall notify Party A of such intention two months prior to the expiration of the lease term. Then, the two parties shall discuss matters over the renewal of leasehold.

2、租赁期满后，乙方应在日内将承租的房屋及设施在正常状态下交还甲方，如有留置的任何物

品，在未取得甲方的谅解之下，均视为放弃，任凭甲方处置，乙方决无异议。

Upon the expiration of the leasehold, Party B shall return the leased premises and accessory facilities in

normal condition to Party A within days. Any belongings left behind in the apartment shall,

without obtaining previous understanding of Party A, be deemed as things given up by Party B and shall be disposed of by Party A at its discretion , to which Party B shall raise no objection.

3、本合同一经双方签章后立即生效，未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行

协商。

This contract shall come into force upon the date of being signed by both parties. It must not be terminated at will without the approval of both parties. Anything not covered in the Contract must be consulted separately by Party A and Party B.

十一、违约处理：

Handling of Breach of Contract:

1.甲、乙任何一方如未按本合同的条款履行，导致中途终止本合同，并且过错

方在未征得对方谅解的情况下，则视为违约，双方同意违约金为整。若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

If failure of either Party A or Party B to fulfill the articles of the Contract results in the termination of the Contract before its expiration, the Party at fault shall be deemed as breaching the Contract without obtaining the agreement of the other Party. The two parties agree that the penalty for breach of contract shall be _￥_____. In case such penalty is not sufficient to make up for the loss suffered by the faultless party, the party that has violated the Contract shall pay additional compensation.

2.凡在执行本合同或与本合同有关的事情时双方发生争议，应首先友好协商，协商不成，可向房屋

所在区的人民法院提起诉讼。

Any dispute arising from the execution of, or in connection with, the Contract shall be settled through

friendly negotiation between both parties. In case no settlement can be reached, the disputes shall be

submitted to the People’s Republic of China Court System, which has jurisdiction over th e premises.

十二、其他：

Others :

1、本合同的附件是本合同的有效组成部分，具有同等法律效力。

The appendix giving detail of furniture with the premise without extra cost is an effective component of this Contract, which shall have the same force of law.

2、本合同一式叁份，甲、乙双方各执壹份，信义房屋执壹份。

This Contract is made in Three copies; one for each party and one to be held by SHANGHAI HSIN YIH REAL ESTATE Co. Ltd.

3 甲、乙双方如有特殊事项，可在本条款另行约定。

If Party A or Party B has any specific matters, it may be agreed upon by both

parties in this separate clause.

注意：甲乙双方达成一致，甲方去中国电信开通ADSL网线，开通所产生的费用￥由乙方支付，乙方于2006年10月15日支付甲方￥，且乙方承担今后住在金汇南路460弄39号901室所产生的ADSL费用。

NOTICE: Party B Request for ADSL Connection. Party B will pay the installtion fee which is RMB Party A wil Receive the Installation fee of RMB from Party B on October 15 ,2006 and Party A will

. Apply the ADSL with china Intercom. Party B will be Responsible to pay ADSL monthly pay ment as long as party B live in the unit.

4乙方同意从2007年1月1日起，甲方可以带新租客看房。但甲方必须提前告知乙方并得到同意后方可看房。

Party B agree that starting on Jan 01.2007 Party A can show the apartment unit to prospect new renter. Party

a will tell Party B in advance and need permission from Party B to enter the unit
