THIS SERVICES AGREEMENT (this “Agreement”) is made on the day
of August,
本服务协议（下称“本协议”）由以下双方于年月日签订：
BETWEEN
(1) SHANGHAI WFOE ("Party A"), a company incorporated and existing under the laws of People's Republic of China, having its registered office at [please add]; and
SHANGHAI WFOE （下称“甲方”），一家根据中国法律成立和存续的公司，注册地址

(2) HONG KONG CO., LTD. (in Chinese: ) ("Party B" or "WFOE"), a company incorporated and existing under the laws of Hong Kong, having its registered office at [please add].
HONG KONG CO., LTD（下称“乙方”或“WFOE”），一家根据香港法律成立的公司，注册地址为。
WHEREAS: -
(1) Party B is able to make, and/or to cause and procure third party to make, available to Party A the Services upon and subject to the terms and conditions set out in this Agreement.
乙方具有基于本协议项下的条款和条件向甲方提供和/或促使第三方向甲方提供服务（“服务”）的能力。
(2) The Parties wish to formally set out in this Agreement the terms and conditions relating to the provision of the Services by Party B.
双方希望在本协议中正式规定与乙方提供服务有关的条款和条件。
第一条 DEFINITIONS AND INTERPRETATION 定义及释义
1.1 In this Agreement unless the contrary intention appears:
除非文义另有所指，在本协议中：
"Applicable Law" means any publicly promulgated applicable statute, law, ordinance, regulation, rule, code, order, or requirement or rule of law.
“适用法律”指任何公开发布的可适用的制定法、法律、条例、法规、规章、法典、法令或法律规定或规则。
"Commencement Date" means August,
“起始日”指年月日。
"Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China.
“香港”指中华人民共和国香港特别行政区。
"PRC" means the People's Republic of China, and for the purpose of this Agreement, excluding Taiwan, the Macau SAR and Hong Kong SAR.
“中国”指中华人民共和国，仅惟本协议之目的，不包括台湾、澳门特别行政区及香港特别行政区。
"Services" means, collectively, the assistance and services to be provided by Party B to Party A, as more particularly described in Schedule 1 to this Agreement and "Service" shall be construed accordingly.
“服务”指乙方向甲方提供的所有协助和服务，更详细地描述见本协议附表一，单项服务则应相应诠释。
"Service Fees" means the compensation paid by Party A to Party B for the Service provided hereunder in accordance with the Clause 4.1 of this Agreement.
“服务费”指甲方根据本协议第4.1条提供的服务支付给乙方的报酬。
"Term" means the period from the Commencement Date until either (a) the date falling [please add] years from the Commencement Date or (b) the date this Agreement is terminated earlier in accordance with Clause 7.2 (all dates inclusive).
“合同期限”指从生效日期起至（a）从生效日起算第____年之日，或（b）按第7.2条本协议终止的那天的期限（包含当日）。
"RMB" means the lawful currency of the European Union.
“人民币”指中华人民共和国的法定货币。
1.2 Interpretation 释义
In this Agreement, where the context admits:
如文义所指，在本协议中：
1.2.1 references to Clauses and Schedules are to clauses of and Schedules to this Agreement;
对任何条款和附表的援引是指本协议的条款和附表；
1.2.2 general words shall not be given a restrictive meaning by reason of the fact that they are followed by particular examples intended to be embraced by the general words;
广义词不得因其后所举意欲被该广义词包含的特例而被赋予限制性的含义；
1.2.3 references in this Agreement to statutory provisions are references to those provisions as in force at the date of this Agreement but include all statutory modifications, re-enactments, replacements and extensions of those provisions and any subordinate legislation or regulations made under such provisions;
本协议中对法规的援引是指在本协议生效日有效的法规，但包括这些规定及其下位立法或法规的所有法定的修改、重新颁布、替代和延展；
1.2.4 unless the context otherwise requires, the singular includes the plural and vice versa, words importing gender or the neuter include both genders and the neuter and vice versa, and references to persons include bodies corporate or unincorporated, partnerships, firms, associations and individuals and references to any agreement or such other instrument shall be deemed to include references to such agreement or other instrument as varied or replaced from time to time;
除非文义另有所指，复数词语包括单数，反之亦然；含有性别意思的词语或中性词语包含两种性别和中性，反之亦然；对人的援引包括法人、非法人组织、合伙关系、公司、协会和个人；对任何协议或该等其他文据的援引应包括该等合同或其他文据不时修订或更新的版本；
1.2.5 references to "year" and "month" shall be to a calendar year and a calendar month respectively; and
对“年”和“月”的援引分别指对日历年和日历月的援引；及
1.2.6 reference to "Parties" means the parties to this Agreement, and "Party" means either of them.
对“双方”的援引是指本协议的双方，一方是指其中任何一方。
1.3 Headings 标题
The headings and sub-headings are inserted for convenience only and shall not affect the construction of this Agreement.
标题和副标题仅为方便而设，不应影响本协议的解释。
第二条 SERVICES 服务
2.1 Upon and subject to the terms and conditions set out in this Agreement, Party B shall, throughout the Term, provide the Services to Party A.
基于且受限于本协议规定的条款和条件，在合同期限内乙方应向甲方提供服务。
2.2 Party B undertakes to Party A that it will comply with all Applicable Laws when carrying out the Services hereunder.
乙方向甲方承诺，在提供本协议项下服务的过程中会遵守所有应适用法律。
第三条 PERFORMANCE OF THE SERVICES服务的履行
3.1 Notwithstanding the provisions of Clause 2, Party B shall not, except with the specific written request or authority of Party A, or of any other person whom such board has empowered to give such authority, act as or hold itself out as the agent of Party A.
尽管本第2条中有规定，乙方非经甲方或有权授予该等授权的任何该等人士之书面明确授权或请求，不得以甲方的名义或代表甲方行事。
3.2 Party B shall exercise all due skill and care in providing the Services in accordance with the terms of this Agreement.
乙方应依照本协议之条款尽其所能地审慎提供服务。
第四条 SERVICE FEES AND PAYMENT 服务费及其支付
4.1 In consideration of Party B providing the Services to Party A, Party A agrees that it shall pay party B a service fee ("Service Fee") to be calculated and paid in the following manner:
作为乙方向甲方提供服务的对价，甲方同意其应向乙方支付一笔服务费（“服务费”），该服务费以以下方式计算并支付：
4.1.1 The Service Fee shall be calculated on annual basis in an aggregate amount of RMB (RMB ); and
服务费应按照每一年度累计（）人民币计算；及
4.1.2 The payment of the Service Fee during the Term shall be made on monthly basis within thirty (30) days from the receipt by Party A of the invoices issued by Party B;
在合同期限内的服务费应每月在甲方收到乙方开具的发票后的30日内予以支付。
4.1.3 the Service Fee can be revised from time to time by agreement of the Parties in writing; and
经双方书面协议服务费可以被不时修订；及
4.1.4 unless otherwise expressly stated or agreed by the Parties, the Service Fee shall cover the costs incurred by Party B for providing the Services under this Agreement plus twenty (20)% margin.
除另有明确规定或双方另行协议外，服务费应包括乙方提供本协议项下的服务花费的成本加上20%的利润。
4.1.5 Party A shall reimburse Party B for any expenses it may incur in connection with its performance of the Services pursuant to this Agreement,
including without limitation travelling, accommodation fees and expenses reasonably incurred in the course of providing the Services.
甲方应偿付乙方与依据本协议履行服务有关的任何费用，包括但不限于差旅费、住宿费及在提供服务过程中合理产生的费用。

第五条 BOOKS AND RECORDS 账簿及记录
Party B shall at all times maintain, and promptly deliver up to Party A upon demand, all books, records, accounts and statistics relating to the Services it provides pursuant to this Agreement.
乙方应在任何时候保持并在甲方要求时立即提供与其在本协议项下提供的服务有关的所有账簿、记录、账目及统计数据。
第六条 REPRESENTATIONS AND WARRANTIES 陈述及保证
6.1 Each party to this Agreement represents and warrants for the benefit of the other Party that as at the date of this Agreement and during the Term:
本协议各方为对方利益陈述及保证，自本协议起始日其在合同期限内：
6.1.1 it has the full power and authority to enter into and perform its obligations under this Agreement which when executed will constitute its valid and binding obligations in accordance with its terms;
它具有完全的能力及授权订立本协议并履行其在本协议项下依照相应条款如其履行则构成有效并具有约束力的义务；
6.1.2 the entry into and the performance by it of this Agreement will not constitute a breach of any law or regulation to which it is subject or by which it is bound nor result in any claim by any third party against it nor result in any breach of any provision of its memorandum or articles of association or any other agreement or instrument to which it is a party or by which it is bound;
订立及履行本协议将不违反它应予适用或受其约束的任何法律或法规或导致任何第三方对它的任何索赔或导致违反它的任何章程或它作为一方或受其约束的任何其他协议或文据；
6.1.3 it is duly incorporated and validly existing under the law of the jurisdiction of its incorporation and it has obtained and complied with all permits, authorities, licences and consents (whether granted by public or private authority) required to carry on its business in the manner and in the places in which its business is now carried on; and
它依据其注册地司法管辖区内应适用的法律适当注册并有效存续，且它已取得按照其现有方式在其业务地点从事现有业务所必需的（无论是公权力机关或私人机构授予）的所有许可、授权、执照或同意；及
6.1.4 it is financially sound and is not subject to any winding up or bankruptcy proceedings whether compulsory or voluntary (or any analogous proceedings thereto in Hong Kong or PRC or any other jurisdiction), and has not made any general assignment for the benefit of its creditors.
它具有良好的财政状况，且未（无论是强制性或自愿）进入任何清盘或破产程序（或在香港或中国或其他司法管辖区内任何同类程序），且未为其债权人利益做任何一般性分配。
第七条 DURATION AND TERMINATION 合同期限及终止
7.1 This Agreement shall become effective on the Commencement Date and shall continue in force during the Term.
本协议自起始日起生效，并在合同期限内持续有效。
7.2 This Agreement shall be terminated:
本协议被提前终止须：
7.2.1 by the Parties by written mutual agreement;
经双方达成书面协议；
7.2.2 by either party any time by giving at least three (3) months’ written notice to the other;
经一方任何时候提前三（3）个月书面通知另一方；
7.2.3 by a non-defaulting party, following a material breach of the terms of this Agreement by a defaulting party which has not been cured (if capable of cure) within 30 days after being given notice by the other non-defaulting
Party so to do; or
经守约方发出要求违约方补救其重大违反本合同之行为的通知之日起三十（30）日内未予弥偿（能够弥偿）；或
7.2.4 by Party A automatically upon Party B becoming unable to pay its debts
in the ordinary course of business or entering into liquidation or having a receiver appointed whether compulsory or voluntarily or otherwise becoming subject to any applicable insolvency laws.
经甲方自动于乙方已无法在正常经营活动中偿付债务或者进入清算程序或无论是强制或自愿地接受托管或存在其他任何适用破产法的情形出现之时。
第八条 CONFIDENTIALITY 保密
8.1 Except as may be required by law or any governmental or regulatory body or any relevant stock exchange, the Parties shall keep confidential and not divulge to any person or use or exploit for any purpose without the prior written approval of the other Party, any and all trade secrets or confidential information or any technical, operational, administrative, financial or business information relating to any other Party, which the relevant Party may obtain as a result of the negotiation or execution of this Agreement.
除非法律或政府机关或监管机构或任何相关股票交易机构要求，双方应对与另一方有关的在磋商或履行本协议过程中可能获悉的任何及所有商业秘密或保密信息或任何技术、运营、
管理、财务或商业信息保守秘密，未经另一方事先书面同意，不得泄露给任何人士或许可他人为任何目的之使用。
8.2 The restriction in Clause 8.1 shall continue to apply after the
termination of this Agreement without limit in point of time, but shall cease to apply to information or knowledge which may properly come into the public domain through no fault of the restricted party.
本第8.1条规定的限制在本协议终止后应无限制期限的持续有效，但对于受限各方无过错而以适当方式进入公知领域的信息或知识，本条款的限制将停止适用。
第九条 ASSIGNMENT 转让
This Agreement is binding upon and shall ensure for the benefit of the successors of the Parties but shall not be assignable except with the written consent of the other Party.
本协议对双方及其各自的继承人有约束力并赋予利益，但非经另一方书面同意不得转让。
第十条 AMENDMENT AND WAIVER 修订及弃权
10.1 No variation of this Agreement shall be effective unless it is made in writing, refers specifically to this Agreement and is signed by the Parties.
非经书面同意且明确援引本协议并由各方签署，对本协议的任何修订不得生效。
10.2 No waiver of any term, provision or condition of this Agreement shall be effective except to the extent made in writing and signed by the waiving Party.
对本协议项下任何条款或条件的弃权，非经弃权一方书面签署不得生效。
10.3 No omission or delay on the part of any party in exercising any right, power or privilege under this Agreement shall operate as a waiver by it of any right to exercise it in future or of any other of its rights under this Agreement.
任何一方不行使或迟延行使本协议项下任何权利、权力或特权，不得视为该一方对将来行使该等权利的放弃或对本协议项下其他任何权利的放弃。
第十一条 PUBLICITY 公开
11.1 No announcement or disclosure in respect of the making or terms of this Agreement shall be made or disclosed by any Party without the prior written consent of each other Party except to the extent disclosure is required by law or any rules of a recognized stock exchange which disclosure shall then only be made:
任何一方不得在未获得另一方书面同意的情形下就本协议的签署或本协议条款作出任何声明或披露，除非在法律或在其他任何被认可的股票交易规则的要求的范围内作出披露，且该等披露的作出必须：
11.1.1 after prior consultation with each other Party as to its terms;
在就被披露条款征询另一方意见之后；
11.1.2 strictly in accordance with any agreement as to the terms of disclosure; and
严格遵循就被披露条款达成的任何协议；及
11.1.3 only to the persons and in the manner required by law or the relevant stock exchange rules or as otherwise agreed.
仅依照法律规定或相关股票交易规则或其他约定所要求的人士及方式进行披露。
11.2 The restrictions contained in this Clause 11 shall continue to apply
after termination of this Agreement without limit in time.
本第11条规定的限制在本协议终止后应无限制期限的持续有效。
第十二条 NOTICES 通知
12.1 Any notice or other document to be served under this Agreement must be in writing and may be delivered or sent by pre-paid first class letter post or facsimile transmission to the party to be served at that party's address above or as given below or at such other address or number as that party may from time to time notify in writing to the other party to this Agreement.
在本协议项下的任何通知或其他文件均应采取书面形式，并以预付邮资的头等信件方式或传真传送方式送达至各方以上或以下地址，或至各方以书面形式依照本协议不时书面通知另一方的其他地址或号码。

12.2 Any notice or document shall be deemed served: 任何通知或文件应被视为送达：
12.2.1 if delivered, at the time of delivery;
如送达，在送达之时；
12.2.2 if posted, 48 hours after posting; and
如投递，在投递后的48小时后；及
12.2.3 if sent by facsimile transmission, at the time of transmission if
before 5.00pm on Monday to Friday (other than statutory holidays) or otherwise on the next succeeding banking business day, on recipient’s local time and calendar.
如通过传真传送，在发出传真之时，如在周一至周五（法定假日除外）下午5时之前发送；否则在接收者所在地当地时间和日历项下的下一个银行工作日。
12.3 In proving service (without prejudice to any other means):
就证明送达（不影响任何其他送达方式）：
12.3.1 by post, it shall only be necessary to prove the notice or document was contained in an envelope properly stamped and posted as provided in this Clause;
通过邮寄送达，仅需证明该等通知或文件已按照本条规定被妥善装入信封并支付邮资及投递；
12.3.2 by facsimile, that the notice or document was duly received by production of a copy fax bearing the addressee's answerback code or automatic record of correct transmission.
通过传真送达，仅需证明该等通知或文件已通过输入接收者回复号码的传真机接收，或正确传输的自动记录。
第十三条 INVALIDITY 无效条款
The invalidity, illegality or unenforceability of any provision of this Agreement shall not affect the other provisions of this Agreement.
本协议任何条款的不生效、无效或不可强制履行并不影响本协议项下其他任何条款的效力。
第十四条 EXECUTION 签署
This Agreement may be executed in any number of counterparts and by the several Parties on separate counterparts each of which when so executed shall be an original but all counterparts shall together constitute one and the same instrument.
本协议可以由双方签署多份副本或分别签署不同的副本。当双方如此签署时，每一份副本都是原件，且所有副本构成一份完整的文件。
第十五条 COSTS 费用
Unless otherwise specifically stated herein, each Party shall bear its own costs and disbursements (other than stamp duty and adjudication fee, if any) of and incidental to this Agreement.
除非本协议另有明确规定，各方各自承担就本协议及本协议附带的费用和开支（印花税及司法裁决费用除外，如有）。
第十六条 ENTIRE AGREEMENT完整协议
16.1 This document constitutes the entire agreement between the Parties in connection with its subject matter.
本文据构成双方就有关本协议规定事项之完整协议。
16.2 No party has relied on any representation or warranty except as expressly set out in this Agreement.
任何一方不得依赖于另一方作出的陈述或保证，除非该等陈述或保证明确载于本协议中。
第十七条 WAIVER OF RIGHTS BASED ON MISREPRESENTATION 基于虚假陈述的弃权
17.1 Each Party unconditionally waives any rights it may have to claim damages against the other on the basis of any statement made by the other (whether made carelessly or not) not set out or referred to in this Agreement (or for breach of any warranty given by the other not so set out or referred to) unless such statement or warranty was made or given fraudulently.
各方无条件放弃其基于另一方作出的（无论是否疏忽）未在本协议中规定的任何陈述（或违反未在本协议中规定或未在本协议中援引的一方作出的任何保证）所可能享有的要求赔偿的任何权利，除非该等陈述或保证被虚假给予。
17.2 Each party unconditionally waives any rights it may have to seek to rescind this Agreement on the basis of any statement made by the other (whether made carelessly or not) unless such statement was made fraudulently.
任何一方无条件放弃基于另一方（无论是否疏忽）作出的陈述所享有的解除本合同的权利，除非该等陈述被虚假给予。
第十八条 INDEPENDENT ADVICE独立意见
Each Party acknowledges that it has received independent legal advice as to
the terms of this Agreement and is entering into this Agreement on the basis
of such advice and following detailed negotiations by the Parties as to the final terms hereof.
各方知悉其已就本协议的条款接受独立法律意见，且在该等意见的基础上订立本协议、经双方具体磋商订立本协议最终条款。
第十九条 GOVERNING LAW AND JURISDICTION 适用法律及司法管辖
19.1 This Agreement shall be governed by and construed and take effect in accordance with the laws of the PRC.
本协议适用中国法律并依其生效、据其解释。
19.2 Any dispute or difference arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination and regardless of the nature of such dispute or difference, shall be referred to and finally resolved by China International Economic and Trade Arbitration Commission ("CIETAC") for arbitration, in accordance with its then effective arbitration rules, which rules are deemed to be incorporated by reference into this Clause, and:
因本协议产生或与本协议有关的任何争议或分歧，包括本协议的存续、有效或终止，无论该争议或分歧的性质，应提交给中国国际经济贸易仲裁委员会管辖并依据其届时有效的并视为本条款组成部分的仲裁规则仲裁，且：
19.2.1 the number of arbitrators shall be one;
仲裁员人数为一名；
19.2.2 the seat of arbitration shall be Shanghai;
仲裁地点在上海；
19.2.3 the language to be used in the arbitral proceedings shall be English
and Chinese;
仲裁程序使用的语言为英语和中文；
19.2.4 amounts due under any arbitration award shall be paid within 30 (thirty) days of the award and interest (if any) shall accrue thereafter on unpaid amounts under the award at a rate determined by the arbitrators; and
仲裁裁决裁定的应付款项应于仲裁裁决之日起三十（30）日内支付，迟延支付的款项应依照仲裁员届时裁定的利率支付利息（如有）；及
19.2.5 the arbitration award shall be final and binding on both Parties.
仲裁裁决是终局的，对双方均有约束力。

外聘电工安全管理协议 常州市金秋织造有限公司为了加强用电安全管理，及必要的设备维护保养及合法的按国家供用电的法 律、法规执行，特聘用师傅（附特种作业操作 IC 卡证）为本公司维修保养电工，管理公 司日常用电维修事务。双方（常州市金秋织造有限公司）为甲方，师傅为乙方，就日常安全、管 理、技术、劳务事宜签订如下协议： 1、甲方将公司内电气线路及电器设备交由乙方维护管理，乙方保证电力设备正常运行，保障甲方 正常 生产用电需要，互惠互利。 2、乙方必须具备相关的触电急救知识，有责任在工作中为甲方多提合理化建议及提出具体实施方案。 3、乙方承担用电技术指导及安全检查工作，对不正规的操作的与用电情况发现及时提出整改意见。 4、乙方每周必须到公司对电气线路及电器设备进行检查及清洁维护保养。 5、乙方安装和维修电气设备，必须遵守相关规定和技术规程，不准违章作业，严禁乱接乱拉。 6、凡安装临时电气线路、设备必须符合临时要求，并经公司批准，用后应彻底拆除，如较长时间使用，必须正式安装。 7、公司有发生设备，电路电气故障通知乙方，乙方因随叫随到及时排除电力故障，保障甲方正常生产 用电。 二、各自权利与义务 1、甲方在协议期内应及时支付乙方劳动技术服务到期的劳动报酬，不对拖延、拒付，甲方如拖延、拒 付乙方有权向法院起诉甲方，追偿报酬。 2、乙方在协议期内应履行自己的责任及协约条文义务，不得推诿及不执行协约条款，如因乙方维修不 到位造成生产停产，设备损坏，按实际情况甲方有权向法院起诉乙方追偿损失赔付。 3、协约期限自 2018年 1 月 1 日起到 2018年 12 月 31 日止，期限壹年。本协约自签订之日起生 效。 4、双方在协约期内本着互惠互利原则，双方恪守已责，遵守协约。如一方有不可抗拒的自然因素确定 不能在履行合约的，本协约即自动解除。 甲方：常州市金秋织造有限公司乙方： 年月日年月日
