四、服务变更与终止4.1 我们有权根据实际情况对VIP会员服务的内容进行调整和变更，具体变更内容将以我方公告为准。
4.2 如果您违反了本协议的约定，我们有权暂停或终止您的VIP会员资格，并取消您享有的相应权益。
五、免责条款5.1 由于您个人原因导致的任何损失和风险，我们不承担责任。
5.2 由于不可抗力因素导致的服务中断或故障，我们将尽力减少影响并尽快恢复，但不承担由此产生的任何责任。
六、其他条款6.1 本协议适用中华人民共和国的法律，并排除冲突法律适用的规定。
6.2 若本协议的任何条款被法院认定为无效或不可执行，不影响其他条款的效力。
会员服务协议
会员服务协议本协议由您（下称“会员”）与我们（下称“服务提供方”）签订，并约定以下条款和条件，以规范会员使用服务提供方提供的各项会员服务。
一、服务内容1.会员服务是指服务提供方向会员提供的各项特权和服务，包括但不限于：1.1 优先参与服务提供方组织的线上和线下活动；1.2 所提供商品或服务享受优惠价格；1.3 接受服务提供方不定期发送的促销和营销信息；1.4 其他服务提供方根据实际情况向会员提供的特权和服务。
二、会员权益与义务1.会员权益1.1 会员享有按照服务提供方规定的折扣价格购买商品或服务的权益；1.2 会员有权参与服务提供方组织的各类线上和线下活动；1.3 会员享有服务提供方提供的其他特权和服务。
2.会员义务2.1 会员应按照服务提供方的要求，提供真实、准确、完整的个人信息；2.2 会员应妥善保管好自己的账户和密码，对利用该账户和密码进行的一切活动负有责任；2.3 会员应遵守服务提供方的相关规定与要求，不得利用会员服务从事任何违法、违规或侵犯他人合法权益的行为；2.4 会员应尊重服务提供方的知识产权，不得擅自复制、传播或使用服务提供方的知识产权资料；三、会员服务费用1.会员服务的收费标准和方式将在服务提供方的官方平台上公布，会员在购买会员服务时需要按照相关规定支付相应费用。
2.会员服务费用一经支付，不予退还。
四、协议变更和终止1.服务提供方有权根据需要修改或变更本协议，并在官方平台上公布，会员在继续使用会员服务前应仔细阅读并同意修改后的协议内容。
2.发生以下情形之一时，本协议将会被终止：2.1 会员主动申请注销会员资格；2.2 会员违反本协议约定，服务提供方终止向会员提供服务。
五、免责声明1.如果因不可抗力事件导致服务提供方暂停或终止向会员提供服务，服务提供方对此不承担责任。
2.会员在使用会员服务过程中，需自行承担任何风险，对于因使用会员服务导致的任何损失，服务提供方不承担责任。
六、争议解决1.本协议适用中华人民共和国法律。

第六条违约责任6.1 如甲方未按本协议提供服务，乙方有权要求甲方改正或解除协议，并可要求退还相应的会员费用。
6.2 如乙方违反本协议规定，甲方有权终止服务，并不予退还已支付的会员费用。
第七条协议的变更和解除7.1 本协议的任何变更和补充均需双方协商一致，并以书面形式确认。
7.2 如遇不可抗力导致本协议无法履行，双方均可解除本协议。
第八条争议解决8.1 本协议在履行过程中发生的任何争议，双方应通过友好协商解决；协商不成的，任一方可向甲方所在地人民法院提起诉讼。

第六条不可抗力条款6.1 如因不可抗力因素导致本协议无法履行，双方均不承担违约责任。
不可抗力包括但不限于：自然灾害、战争、罢工、政府行为等。
6.2 在发生不可抗力事件时，双方应及时通知对方，并尽力减少损失。
在不可抗力事件消除后，双方应继续履行本协议。
第七条争议解决7.1 本协议的签订、履行、解释及争议解决均适用中华人民共和国法律。

四、协议终止4.1用户在任何时候均有权取消VIP会员服务，但已缴纳的会员费用概不退还。
4.2本公司有权根据实际情况终止用户的VIP会员服务，包括但不限于用户违反本协议约定的行为、用户账号被冻结、用户严重损害本公司利益等非正常情况。
4.3协议终止后，用户将无法继续享受VIP会员服务，本公司也不承担与用户协议终止相关的任何责任。
五、其他条款5.1用户在注册成为VIP会员时应提供真实、准确的个人信息，如果因用户提供的信息不真实或不准确而导致的问题及后果，由用户自行承担。
5.3本公司保留对本协议的解释和修改权利，修改后的协议将在官方网站公布，并于公布之日起生效。

Other than the rights enjoyed by the Member under 3.2， the Member agrees to pay all charges incurred by the use of login name and password provided by the Company at the rates and in accordance with the Company‘s billing policies in effect during each period in which the charges are incurred. 4.责任限制Disclaimers 4.1会员完全理解并同意自行承担使用网络服务的风险。
The Member fully understands and agrees that the use of the Service is at the Subscriber‘s own risk. 4.2由于网络服务提供商的服务故障，造成本公司暂时不能正常通过互联网发布信息，本公司不为此承担责任，但有义务与网络服务提供商交涉，以尽快解决该问题。
The Company is not responsible for anyinterruption of Service due to problems occurred on the Internet platform or any other reasons that cannot be controlled by the Company. The Company shall make effort to liaise with its Internet Service Provider in order to restore the Service as soon as possible. 4.3由于政府有权部门或司法机构的命令，造成本公司不能通过互联网正常提供检索服务的，本公司不为此承担责任，但本公司应归还已收取的未履行期间的服务费用。
The Company will not be responsible for the interruption of Service owing to orders of government authorities or judicial bodies. The Company agrees to refund the paid fees pro rata to the remaining subscription period. 4.4由于本公司除维护服务器、添加资料等事项外的其它原因造成信息检索服务中断，本公司将双倍补偿会员中断的时间。
如会员原因造成本公司无法正常提供服务，会员应承担相应责任。
Other than interruptions arising from the maintenance of server or regular update， the Company agrees to compensate the Subscriber in an amount of time equal to twice as the time lost attributable tothe fault of the Company. Accordingly， the Subscriber agrees to compensate the Company any loss attributable to the fault of the Subscriber. 4.5除本第4.2， 4.3及4.4条规定的补偿或赔偿外，双方一致同意：本违约规定所述其它任何赔偿应限于因已方违约而给对方造成的直接经济损失，并不包括间接损失（此间接损失包括但不仅限于营业收入或利润损失、技术或经营权利的丧失、业务丧失等），也不包括惩罚性的赔偿。
The Company and the Subscriber agree that all claims， except stated in 3.2， 3.3， and 3.4 above，shall be limited to direct damages due to the breach of this Agreement. In no event shall either party be liable to the other for any penalty， consequential，indirect， special or incidental damages including，but not limited to， loss of profit or loss of technology or operation rights or loss of business rights. 5.违约规定 Termination任何一方违反本协议的任何条款，不承担或不及时、充分地承担本协议项下其应承担的义务构成违约行为，守约的一方有权以书面通知要求违约的一方纠正其违约行为并采取充分、有效、及时地措施消除违约后果并赔偿守约方因违约方的违约行为而遭致的损失。
