双方为了在MEE市场上进行紧密、广泛的合作，甲方拟收购乙方部分股份（以下简称项目），双方在平等友好基础上，通过协商，就开展进一步收购开展前的许开展的事项和各方义务达成以下意向：
1、双方已经达成谅解的事项和义务
1）双方同意就甲方收购乙方股份开展后续工作
2）乙方同意向甲方提供乙方相关经营信息
3）项目最终的是否实施和具体内容，需经过后续调查和协商后，由双方另行签署协议确定。
4）本备忘录不作为甲方收购乙方的承诺。
2、签署本备忘录后双方应开展的工作
1)双方应分别组建专门的项目团队和专门的联络人员，相互配合开展项目后续工作
2)PARTY B需提供给PARTY A近三年的经审计的财务报表，和2019年最近一期的财
务财务报表
3)PARTY B应提供给PARTY A 公司最近三年好的收入构成。
4)PARTY B 应提供给PARTY A目前公司的股权结构，董事会、高管的基本资料
2、独家谈判
签署本备忘录后三个月内，双方不得与任何第三方就本项目涉及的实现开展磋商、谈判、达成谅解，或其他任何形式的磋商安排。
3、保密
本备忘录签署前以及在本备忘录有效期内，一方（“披露方”）向对方（“受方”）披露相关资料时，如被指定为保密资料时，则在备忘录有效期内及随后三年内受方必须对保密资料进行保密，未经“披露方“许可不在在任何公开场合披露、使用或转给其他第三方，不在除本备忘录明确规定的目地之外的其他目的使用项目资料。
4、本备忘录内容保密
除非按照法律规定有合理必要，未经另一方事先书面同事，任何一方不得就本备忘录发
表任何公开声明或进行任何披露。
5、本备忘录的修改
对备忘录进行修改，须双方共同书面同意方可进行。
6、约束力
双方确认双方确认，除第3条至第4条对双方具有约束力之外，本备忘录不是具有约束力或可强制履行的协议。
7、备忘录的期限
本备忘录经双方签字生效。
有效期三个月。
甲方：法定代表人或授权代表
乙方：法定代表人或授权代表。
