A、发盘内容的明确是指发盘的内容清楚具体,没有笼统含糊 的词句。
B、发盘内容的完整是指提出的交易条件是完整的。根据《联 合国国际货物销售合同公约》的规定,一项发盘所列的 交易条件只要包括货物、数量和价格三项,即构成完整 性,其他条件如:交货时间、地点、付款方式、包装、 保险、运输等未作规定,这并不影响发盘中交易条件的 完整性,这些条件可以在签订合同时加以补充。

在实际业务中,为避免理解不一而产生纠纷,一般不宜采用这 Nhomakorabea规定方法。
口头发盘
按《公约》规定,如果当事人没有另外约定, 那么,原则上要求,“立即接受”。在我国的对 外贸易实践中,不采用口头发盘方式。
四、发盘的撤回
发盘的撤回是指发盘在送达受盘人之前,即在发盘 尚未生效时,发盘人取消该发盘。 撤回必须具备以下两个条件之一: (1)“撤回通知”先于发盘送达受盘人;
英美法认为可以撤销,大陆法认为不可以撤销;

在有效期内未被接受而过期;
被受盘人拒绝或还盘;

一、发盘(Offer)
发盘也称发价,法律上称为 要约,是发盘人(Offer)向受 盘人(Offeree)提出各项交易 条件,并愿意按这些条件与受 盘人达成交易、订立贸易合同 的一种肯定的表示。
二、构成有效发盘的条件
(1)必须明确订立合同的意图。即发盘必须表明发盘人在 得到受盘人的承诺时,将按发盘条件承受约束,并与受
