为配合贵所的验资工作，现就有关事项声明如下：

For your verification work, the relevant matters are declared as follows:

1.本公司全体股东已按照法律法规以及协议、合同、章程的要求缴纳新增注册资本，并保证不抽逃出资，本公司对全体股东出资资产的安全、完整负全部责任。

All shareholders of the company have paid the new registered capital in accordance with laws and regulations as well as agreements, contracts and the Articles of Association, and have pledged not to withdraw their capital contribution. The

company is fully responsible for the safety and integrity of all shareholders' capital

contribution assets.

2.本公司已提供全部验资资料，并已将截至验资报告日止的所有对审验结论

产生重要影响的事项如实告知注册会计师，无违法、舞弊行为。本公司及全体股东对所提供验资资料的真实性、合法性、完整性负责。

The Company has provided all the capital verification information, and has informed the CPA of all the matters with material impact on the conclusion of the examination up to the date of the capital verification report, without any illegal or fraudulent acts. The company and its all shareholders are responsible for the truth, legality and integrity of the capital verification information provided.

3.用以出资的非货币财产已按照国家规定进行评估，其价值是合理的，且已

经全体股东确认。

The non-monetary properties invested have been evaluated in accordance with

the provisions of the State and their values are reasonable and have been confirmed by

all shareholders.

4.本公司股东在出资前对其出资的非货币财产拥有所有权，不存在产权纠纷，

未设定担保，已经办理财产权转移手续，且已移交本公司。

The shareholders of the company have the ownership of the non-monetary

properties invested by them before making capital contribution. There is no property

right dispute, no guarantee has been set up, and the formalities of transfer of property

rights have been completed and the properties have been handed over to the company.

5.本公司已就本次增资有关事项作出适当会计处理。

The company has made appropriate accounting treatment on the matter of capital

increase.

6.本公司保证本次增资前各股东已按协议、章程的要求缴纳原注册资本，无抽

逃出资行为。前期出资的非货币性资产已办理有关财产转移手续。

The company hereby guarantees that all shareholders have paid the original

registered capital according to the agreement and articles of association before the

capital increase, and there is no evasion of capital contribution. The non monetary

assets previously invested have already gone through the formalities for transfer of

property.

7.本公司已履行有关增资的法定程序，不存在侵害各股东权益的情形。

The company has fulfilled the statutory procedures for capital increase, and there

is no infringement on shareholders' rights and interests.
