The two parties are in cooperation on Cross-border Payment and eCommerce, where related

business information and technical data from each other are needed. Based on the principle of

mutual benefit and common development, both parties shall sign this NDA through friendly

consultations.

双方正在就跨境支付与电子商务进行合作，需要取得对方的相关业务和技术资料，为此，甲

乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议。

1.In this agreement, “Confidential Information” means all confidential, non-public or

proprietary information, regardless of how the information is stored or delivered,

exchanged between the parties before, on or after the date of this Agreement relating

to the business, technology or other affairs of the discloser of this information or any of

its affiliates’, which in the case of SMARTRO means its affiliates and any subsidiary of

SMARTRO, and in the case of EBC means any affiliates and any subsidiary of EBC but

does not include information:

在本协议中，“保密信息”是指双方中任何一方披露给对方的与合作有关或因合作产

生的任何商业、营销、技术、运营数据或其他性质的资料，无论以何种形式或载于

何种载体，无论在披露时是否以口头、图像或以书面方式表明其具有保密性（简

称：保密信息），双方及其任何附属公司在签订本协议之前，正在或之后发生的

有关业务，技术或其他相关事务所传递的信息均属于保密信息，本协议下SMARTRO 指XXXXXXX及其任何附属公司，yyyyyy指yyyyy及其任何附属公司，保密信息不包

括以下情况：

(i)which is in or becomes part of the public domain other than through breach of

this agreement or an obligation of confidence owed to the discloser;

双方共同认可可公开的信息，除了披露者违反本协议与保密责任；

(ii)which the recipient can prove by contemporaneous written documentation was already known to it at the time of disclosure by the discloser (unless such

knowledge arose from disclosure of information in breach of an obligation of

confidentiality); or

接收人可以通过同时期的书面文件证明，在披露者披露之前已被告知（除

非这些源于违反了保密义务的信息披露）；

(iii)which the recipient acquires from a source other than the discloser or any of its representatives where such source is entitled to disclose it.

接收人的信息来自除披露者及其代表之外的有权披露信息的来源。

2.Each party:

2.1will only use the othe r party’s Confidential Information for the purpose of

assessing potential business partnership opportunities (the “Agreed Purpose”);

任一方只在用于评估潜在商业合作机会（“约定用途”）时可以用到对方的

保密信息；

2.2 will only disclose the other party’s Confidential Information to such of its, or its

affiliates’, officers, employees, contractors, agents, legal and financial advisers:

任一方只能在以下情况下将对方的保密信息透露给它的附属公司，员工，

承包商，代理商，法律及财务顾问：

a) to whom it is necessary to disclose the Confidential Information for the

Agreed Purpose;

因为“约定用途”有必要披露保密信息；

b) who are informed of the confidential nature of the Confidential

Information; and

为保密信息的一部分；

c) who agree to be bound by the terms and conditions of this undertaking.

同意遵守本协议的条款和条件的约束。

2.3 will, and will ensure that its, and its affili ates’, officers, employees, contractors,

agents and legal and financial advisers keep the other party’s Confidential

Information confidential and secret and will not:

任一方将确保其及其附属公司，员工，承包商，代理商，法律及财务顾问

保守对方保密信息的保密性，并保证不会：

a) whether directly or indirectly disclose, divulge, sell, communicate to,

use or publish the Confidential Information for the benefit of any

person, firm, partnership, corporation, trust or association other than

the other party;

不论是直接或间接地透露，泄露，出售，传递，使用或发布保密

信息，为了任何个人，企业，合作，公司，信托或协会的利益;

b) use, provide or disclose particulars of any conversations, discussions or

negotiations with the other party, or any of its affiliates, or any of their
