Contract—pay attention to the specific articles and is based on the agreement Agreement—focus on the fundamental principles and orientations of the two sides 合同(Contract)是双方或数方当事人对某一具体项目承担权利义务的协议，对当事人均具有约束力。

定义条款(Definition Clause)是对合同书中反复使用的词汇或在合同中具有特定意义的用语进行说明和解释。

7.All disputes arising from the execution of , or in connection with, this contract shall be settled amicably through friendly negotiation.

In the event that the shipment should not be made within the time stated in the Contract, the Buyer may make the purchase elsewhere and charge the Seller for any loss incurred, unless the delay in shipment is due to unforeseeable causes beyond one’s control, for which the Seller is not responsible

若装船未能按本合同规定的时间进行时，除非造成装船延期是因无法控制、无法预见和非卖方过错的原因所致，卖方可到他处购买，并要求买方承担由此造成的损失。

If both Parties find the execution of this Agreement satisfactory and consider the extension or renewal of this Agreement necessary, either Party shall inform the other Party of the extension or renewal one month prior to the expiration of this Agreement and it will take effect only after the unanimous consent of both Parties through negotiation;otherwise, this Agreement shall automatically be of no effect upon its expiration.

10.Payment is to be made by confirmed, irrevocable letter of credit in our favor, allowing partial shipment and transshipment, available by draft at sight for the full amount of the invoice value to be negotiated in a bank at the port of shipment. 付款是以保兑的、不可撤销的、允许分装和转船、以我公司为受益人的、按发票金额由装运港银行议付的信用证支付。

11.合营企业的一切活动应遵守中华人民共和国法律、法令和有关条例规定。

All the activities of a joint venture shall comply with the provision of the laws, decrees and pertinent regulations of the People’s Republic of China.

本新区内外商投资企业生产的出口产品，除国家另有规定的产品之外，免征关税。

●Exports manufactured by foreign-invested enterprise in the New Area are

duty-free, unless otherwise regulated by the State.

商务英语翻译的文体特征

?下面为我国某进口公司与某出口商签订的进口合同中有关仲裁的合同条款规定，其

中斜体部分则为常见的法律专业术语，由此可进一步看出商务合同英语鲜明的专业

术语性。

?All disputes in connection with this Contract or the execution thereof shall

be settled friendly through negotiations. Where no settlement can be reached the disputes shall be submitted for arbitration (仲裁). If the Sellers are the plaintiff (申诉人) the arbitration shall take place in Stockholm. ?In 2009, the bilateral trade volume between China and Switzerland declined

on the whole as a result of the global financial crisis, but with China’

s domestic economic stimulus policy in place to stimulate the domestic consumption and boost the economic growth, China’s imports from Switzerland decreased by only 2.6 percent, which is a slight drop compared with the 32 percent slump in China’s exports to Switzerland. The trade between the two countries not only met China’s market needs, but also expanded Swiss exports.

At the time of the world economic downturn, the stable development of China-Switzerland trade, which shows that the two economies are highly complementary to each other, is the outcome of the two sides jointly combating trade protectionism.

In the past year, confronted with the serious impact of the international financial crisis, the Chinese government has taken timely and resolute steps to curb the crisis, comprehensively implementing a stimulus package to maintain a fast and stable economic development, thus achieving the economic upturn in a short period of time. China’s GDP last year increased 8.7 percent year on year, with its residents, income rising fast.

?The above achievement, which was made when our exports substantially

decreased, should be attributed to the expansion of our domestic demands.

At the moment, globally the basis for the economic recovery, however, is still fragile as a whole, and domestically some uncertain factors are weighing on our economic operations, a situation that calls for internationally-coordinated efforts to cope with.

The Chinese government set up its own 2020 target on energy preservation and pollution reduction after it had made much headway in this regard. European countries such as Switzerland are advanced in technologies of energy preservation and environmental protection, leading the world in the fields of green economy, circular economy, and low carbon economy. 付款条件：买方所开信用证不得増加和变更任何未经卖方事先同意的条款。若信用证与合同条款不符，买方有责任修改，并保证此修改之信用证在合同规定的装运月份前至少15天送达卖方。

?In the Buyer’s L/C, no terms and conditions shall be added or altered without

prior consent of the Sellers. The Buyers must amend the L/C if it is inconsistent with the stipulations of this contract, and the amendment must reach the Sellers at least 15days before the month of shipment stipulated in this contract

?保险：由卖方按中国人民保险公司条款照发票总值110%投保一切险及战争险。如买

方欲增加其他险别，须于装船前征得卖方同意，所增加的保险费由买方负担。

?INSURANCE：To be covered by the Sellers for 110% of Invoice value against

All Risks and War Risk as per the relevant clauses of The People’s Insurance Company of China. If other coverage is required, the Buyers must have the consent of the Sellers before shipment and the additional premium is to be

borne by the Buyers.

?PAYMENT：The Buyers shall open with a bank acceptable to the Sellers an

irrevocable, Sight Letter of Credit to reach the Sellers 30 days before the month of shipment, valid for negotiation in China until 15th days after the month of shipment.

Upon first presentation the buyer shall pay against documentary draft drawn by seller at sight. The shipping documents are to be delivered against payment only.

Upon first presentation the buyer shall accept against documentary draft drawn by seller and pay at ×× days after sight. The shipping documents are to be delivered against acceptance only.

买方应通过一个卖方可接受的银行开立不可撤销的即期信用证，并于最迟装运日前20天送达卖方，其中发票金额的50%凭即期光票信用证支付，其余50%以即期跟单托收方式支付。全套货运单据附于托收项下，于买方付清发票的全部金额后交单。如买方不能付清全部发票金额，则货运单据由开证行掌握，凭卖方指示处理。

?The buyer shall open through a bank acceptable to the seller an irrevocable

sight letter of credit to reach the seller 20 days before the latest date of shipment, stipulating that 50% of the invoice value available against clean draft L/C at sight, while the remaining 50% on D/P at sight on collection basis. The full set of shipping documents shall accompany the collection draft and shall only be released after full payment of the full invoice value, the shipping documents shall be held by the issuing bank at the seller’s disposal.

?买方须于2008年5月20日前将不可撤销的即期付款信用证开到卖方。该信用证于

装运日后 15 天在中国议付有效。买方未在规定的时间内开出信用证，卖方有权发

出通知取消本合同，或对因此遭受的损失提出索赔。

?TERMS OF PAYMENT: By irrevocable sight L/C to reach the seller before May

20, 2008, and to remain valid for negotiation in China until 15 days after the time of shipment. The buyer shall establish a letter of credit before the above-stipulated time. Failing which, the seller shall have the right to rescind this contract upon the arrival of the notice at buyer, or to lodge

a claim for the direct losses sustained, if any.

商品检验：买卖双方同意以装运口岸中国进出口商品检验局提供的检验证书，作为品质和数量的交货依据。

Commodity Inspection:

It is mutually agreed that the Certificate of Quality and Quantity issued by the Chinese Import and Export Commodity Inspection Bureau at the port of shipment shall be taker as the basis of delivery.

装船通知：卖方在货物装船后，立即将合同号、品名、数量、毛重、净重、发票金额、提单号、船名及装船日期以传真形式通知买方。

Shipping Advice:

The Sellers shall, immediately upon the completion of the loading of he goods, advise by fax the Buyers of the contract number, commodity, quantity, gross and met weight, invoiced value, bill of loading number, name of vessel and sailing date etc.

?索赔：有关质量的索赔，应于货到目的地后三个月内提出，有关数量的索赔，应于

货到目的地后30天内提出，提出索赔时，买方须提供卖方认可的公证机构出具的检

验报告，但属于保险公司或轮船公司责任范围内者，卖方不负任何责任。

Claims concerning quality shall be made within 3 months and claims concerning quantity shall be made within 30 days after the arrival of the goods at destination Claims shall be supported by a report issued by a reputable surveyor approved by the Sellers, claims in respect of matters within the responsibility of the insurance company or of the shipping company will not be considered or entertained by the Sellers.

不可抗力：如因战争、地震、水灾、火灾、暴风雨、雪灾或其他不可抗力事故所致，不能如期交货或不能交货时，卖方不负任何责任。但卖方必须向买方提供由中国国际贸易促进委员会或其他有关机构所出具的证明。

Force Majeure: The Sellers shall not be responsible for late delivery or non-delivery of the goods due to the Force Majeure like war, earthquake, flood, snowstorm, etc. However, in such case, the Sellers shall submit to the Buyers a certificate issued by the China Council for the Promotion of International Trade or other related organization as evidence.

?仲裁：因执行本合同所发生的或与本合同有关的一切争议，双方应友好协商解决，

若协商不能获得解决，则应提交北京中国国际贸易促进委员会对外经济仲裁委员会，根据该仲裁委员会的程序进行仲裁，仲裁裁决是终局的，对双方均有约束力。Arbitration: All disputes arising from the execution of or in connection with this contract shall be settled through amicably negotiation if no settlement can be reached through negotiation, the case shall then be submitted to the Foreign Trade Arbitration Commission of China Council for the Promotion of the International Trade, Beijing, for arbitration in accordance with its provisional rules of procedure. The arbitral award is final and binding upon both parties.

其他：对本合同的任何变更和增加，公在以书面经双方签字后，方为有效，任何一方在未取得对方书面同意前，无权将本合同规定之权利及义务转让给第三者

?Other Conditions: Any alterations and additions to the contract shall be

valid only if they are made out in writing and signed by both parties. Neither party is entitled to transfer its right and obligation under this contract

to a third party before obtaining a written consent from the other party.

?All annexes to this contract shall form an integral parts of this contract.

Both texts of this contract in English and Chinese are equally valid.

?The buyer should pay total amount to seller by T/T within 10 days after

receipt of the concerning original B/L.

?

The buyer shall pay 30% of the sales proceeds by telegraphic transfer to reach the seller not later than April 20th 2009.The remaining part will be paid to the seller within 5 days after receipt of the fax concerning original B/L by the buyer.

? 1. Upon first presentation, the buyer shall pay against documentary draft

drawn by the sellers at sight. The shipping documents are to be delivered against payment only.

? 2. The buyer should pay 20% amount to the seller by T/T within 15days before

the latest date of shipment, while the remaining part will be paid to the seller by T/T within 20 days after receipt of the concerning original B/L by the buyer.

? 3. The buyer shall open through a bank acceptable to the seller an irrevocable

letter of credit, available by seller’s documentary draft at sight to be valid for negotiation in China until 15 days after the date of shipment.

The L/C must reach the sellers before Sept.15.
