国际工程总承包项目案例分析之一某大型国际EPC项目合同案例分析国际工程项目的业主往往高度依赖于项目融资,特别是来自银行业的资金支持。
在全球金融危机的影响下,许多银行由于出现巨额亏损、被接管甚至破产等危局,导致大量国际工程项目面临融资困难甚至失败,进而陷入停工甚至终止的困境。
工程总承包商应及时跟踪项目风险,与业主一起承担合同风险,保证工程总承包合同的顺利或逐步实施。
一、 案例背景2007年,中国某国际工程公司(下文中用“承包商”)与非洲某业集团(下文中用“业主”)订立一系列工业生产线的EPC/交钥匙合同包(包括4份EPC/交钥匙合同),其中交钥匙合同均以FIDIC《设计采购施工(EPC)、交钥匙工程合同条件》(银皮书)为基础。
但出于避税方面的考虑,每份合同均由岸上合同(OnshoreContract)\离岸合同(OffshoreContract)以及关联协议(BridgingAgreement)三部分构成。
此外,附件中还有一份需要由项目融资机构代理、业主、承包商三方共同签署的直接协议(DirectAgreement)。
合同适用法律为英格兰和威尔士法律,仲裁地点为伦敦国际仲裁院(TheLondonCourtofInternationalAr-bitration,,LCIA)。
双方约定:预付款为合同总价10%,预付款保函及履约保函总额为合同总价的10%;货物部分的90%合同价款采用L/C支付;现场部分的90%合同价款采用T/T支付;合同价款以美元计价,但锁定美元与人民币汇率。
2008年初,承包商与业主签订补充协议,增加预付款比例,同时保函比例相应增加。
2008年4月,承包商向业主提供保函,业主支付相应预付款并申请开立L/C。
截止于2008年6月,承包商已经开展的各项前期工作包括:方案设计;与主要供应商和分包商分别签订各类分供合同,并向其支付分供合同项目下的预付款,按约定开立L、C;前期现场准备工作,包括现场管理人员进驻、临时设施建设、场地平整等。

Article 2. Contract Price and Terms of Payment (Reference GC11 and GC12 – General Conditions – Volume 1 - ITB).条款 2:合同价格和支付方式(参考第1 卷的ITB 中的GC11 和GC12)2.1XX hereby agrees to pay to the Contractor the ContractPrice in consideration of the performance by theContractor of its obligations stated in the Contract. TheLump Sum Contract Price shall be the aggregate of: (1)Foreign Currency Portion (amount of foreign currency) and(2) Local Currency Portion (amount of local currency) Thebreakdown of the Lump Sum Contract price in accordancewith forms is given in Price Schedule – Appendix 9hereto.Within 3 months after Effective Date of Contract, ifrequested by the Contractor, the Foreign Currency Portionand Local Currency Portion may be re-corrected.XX 同意根据合同规定的承包商的履约范围对其支付合同价格,合同价格是下列两项之和:(1)外币支付部分(外币金额)(2)当地货币支付部分(当地货币金额)。
合同价格的分项价格列于附件9:分项报价表合同生效之日起3个月内,如果承包商要求,外币支付部分和当地货币支付部分可以重新调整。
2.2The Contract Price shall be a fixed lump sum not subjectto any alteration except in the event of a Change in theWorks (GC 38) or otherwise provided in the Contract.除非根据GC38(工程的变更)以及合同其它的规定,否则合同价格为固定的总价,不允许变更。
