第一条委托事项甲方委托乙方寻找合适的海外客商推销空气清新机产品。
第二条委托事项的具体要求(1)甲方应该保证所生产的产品的合法性及保证产品质量。
(2)甲方与海外客商交易的具体价格、交货方式、支付方式等由甲方与海外客商双方协商约定。
(3)乙方不对甲方与海外客商的交易提供担保，甲方应该严格按照国际贸易术语中的“FOB、CIF”等条款与海外客商签订的合同。
第三条佣金的计算、给付方式、给付时间(1)甲方支付的佣金包括乙方的居间活动费用及相关费用。
(2)甲方同意对于客户第一个订单按合同成交总额的3%支付佣金给乙方。
(3)给付方式与时间：在甲方与海外客商签订合同并拿到海外客商开出的符合要求的信用证后，甲方应该支付佣金的30%给乙方，该供应合同执行完后在15天内支付余下的佣金给乙方。
第四条乙方义务(1)应出示身份证等真实身份证明(2)应尽力完成甲方的委托事项，按照甲方提出的条件为甲方寻找客户，并将情况及时向甲方如实汇报，为甲方与海外客商签订合同提供联络、协助、撮合等服务，并促成甲方与海外客商的买卖合同的成立。
(3)不得提供虚假信息、隐瞒重要事实或与他人恶意串通，损害甲方利益。
(4)对甲方的经济情况、个人信息、商业秘密等保守秘密。
(5)收取佣金时，应向甲方开具规范的收据。
(6)本合同签订后，乙方不得以任何形式向甲方收取任何名目的预收费用。
第五条委托事项的完成“完成委托事项”是指完成本合同第一条所列全部委托事项。
海外客商与甲方未签订书面买卖合同且未开出符合约定的信用证，乙方仅为甲方提供信息，或为甲方与海外客商签订买卖合同提供联络、协助、撮合等服务的，均视为委托事项未完成。
委托事项未完成或未在委托期限内完成的，乙方不得要求支付佣金。
乙方将委托事项全部或部分转委托给第三人处理时，应当事先征得甲方的同意。
第六条本合同解除的条件双方可以以书面形式协商解除合同。
第七条违约责任(1)乙方怠于履行尽力义务的，不得向甲方要求支付佣金;(2)乙方提供虚假信息、隐瞒重要事实或有恶意串通行为的，除退还已收取的佣金外，应按照_____标准支付违约金。
甲方除按约定支付违约金外，还应对超出违约金以外的损失进行赔偿。
(3)乙方为甲方介绍的海外客商为非法经营或未满足甲方的特定要求的，退还已收取佣金。

(6)甲方同意凡乙方所介绍的海外客商，其将来与甲方发生的每笔清新机业务，甲方从第二单起之后的订单，将按合同金额的2%支付佣金给乙方，否则，甲方愿意接受合同成交金额的30%罚款支付给乙方。
第八条合同一经生效，即对双方具有法律约束力。
双方经协商一致可以对合同内容进行变更或对未尽事项做出补充规定。
变更或补充规定应当采取书面形式，与本合同具有同等效力。
第九条本合同相关条款的约定是在不违背国家法律、法规和地方性法规的前提下做出的，如果国家法律、法规和地方性法规对委托人、居间人及海外客商的资质、资格及其他有关方面有特别规定的，从其规定。
第十条争议解决方式对违约行为若双方协商不成，可凭此合同向甲方所在地人民法院提起诉讼。
第十一条本合同未尽事宜双方协商解决，本合同一式两份，甲乙双方各执一份，具有同等法律效力。

由于乙方超越或违背甲方指示而造成的任何索赔、债务和责任，乙方应设法保护甲方利益并赔偿甲方因此而遭受的损失。
第3条甲方的责任3．1广告资料：中方应按实际成本向乙方提供合理数量的“产品”样品、样本、价目表、广告宣传用的小册子及其他有关“产品”推销的辅助资料。
3．2支付推销：甲方应尽力支持乙方开展“产品”的推销；甲方不主动向乙方代理“地区”的其他客户发盘。
3．3转介客户：除本协议另有规定外，如“地区”其他客户直接向甲方询价或订购，甲方应将该客户转介乙方联系。
3．4价格：甲方提供乙方的“产品”价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。
3．5优惠条款：甲方提供乙方获致订单的条款是最优惠的。
今后如甲方向“地区”其他客户销售“产品”而提供比本协议更有利条件时，甲方应立即以书面通知乙方，并向乙方提供比此项更有利的条件。
3．6保证：甲方担保凡根据本协议出售的“产品”如经证实在出售时质量低劣，并经甲方认可，则甲方应予免费修复或调换。
但此项免费修复或调换的保证，以“产品”在出售后未经变更或未经不正确地使用为限。
除上述保证外，甲乙双方均同意不提供任何其它保证。
第4条乙方的责任4．1推销：乙方应积极促进“产品”的推销，获取订单，并保持一个有相当规模和足够能力的推销机构，以利“产品”在“地区”的业务顺利开展和扩大。
4．2禁止竞争：乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议“产品”相同或类似的其他国家商品，或将本协议内“产品”转销其他国家和地区。
4．3最低销售额：在本协议有效期间的第一个十二个月内，乙方从“地区”客户获得的“产品”订单，总金额应不少于______元。
以后每十二个月递增百分之十五。
4．4费用：在本协议有效期内，乙方应承担在“地区”推销和获取“产品”订单的全部费用，如电报费、旅费和其他费用，本协议另有规定者除外。
4．5“产品”价格与条件：乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。
在获取订单时，乙方应充分告知客户，甲方的销售确认书或合同内的一些条款以及任何订单均须经乙方确认接受后方为有效。
乙方收到的“产品”订单，应立即转给甲方以便予以确认或拒绝。
4．6督促履约：乙方应督促买户严格按照销售确认书或合同的各项条款履约，例如及时开立信用证等等。
4．7市场情况报导：乙方应负责每月(或每季)向甲方提供书面的有关“产品”的市场报导，包括市场上同类产品的销售情况、价格、包装、推销方式、广告资料、客户的反应和意见等。
如市场情况发生重大变化时，乙方应及时以电报通知甲方。
第5条佣金5．1佣金率及支付方式：凡经乙方获得并经甲方确认的订单，甲方在收妥每笔交易全部货款后，将按发票净售价付给乙方百分之_________佣金。
为了结算方便，佣金每月(季)汇付一次。
如有退货，乙方应将有关佣金退还甲方。
5．2计算基础：上述“发票净售价”系指甲方开出的“产品”发票上的总金额(或毛售价)减去下列费用后的金额，但以这些费用业经包括在毛售价之内者为限：(1)关税及货物税，(2)包装、运费和保险费，(3)商业折扣和数量折扣，(4)退货的货款，(5)延期付款利息，(6)乙方佣金。
5．3甲方直接成交的业务：凡乙方“地区”的客户，虽已了解甲乙双方的贸易关系，或经甲方转介与乙方，但仍坚持与甲方直接交易，则甲方有权与之成交，保留百分之_________佣金与乙方，并将此项交易作为本协议第4．3款最低销售额的一部分。
如乙方“地区”的客户在中国访问期间(包括参加在中国举办的各种交易会)与甲方达成“产品”的交易，目的港为乙方代理“地区”者，甲方有权接受其订单，但不为乙方保留佣金，亦不计入上述最低销售额。
5．4超额佣金：如乙方在本协议有效期内积极推销“产品”并超额完成年度最低销售额(按实际出运金额计算)，甲方对超额部分除支付规定的佣金外，应另付乙方奖励佣金：(1)超额百分之五十时，奖励佣金为百分之_________；(2)超额百分之一百及以上时，奖励佣金为百分之_________。
奖励佣金在年度终了由甲方结算后一次汇付乙方。
第6条协议有效期本协议有效期为______年，期满自动失效。
如双方同意延续本协议，任何一方应在期满______天前用书面通知对方以便相互确认第7条协议的终止7．1终止：协议双方应认真负责地执行各项条款。
在下列条件下，每一方得以书面通知另一方立即终止本协议或取消其中某一部分：(1)如一方未能履行本协议的任何一项义务，而此项违约在接到另一方书面要求纠正的通知后______天内又未能加以纠正；或(2)如一方自动或被迫申请宣告破产，自动或被迫申请改组、清理、解散、或对该方指定了产业管理人；或(3)如发生违反本协议第8条有关商标使用或注册的情况；或(4)如发生本协议第9条不可抗力事由，一方在超过_________天期限后仍无法履行其义务时。
7．2终止的影响：本协议的终止并不解除双方按照本协议规定业已产生但未了结的任何债务。
凡在协议终止前由于一方违约致使另一方遭受的损失，另一方仍有权提出索赔，不应受终止本协议的影响。
乙方特此声明：由于终止本协议而引起的损害，乙方放弃要求补偿或索赔，但终止本协议前甲方应付乙方的应得佣金仍应照付。
第8条商标甲方目前拥有和使用的商标、图案、及其他标记，均属甲方产权，未经甲方特别以书面同意，乙方均不得直接或间接地、全部或部分地使用或注册。
即使甲方特别以书面同意乙方按某种方式使用，但在本协议期满或终止时，此种使用应随即停止并取消。
关于上述权利，如发生任何争议或索赔，甲方有权立即单方面取消本协议并且不承担由此而产生的任何责任。
第9条不可抗力任何一方由于人力不可抗拒事由，以致直接或间接地造成任何迟延或无法履行本协议全部或部分条款时，另一方不得提出索赔要求。
此类事由包括：水灾、火灾、风灾、地震、海啸、雷击、疫并战争、封锁、禁运、扣押、战争威胁、制裁、骚动、电力控制、禁止进口或出口、或其它非当事人所能控制的.类似原因、或双方同意的其它特殊原因。
有关一方应在事故发生后_________天内以书面通知另一方，并提供当地有关机构的证明文件，证明不可抗力事故的存在。
