品,开展甲方产品的销售与服务事宜,达成一致协议如下:
一、双方共同确认
1、授权:甲方授权乙方为甲方通讯系列产品的***核心代理商,甲方通讯系
列产品包括但不限于现有产品。
二、甲方的权利和义务
1. 甲方应充分利用其技术和其他资源优势,根据世界通信发展潮流,积极
引进吸收世界先进通信技术应用于甲方产品;
2. 甲方应及时向乙方通报有关技术、产品、市场的发展趋势,并以适当的
方式向乙方提供管理、销售和技术培训;
3. 甲方应在市场、技术、公关等方面,积极支持和协助乙方独立或共同承
接各类与销售甲方的产品相关的工程项目;
4.甲方应积极宣传推广甲方的产品,同时还可通过甲方独自举办或甲乙双
方联合举办甲方的产品展示会等有关的市场推广活动,协助乙方开拓地方分销市
场;
5. 甲方有责任维护乙方***核心代理的权益,确保甲方产品在乙方代理的
有效地理范围内的乙方权益;
6. 甲方应按照甲方的商务政策,完成乙方合同订货的供货;
7. 甲方有责任保证产品的技术指标满足国家规定的要求和甲方自定的产
品标准;甲方有责任向乙方提供符合国家产品质量标准和甲方自定的产品标准。
三、乙方的权利和义务
1. 乙方应积极、认真地理解甲方的产品及市场政策,履行乙方作为甲方的
产品签约代理的各项职责和义务;
2. 维护甲方及甲方产品的形象和信誉,通过甲方的培训和技术支持,乙方
应具备甲方产品市场规划、销售、维护、服务及培训能力;
3. 积极向市场推广所代理的甲方的产品,并在各种相关工程项目中广泛加
以应用;
4. 乙方在甲方的配合下,应采取必要的市场措施,如发展地区经(分)销
商、举办培训班、广告宣传、展示会等,促进甲方的产品的销售;
5. 乙方须把市场信息、用户需求等及时反馈给甲方以供甲方调整市场决策。
6.乙方应严格遵守甲方的市场价格政策;除非特殊定单,乙方先期书面申
报甲方同意的情况,乙方严禁以低于甲方规定的最低零售价向最终用户销售甲方
产品。否则,甲方有单方面取消乙方代理资格的权力。
7. 乙方代理的有效地理范围为陕西省 。乙方在未经甲方许可的情况下不
能跨越地区进行产品销售活动。
四、其它事项
1. 甲方每年与签约代理举行讨论,相互交流产品开发与市场经验,同时甲
方听取乙方意见,确定市场开拓策略,并对乙方的签约代理资格进行定期审查;
2. 若乙方在签约代理经营过程中,违反销售合同的规定,有损甲方的利益
或信誉,甲方将有权单方面取消乙方的签约代理资格;
3. 甲乙双方均有权在协议有效期间,提出解除协议,在双方正式清偿债权
债务后,书面解除协议;
4. 乙方每次向甲方定货均需另行与甲方签订《产品购销合同》,购货价格、
流程及结算办法按双方签订的《产品购销合同》执行;
5. 本协议在执行期满后,甲乙双方若无异议,本协议可延期,以到期双方
签订的新的《产品签约代理协议书》为准;
6. 本协议壹式肆份,双方各持贰份。双方签字盖章后生效;
7. 本协议在执行过程中出现争议,双方应尽量协商;本协议未尽事宜,由
双方友好协商解决。
