WHO WE AREFounded in May 2003, BMW Brilliance Automotive Ltd. is a joint venture of BMW Group and Brilliance China Automotive Holdings Ltd. Its operations include the production, sales and after-sales services of BMW automotives. The plant is situated in Shenyang city, Liaoning Province, which has a strong industrial base. BMW Brilliance has also set up a branch company in Beijing, with a nationwide sales and service network. By the end of June, 2013, BMW Brilliance has more than 13,000 associates.Currently, BMW Brilliance manufactures the BMW 5 Series Long Wheelbase, the BMW 3 Series Long Wheelbase and standard version, and the BMW X1. More than 140,000 units of BBA products were delivered in China in 2012. The new generation BMW 5 Series Long Wheelbase was launched in China in August 2010, and received highly positive response from the market, sales of 5 Series reached 107, 844 units in 2012, becoming the first BMW model to surpass the annual threshold of 100,000 in China. Local production of BMW X1 started in March 2012, it successfully became one of BMW’s top 3 models in China. The sixth generation BMW 3 Series was launched in July 2012, providing two different wheelbases to the market. All products have set new benchmarks in performance and environmental protection with the comprehensive implementation of BMW EfficientDynamics technology. In order to satisfy rapidly increasing customer demand, May 24th, 2012, the BMW Brilliance Tiexi plant was officially opened with an annual production capacity of 100,000 units. The Dadong plant has an installed capacity of 100,000 units. As a whole, BMW Briiliance will have a total capacity of 300,000 units in 2013. In August 2012, a plan to upgrade its engine production was announced. A new engine plant is under construction next to Tiexi plant and it will go into operation in 2016.In April 2013, BMW Brilliance launched the JV-owned new brand: ZINORO, which is a milestone of deepening localization based on the long term cooperation and successful development between the two parties. As a Chinese premium car brand, ZINORO inherits the essence of Chinese culture and values, it has international standard technologies, representing advanced technology and high quality. The first model under ZINORO will be a pure electric drive vehicle scheduled to deput during Guangzhou Motor Show. ZINORO products will be made in BBA Plant Tiexi.At the same time with maintaining rapid development, BMW Brilliance has always placed customers as its top priority, and provides great support to dealers. BMW Brilliance enjoys a leading position in customer satisfaction among premium auto brands. 購股權未獲行使乃由於購股權的行使價介乎1.320港元至1.746港元之間,嚴重高於股份近期的市價,令購股權持有人無意行使該
等購股權以認購股份。
於本公佈日,根據二零零二年購股權計劃授出但未行使的購股權可供認購合共92,125,000股股份。

經考慮購股權計劃的目的為向有關參與者就其對本集團作出的貢獻提供激勵或獎賞及╱或令本集團能夠招聘及挽留優秀僱員及吸引對本集團或本集團持有其股權的實體有價值的人力資源,且本公司無須就註銷購股權支付任何代價,董事會已決定於股東大會上向股東提呈該等註銷購股權的要求,以根據二零零二年購股權計劃的規則予以批准。
董事會認為建議註銷購股權符合本公司的利益,此乃由於本公司無須就有關註銷支付任何代價,而於註銷購股權後,本公司將不再承擔受購股權所限須發行該等股份的責任,本公司股東的權益比例因此將不會被攤薄。
此外,本公司無須因有關註銷而向購股權持有人支付任何賠償或任何產生的損失,註銷購股權亦將不會對本公司構成任何不利財務影響。
根據二零零二年購股權計劃的規則,註銷已授出但未行使的購股權須由股東以計票方式表決批准,購股權持有人及彼等的聯繫人士須就批准註銷的相關普通決議案放棄投票。
根據本公司的記錄以及就董事所深知,於本公佈日,購股權持有人及彼等的聯繫人士合共擁有1,125,000股股份的權益,佔本公司已發行股本約0.031%。
採納新購股權計劃
本公司於二零零二年六月二十八日採納二零零二年購股權計劃,並於二零零二年七月十五日生效。
二零零二年購股權計劃將於二零一二年七月十四日屆滿(即自二零零二年購股權計劃生效日期起計十年)。
倘本公司繼續根據二零零二年購股權計劃授出購股權以認購股份,於大約四年時間後,於二零零二年購股權計劃屆滿及於二零一二年採納一項新購股權計劃後,本公司將須於二零一二年獲採納的新購股權計劃大部份的實行時間內,並行管理根據兩項購股權計劃授出以認購股份的購股權。
此將對本公司造成行政負擔。
為了向合資
格人士就其對本集團或本集團持有其股權的實體所作出的貢獻或可能作出的貢獻提供合適的激勵或獎賞,以及長遠而言為免須同時管理兩項購股權計劃,董事會認為終止二零零二年購股權計劃並採納新購股權計劃乃符合本公司的利益。
董事會亦建議藉採納新購股權計劃的機會,以(i)修訂新購股權計劃擬惠及的人士的具體範圍,從而於向曾經或將會對本集團或本集團持有其股權的實體的發展作出貢獻的合適人士提供激勵及獎賞時享有彈性;及(ii)澄清授予非本集團僱員或非本集團持有其股權的實體僱員的購股權失效的情況。
新購股權計劃須於達成以下條件後,方告落實:
(i)於股東特別大會通過普通決議案批准採納新購股權計劃及終止二零零二年購股權計
劃;及
(ii)根據新購股權計劃可能授出的購股權所附帶的認購權獲行使時可能配發及發行的任何新股份獲聯交所上市委員會批准上市及買賣。
根據二零零二年購股權計劃已授出可認購合共96,750,000股股份的購股權,其中可認購1,375,000股股份的購股權已獲行使,而可認購3,250,000股股份的購股權已失效。
於終止二零零二年購股權計劃後,將不會進一步根據該計劃授出購股權。
由於建議二零零二年購股權計劃項下可認購92,125,000股股份的未行使購股權將予註銷,倘於股東特別大會批准註銷該等購股權,則於二零零二年購股權計劃終止後,將不會有任何根據二零零二年購股權計劃授出但未行使的購股權。
於本公佈日,根據一九九九年購股權計劃授出可認購2,800,000股股份的購股權仍未行使。
因行使根據新購股權計劃及任何其他計劃授出及仍未授出但未行使的所有購股權而可能發行的股份數目限額為不得超過本公司不時已發行股份的30%。
因行使根據新購股權計劃將予授出的所有購股權而可能發行的股份於任何時間均不可超過於新購股權計劃採納日期已發行股份的10%。
以往根據一九九九年購股權計劃、二零零二年購股權計劃及任何其他計劃授出的購股權﹙包括該等根據一九九九年購股權計劃、二零零二年購股權計劃及任何其他計劃未行使、已註銷、已失效或已行使的購股權﹚,不會在
計算新購股權計劃的計劃限額時計算在內。
根據於本公佈日已發行3,669,765,900股股份及假設於股東特別大會舉行前本公司並無發行或購回股份,新購股權計劃的計劃限額將為366,976,590股股份。

釋義
「一九九九年購股權計劃」指本公司於一九九九年九月十八日採納及本公司於二零零二年六月二十八日終止的本公司購股權計劃;
「二零零二年購股權計劃」指本公司的現有購股權計劃,其於二零零二年六月二十八日獲本公司採納,於二零零二年七月十五日生效,並將於二零一二年七月十四日屆滿;
