Three types of foreign-invested

Three types of foreign-invested enterprises1- EJV (Equity Joint Ventures)Equity joint ventures are the second most common manner in which foreign companies enter the China market and the preferred manner for cooperation where the Chinese government and Chinese businesses are concerned. Joint ventures are usually established to exploit the market knowledge, preferential market treatment, and manufacturing capability of the Chinese side along with the technology, manufacturing know-how, and marketing experience of the foreign partner.Share holdings in a joint venture are usually non-negotiable and cannot be transferred without approval from the Chinese government. Investors are restricted from withdrawing registered capital during the live of the joint venture contract. Regulations surrounding the transfer of shares with only the approval of the board of directors and without approval from government authorities will probably evolve over time as the size and number of international joint ventures grow.Equity can include cash, buildings, equipment, materials, intellectual property rights, and land-use rights but cannot include labor. The value of any equipment, materials, intellectual property rights, or land-use rights must be approved by government authorities before the joint venture can be approved.After a joint venture is registered, the entity is considered a Chinese legal entity and must abide by all Chinese laws. As a Chinese legal entity, a joint venture is free to hire Chinese nationals without the interference from government employment industries as long as they abide by Chinese labor law. Joint ventures are also able to purchase land and build their own buildings, privileges prevented to representative offices.2- CJV (Cooperative Joint Venture)In a Sino-Foreign Cooperative Venture (also known as Contractual Joint Venture),the parties involved may operate as separate legal entities and bear liabilities independently rather than as a single entity. A cooperative venture may also be registered as a limited liability entity resembling an equity joint venture in operation, structure, and status as a Chinese legal entity.There is no minimum foreign contribution required to initiate a cooperative venture, allowing a foreign company to take part in an enterprise where they preferred to remain a minor shareholder. The contributions made by the investors are not required to be expressed in a monetary value and can include excluded in the equity joint venture process can be contributed such as labor, resources, and services. Profits in a cooperative venture are divided according to the terms of the cooperative venture contract rather than by investment share, allowing a more flexible schedule for return on investment in cases where one investor provides cash while the other party's investment is primarily in kind.Greater flexibility in the structuring of a cooperative venture is also permissible including the structure of the organization, management, and assets.There is no term for unlimited terms in cooperative ventures, but also no provisions for the term of the duration. The term of the cooperative venture contract may be renewed subject to the consent of the parties involved and approval from the examination and approval authorities. The foreign investor is permitted to withdraw their registered capital or a portion thereof from the cooperative venture during the duration of the cooperative venture contract.3- WOFE (A Wholly Foreign Owned Enterprise)A Wholly Foreign Owned Enterprise (WOFE) is a limited liability company wholly owned by the foreign investor(s). WOFEs allow foreign investors to manufacture, process, assemble, trade, distribute, deliver services or provide retailing facilities in China, without joining together with a Chinese partner.Setting up a Limited Company does not necessarily mean that you can engage in any sort of activities, as may be the case in the West and certainly in Hong Kong.WOFE’s can only be operated within the scope of business as approved by the authorities. If, at a later date, the WOFE wishes to add other activities, these are subject to further approval by the relevant government authorities. Setting up a company in Hong Kong
Hong Kong is an excellent place to set up a business not only because it is one of the world's major trading and financial centres but also because of its simple taxation system and low tax rate. Income with a source outside Hong Kong is not as a general rule subject to tax and companies pay tax on their local income at the rate of only 16.5%.
To do business in Hong Kong, one can set up a sole proprietorship, a partnership or register one's own company incorporated elsewhere as an overseas company in Hong Kong. However, the most common form of business entity in Hong Kong is the private limited company which limits the liability of the shareholders to the capital subscribed. The incorporation of a tailor-made company takes around eight to ten days but one can buy a "shelf company" and start business almost immediately. This kind of "shelf company" has never traded since incorporation and so has no liabilities.
Shelf companies are ready-made companies which can be used the moment they are purchased. They normally have an authorised capital of HK$10,000 with standard Memorandum and Articles of Association. One can change the name, amend the Articles or increase the authorised capital at any time.
Shelf companies are incorporated with one subscriber share of HK$1.00 which is the statutory minimum. There is no obligation to subscribe and pay up further capital.
The basic requirements of a limited company are:
- one Shareholder (no restriction on residence, can be individuals or corporates)
- one Director (no restriction on residence, can be individuals or corporates)
- one Company Secretary resident in Hong Kong
- one Auditor who practises in Hong Kong
- Registered Office in Hong Kong
- to register with the Business Registration Office
- to file Profits Tax and Employer's Returns annually
- to present audited accounts to the shareholders for adoption annually
- to hold a General Meeting of the Shareholders every year
- to file an annual return giving particulars of the Directors, Shareholders and Secretary, together with the Company's capital structure.
