Entrusted matters: Party A entrusts Party B to act as an agent in relevant foreign trade business.2. 代理责任:乙方按照甲方的要求代理外贸事务,并依法合规操作。
Agent's responsibility: Party B shall act on behalf of Party A in foreign trade affairs according to Party A's requests, and operatein compliance with laws and regulations.3. 委托期限:本合同自签订之日起至______________止。
Period of entrustment: This contract is valid from the date of signing to ______________.4. 薪酬标准:甲方应按照合同约定向乙方支付代理费用。
Compensation standards: Party A shall pay Party B the agency fee according to the contract.5. 法律效力:本合同自对双方具有法律效力。
Legal Effect: This contract is legally binding on both parties.二、委托人权利和义务1. 保证问题:甲方保证所提供的产品及服务真实、合法,并保证产品符合国家标准、安全、质量的基本要求。
Guarantee issue: Party A guarantees that the products and services provided are true and legal, and that the products meet the basic requirements of national standards, safety, and quality.2. 合法合规:甲方保证在委托人行为中遵守中国相关法律法规以及国际贸易惯例。
Legal compliance: Party A guarantees compliance with relevant Chinese laws and regulations and international trade practices in the conduct of the principal's behavior.3. 提供文件:甲方应向乙方提供有关产品、服务、支付方式等信息及有关文件和资料。
Providing documents: Party A shall provide Party B with information about products, services, payment methods, etc., as well as relevant documents and materials.4. 受理产品:甲方应按要求及时发出商品并且根据要求交纳货款。
Acceptance of products: Party A shall send out the goods promptly and pay the purchase price as required.5. 维护知识产权:甲方应严格维护自己的知识产权,不侵犯他人的知识产权。
Maintaining Intellectual Property Rights: Party A shall strictly maintain its own intellectual property rights and not infringe upon the intellectual property rights of others.6. 违约责任:甲方违反本合同的,应当承担相应的违约责任。
Breach of Contract: In the event of Party A's breach of this contract, it shall bear the corresponding liability for breach of contract.三、居间人权利和义务1. 商业机密:居间人应严格保护甲方的商业机密。
Business Secrets: The Intermediary shall strictly protect the business secrets of the Principal.2. 完成代理工作:居间人应按照甲方的要求完成代理工作。
Completion of agency work: The Intermediary shall complete the agency work according to Party A's requirements.3. 合法合规:居间人应严格遵守中国相关法律法规以及国际贸易惯例。
Legal compliance: The Intermediary shall strictly comply with the relevant Chinese laws and regulations and international trade practices.4. 向甲方提供信息:居间人应在合同履行期间向甲方提供外贸市场相关信息。
Providing information to Party A: The Intermediary shall provide Party A with relevant information on the foreign trade market during the term of the contract.5. 违约责任:居间人违反本合同的,应当承担相应的违约责任。
Breach of Contract: In the event of Party B's breach of this contract, it shall bear the corresponding liability for breach of contract.四、法律效力和可执行性1. 本合同受中华人民共和国相关法律法规的约束。
This contract is subject to the relevant laws and regulations of the People's Republic of China.2. 本合同任何条款的无效不影响其他条款的效力。
The invalidity of any provision of this contract shall not affect the validity of other provisions.3. 本合同如有争议应当协商解决,无法协商解决的,提交甲方所在地的人民法院进行诉讼。
