Unless otherwise expressly specified herein, defined terms denoting the singular number shall, when in the plural form, denote the plural number of the matter or item to which such defined terms refer, and vice-versa. The Section, Schedule and Exhibit headings used in this Pledge Agreement are descriptive only and shall not affect the construction or meaning of any provision of this Agreement. Unless otherwise specified, the words “hereof,” “herein,” “hereunder” and other similar words refer to this Pledge Agreement as a whole and not just to the Section, subsection or clause in which they are used; and the words “this Agreement” refer to this Pledge Agreement. Unless otherwise specified, references to Sections, Recitals,Schedules and Exhibits are references to Sections of, and Recitals, Schedules and Exhibits to this Agreement.定义术语的使用。

英文合同经典条款1. 兹经买卖双方同意按照以下条款由买方购进，卖方售出以下商品:This con tract is made by and betwee n the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and con diti ons as stipulated here in after:2. 索赔：在货到目地口岸45天内如发现货物品质、规格和数量与合同不符，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔。
Claims: within 45 days after the arrival of the goods at the desti nati on,should the quality, specificati ons orqua ntitybe found not in con formity with the stipulati ons of the con tract except those claims for which the in sura nee compa ny or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim compe nsati on from the Sellers.3. 不可抗力：由于不可抗力的缘由发生在制造、装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任；在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件；在上述情况下，卖方仍须负责采取措施尽快发货。
Force Majeure: The Sellers shall n ot held resp on sible for any delay in shipme nt or non-delivery of the goods due to Force Majeure, which might occurduring the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrenee mentioned above withinfourteen days thereafter. The Sellers shall send by airmail to the Buyers for their accepta nee certificate of theaccide nt. Un der suchcircumsta nces the Sellers, however, are still un der the obligati on to take all n ecessary measures to haste n the delivery of the goods.4. 不可抗力：本合同内所述全部或部分货物，如因不可抗力原因，以致不能履约或不得不延期交货，卖方概不负责。
Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity un der this Con tract in con seque nee of and force majeure.5. 仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。
of this Con tract shall be settled through frien dly negotiations. In case no settlement can be reached, the case may the n be submitted for arbitrati on to the Arbitratio n Commissi on of the China Coun cil for the Promoti on of International Trade in accordanee with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.6. 仲裁：在履行本合同中所发生的或者与合同有关的一切争执，由双方协商解决。
如果协商后仍不能解决时，得提请仲裁。
仲裁在中国进行，由中国国际经济贸易仲裁委员会根据该仲裁委员会的仲裁程序规则进行仲裁。
仲裁裁决为最终决定，对买卖双方都有约束力。
除该仲裁委员会另有决定外，仲裁费用由败诉一方负Arbitration: Any and all disputes arising from or inconn ecti on with the performa nee of the Con tract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be con ducted by ChinaIntern ati onal Econo mic and Trade Arbitrati on Commissi on inaccordanee with the rules ofprocedures of the said commissi on. The arbitratio n award shall be final and binding upon both Buyer and Seller. Uni ess otherwiseawarded by the said arbitrati on commissi on, the arbitrati on fees shall beborne by the los ing party.7. 卖方交货的义务以在上述交货日期前收到买方按第九条的规定开出的信用证或预付款为条件。
如按合同条款运输工具由买方选订，卖方将在上述日期将货物备好。
However, the seller ' s obligati on to deliver is con diti onal upon receipt from the Buyer of a letter of credit or advanee payme nt in accorda nee with Clause 9 of this Con tract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Con tract, the Seller will have the commodity ready for shipme nt by such time of delivery. 8. 付款条件：凭以卖方为受益人的、100%保兑的、不可撤销的、无追索权的、可以转运的及分批发运的即期信用证，议付期至装运日期后第15天在中国到期。
买方在信用证上请填注本合同号码，货物名称要按本合同规定确定。
Payme nt: By 100% con firmed,irrevocable, without recourseL/C, in favor of the Seller, available by sight draft, allowing transshipment and partial shipments, valid for n egotiati on in China un til the 15th day after the date ofshipment. The Buyer is requested always to quote in the L/C the nu mber of this Con tract and the n ames of the commodity in accorda nee herewith. 9. 保险：按照中国人民保险公司的保险条款，按发票金额的 110%投保但不包括罢工、暴乱和民变险，保至目的口岸为止。
如买方要增加保额或保险范围，应于装运前经卖方同意，因此而增加的保险费由买方负责。
In sura nee: For 110% of inv oice value, up to the port of dest in atio n, as per the in sura nee clauses of the People ' sIn sura nee Compa ny of Ch ina, excluding SRCC Risks.Ifadditi onal in sura nee amount or coverage in required, the Buyer shall have the consent of the Seller before shipment, and the additi onal premium thus in curred shall be borne by the Buyer.10. 包装：所有在本合同项下出售的货物将以卖方认为适合于第五条规定的运输方式的包装材料包装。
