4. Payment4. 付款4.1. Party B shall pay the full Purchase Price to Party A no later than [number] days after the Delivery of the Goods.4.1. 乙方应在货物交付完成后不迟于[number]天内支付全部购买价格给甲方。

5.2. Party B acknowledges and agrees that all intellectual property rights associated with the Goods shall remain the exclusive property of Party A.5.2. 乙方承认和同意,所有与货物相关的知识产权应保留甲方的独特属性。
6. Termination6. 终止6.1. This contract may be terminated by either party upon breach of a material provision of this contract by the other party by giving written notice to the breaching party.6.1. 一方违反本合同的重大条款,对方可以书面通知违约方解除本合同。
6.2. Upon termination of this contract, Party B shall return any Goods that have not been paid for in full.6.2. 在本合同终止时,乙方应归还未完全支付的货物。
7. Governing Law and Jurisdiction7. 适用法律和管辖权7.1. This contract shall be governed by and construed in accordance with the laws of the People's Republic of China.7.1. 本合同应适用中华人民共和国的法律。
7.2. Any dispute arising out of or in connection with this contract shall be settled by arbitration in the city where Party A is located.7.2. 由于本合同引起的或与本合同有关的任何争议应在甲方所在的城市进行仲裁。
8. Notices8. 通知8.1. Any notice or other communication provided for or required under this contract shall be in writing and shall be deemed to have been duly given if delivered personally or sent by registered mail, postage prepaid.8.1. 本合同项下的任何通知或其他通信应书面进行,并应视为在当事人亲自送交或邮寄挂号信,邮资预付的情况下已经合法送达。

9. Entire Agreement9. 整个协议9.1. This contract constitutes the entire agreement between Party A and Party B and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter of this contract.9.1. 本合同构成甲、乙双方之间的整个协议,取代有关本协议主题的任何先前谈判、陈述或协议,无论是书面还是口头的。
