第二条:材料设备供应1.除甲方书面同意外,本合同项下的设备、原材料由乙方按照经甲方确认的投标文件所承诺品牌、型号来进行采购。

2.乙方供应的材料、设备必须附有产品合格证并经甲方查验后方可用于工程施工。

第三条:施工准备1.施工准备:1)甲方应在施工前提供乙方施工所需的场地,做好乙方施工所需水、电等供应设施。

2)乙方应开工前带好施工许可证和施工人员的合法证明文件交甲方备案。

乙方应组织有关人员学习,进行现场布置,搭建施工临时设施,安排施工进度计划,储备材料,加工构件,做好一切施工准备。

2.乙方保证特种设备人员必须持证上岗,进行安全培训教育。

第四条:施工与工程质量1.乙方应自行完成本合同下的项目施工,禁止乙方转包或分包。

2.乙方应根据施工计划进度表进行施工,工程质量应达到甲方的施工验收规范和质量检验标准(以招标书与图纸为验收标准),按照验收规范尽职尽责,保证全部工程达到合格标准和本合同规定。

3.施工中如发生变更,应提出书面申请,提前通知甲方,并得到甲方盖章确认、批准。

任何未按甲方程序办理的变更,甲方均不予结算。

乙方认为对于发生的工作和事件有资格得到额外支付及工期顺延时,应在任何这类工作开始时或在这类事件发生时算起的10天之内,提交有关这类工作或事件的费用追加/工期延长申请,并附上完整的详细情况。

如果乙方未在10天内向甲方提出这类申请,则视为乙方不要求增加费用或延长工期,且乙方以后也不能再以此为由提出索赔。

4.乙方施工应以保障甲方生产需求为首要考虑因素,若影响到甲方正常生产的(如停电、停水等),必须至少提前一周通知甲方,并且,甲方不接受以此为由产生的工程延期。

5.在施工中如遇甲方同意的中途停工,缓工,乙方对在建工程应做好安全部署,并落实安全责任,如因安全保护措施不当引起在建工程的毁损、甲方人员及财产的损失或造成第三方损失的,由乙方承担全部责任。

第五条:竣工验收与结算1.乙方在工程具备竣工验收条件后,向甲方提供完整的竣工资料和竣工验收报告,提出竣工验收申请,甲方在收到乙方的竣工验收申请后,组织设计单位及与本合同工程竣工验收有关的单位对合同工程进行验收。

如在验收过程中发现工程质量不符合甲方的工程验收要求,或未依甲方所确认的工程条件施工,甲方可拒绝接受并要求乙方予以整改。

2.如果工程项目涉及隐蔽工程(水电管线等)的,乙方应在隐蔽工程完工并具备验收条件的情况下,事先通知甲方进行验收。

甲方对隐蔽工程验收通过后,乙方方可进行隐蔽和后续施工;隐蔽工程验收不通过,乙方不得进行隐蔽及后续施工。

3.竣工工程经检验合格,除甲方另行书面同意外,从验收合格之日起5日内乙方应向甲方移交完毕。

4.竣工工程验收以甲方的验收规范,质量检验标准为依据。

在进行竣工验收时,乙方应向甲方提供以下文件:1)工程保修单(除合同另有规定外,质保期自工程验收合格起最低1年);2)本合同约定的其他文件;3)相关材料、设备的合格证明及检验报告;4)消防验收及工程竣工验收备案所需全部材料检测报告、施工资料;竣工图纸等。

5.乙方须保持现场及现场周边未堆积废料和危险物品,并且依照环境健康与安全法规,对废料和危险物品进行妥善处置。

工程竣工时,乙方应自费移除并妥善处置所有工具、施工设备、机械、剩余物资、废料、危险物品和垃圾。

乙方若未在竣工后五日内或甲方要求的时间内达到甲方的清洁标准,则甲方可搬走废料与垃圾、清理现场并从合同价中扣除相关费用。

第六条:工程现场及安全管理1.现场管理人员:1)甲方委派为施工现场负责人、联系人,电话:2)乙方委派为施工现场负责人、联系人,电话:2.乙方如果更换施工现场负责人、联系人应当提前2日书面通知甲方。

未提前以书面方式通知更换负责人、联系人的,仍视本合同中指定的负责人、联系人为该项目的代理人。

3.当甲方认为乙方的现场负责人或技术人员不能满足现场施工要求时,乙方必须在3日内进行调整,如未能调整到位,则承包人需向发包人按约定金额承担人民币10000元违约金,甲方可直接从应付工程款中扣除。

4.在整个施工期内,乙方须负责现场的安全和安保,采取所有必要的防范措施,设置路障、护栏、标志、警示灯、告示;乙方人员在施工中应采取必要的安全防护和消防措施,保障作业人员及现场的安全,防止管道堵塞、渗漏水、停电、物品毁坏等事故发生。

5.乙方应为现场人员提供必要的安全设备(比如安全帽、护目镜、安全鞋等)。

乙方在施工中发生的伤亡事故和乙方管理不善造成的其他损失,均由乙方负责,与甲方均无关,乙方亦不得因此影响工程进度。

如甲方因此遭受损失的(包括但不限于停工损失、向第三方支付的索赔款以及政府部门的处罚等),则甲方有权向乙方追偿,并有权从应付而尚未支付的工程款中等额扣除相应损失金额。

如施工过程中发生的安全事故导致人员伤亡或经济损失等于或大于5万元的,则甲方有权解除与乙方的合同,乙方应承担由此引起的一切法律责任及经济损失。

6.乙方应依法购买所有关于人身安全、财产安全、公众责任以及其他法律规定的工程施工保险。

甲方不承担任何保险责任,费用均由乙方承担。

第七条:工程质保期及工程服务1.乙方保证其使用的所有设备和材料都是崭新的,不附带任何第三方留置权、索赔和担保权益;其质量与工艺优良,无任何缺陷。

乙方保证会以专业技术和施工工艺进行项目施工,符合项目技术、施工要求。

2.工程竣工验收交付使用后,乙方对施工的工程质量免费保修一年半(有超过一年半的,按照本条第3款)。

在保修期间,本工程如有异常现象,经甲方以书面或电话通知甲方,乙方应立即在二十四小时内到达甲方工厂,并尽快修复。

修复项目的保证期应重新开始计算,与初始质量保证期限一致。

若乙方未能在甲方通知后5日内开始修复工作或在甲方要求的期限内完成修复,则甲方可自行修复,或是雇用第三方进行修复;乙方全额承担甲方为修复而支付的所有费用与开支(甲方可直接从工程质保金中予以扣除)。

3.以下工程项目质量保修期按照《建设工程质量管理条例》,具体为:1)项目的基础设施、建筑物地基与主体,其质量保修期应为设计文件中所规定的合理使用年数;2)屋面防水、厕所防漏以及需防水的房间和外墙,其质量保修期应为5年;3)供热与空调系统的质量保修期分别为2个加热期和2个空调期;4)电线、供气、给排水管道、设备安装与装修等工程,其质量保修期为2年;4.保修期满后,有关工程问题及易损耗材料需要更换等,乙方应给予甲方优惠及优先服务。

第八条:工期1.因甲方原因增加工程量和/或工程项目更改时,工期顺延,顺延期限以甲方书面确认期限为准。

2.法定不可抗力影响施工的,工期予以顺延,顺延时间以不可抗力持续时间为限。

3.异常恶劣的天气影响施工的,经甲方书面同意,工期可适当顺延。

4.发生本条第1-3款项顺延事由时,乙方应在事件发生后5天内向甲方提出顺延申请,并附事由发生的证明材料。

乙方未在上述期限内提出的,则视为该等事由对工程工期不造成实质性影响,则工期不予顺延5.因乙方原因或乙方违反本合同项下约定而导致的工程无法按期竣工或无法通过竣工验收,工期均不得顺延。

6.工期每延误一天,甲方有权要求乙方支付违约金,违约金按照每延迟一天,按照工程总金额的1%支付。

第九条:合同终止、解除与违约责任1.工程竣工并经甲方验收合格、工程质保期届满且无任何遗留质量问题的情况下,本合同终止。

2.乙方工程施工过程中,发生不可抗力,不能履行合同时,本合同终止。

3.因非甲方原因造成的工期延误超过15天的,甲方有权提前解除合同。

同时甲方有权要求乙方按合同总金额的20%向甲方支付违约金。

若违约金无法弥补甲方损失的,甲方有权就超过部分要求乙方另行赔偿。

4.因乙方原因工程质量达不到合格标准且乙方未在甲方指定期限内完成修复的,则甲方有权解除合同,乙方应向甲方退还所有已付款项,并按合同总金额的20%向甲方支付质量违约金;违约金不足弥补给甲方造成的损失,乙方还应向甲方支付赔偿金。

第十条:争议解决1.施工中的任何纠份,甲乙双方应本着实事求是的原则,协商解决,如双方协商不能解决时,可提交甲方所在地的人民法院进行诉讼。

第十一条:其他条款1.知识产权保证:乙方保证工程或工程的使用不会侵犯任何第三人的知识产权,否则须承担因此给造成的一切损失。

2.商业秘密保证:未经对方书面同意,任何一方均不得向第三方披露或在本协议目的之外使用与本协议有关的任何信息以及任何在履行本协议过程中所知悉的对方的机密信息。

本8.4条规定在本协议到期或终止后五(5)年内仍应持续有效。

3.乙方应当充分遵守所有适用的法律,包括国际的、国内的、地区的、当地的法律、法令、指令(欧盟或者其他)、判决、命令、条约以及法规。

为了避免歧义,遵守本款的规定,包括但不限于遵守美国海外反腐败法以及其他适用的执行国际反腐败公约的任何立法。

并且,乙方确认已充分熟知不时更新的《电子行业行为准则》(”EICC行为准则”)(可通过/standards/code-of-conduct获取)。

并且乙方承诺在履行本合同时,应采用EICC行为准则所规定的有关劳工、环境、健康与安全、冲突矿产以及道德的标准。

4.乙方同意,其不会参与任何违法的、不适当的或者腐败的行为,包括但不限于:挪用、敲诈、欺诈、行贿或者受贿、拿回扣、帮助支付不当款项、不当提供任何有价值物品,包括:旅游、礼物或者慈善捐助,无论是直接的还是间接的向任何认识提供(无论是政府官员、政党、公职候选人、国际组织或者私人)。

5.乙方或其分包商未能遵守本第8条的规定将被视为严重违反本合同,买方有权终止本合同。

6.本合同一式贰份,甲方执壹份,乙方执壹份,具有同等法律效力,自双方签字盖章之日起生效。
