INDEMNIFICATION.Each party hereby agrees to indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all claims, demands, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of this Agreement by the indemnifying party.
7. GOVERNING LAW AND JURISDICTION.This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising under or in connection with this Agreement shall be resolved by arbitration in accordance with the Rules of Arbitration of the China
International Economic and Trade Arbitration Commission. The arbitration shall take place in [Arbitration City], China.
