INTERNATIONAL TRADE CONTRACT THIS INTERNATIONAL TRADE CONTRACT (hereinafter referred
to as "Contract") is made and entered into on [insert date]
by and between [insert name of seller], a company organized

of business located at [insert address] (hereinafter referred
to as "Seller"), and [insert name of buyer], a company
organized under the laws of [insert country], with its

WHEREAS, Seller desires to sell and Buyer desires to
purchase the products listed in Schedule A hereto
(hereinafter referred to as the "Products") on the terms and
conditions set forth in this Contract.
NOW, THEREFORE, in consideration of the premises and mutual covenants contned herein, the parties hereto agree as follows:
1. PRODUCT SPECIFICATIONS
The specifications and detls of the Products are set
forth in Schedule A hereto.
2. PRICE AND PAYMENT TERMS
The price for the Products shall be as set forth in Schedule A hereto. Payment terms shall be as set forth in Schedule A hereto.
3. DELIVERY TERMS
Delivery terms shall be as set forth in Schedule A hereto.
4. INSPECTION AND ACCEPTANCE
Buyer shall have the right to inspect the Products upon delivery and may reject any Products that do not meet the specifications set forth in Schedule A hereto.
5. WARRANTIES AND REPRESENTATIONS
Seller represents and warrants that:
(a) The Products shall conform to the specifications set forth in Schedule A hereto;
(b) The Products shall be free from defects in materials and workmanship;
(c) The Products shall be manufactured, packaged, labeled, and shipped in compliance with all applicable laws and regulations; and
(d) Seller has full power and authority to enter into this Contract and perform its obligations hereunder.
6. INTELLECTUAL PROPERTY RIGHTS
Seller represents and warrants that the sale and use of the Products will not infringe any intellectual property rights of any third party.
7. FORCE MAJEURE
Neither party shall be liable for any delay or flure to perform its obligations under this Contract if such delay or flure is caused by events beyond its reasonable control, including but not limited to acts of God, wars, epidemics, strikes, riots, or government restrictions.
8. CONFIDENTIALITY
Each party shall hold in confidence any information obtned from the other party in connection with this Contract and shall not disclose such information to any third party without the other party's prior written consent.
9. GOVERNING LAW AND DISPUTE RESOLUTION
This Contract shall be governed by and construed in accordance with the laws of [insert governing law]. Any dispute arising out of or in connection with this Contract shall be resolved through arbitration in accordance with the rules of [insert arbitration institution], and the arbitration award shall be final and binding on the parties.
10. ENTIRE AGREEMENT
