现在双方约定如下：Article 2/ 第2 章Defin iti ons/ 定义2.1 In this Agreeme nt, the follow ing words or expressi ons shall have themeanings give n to them respectively below:在此协议中，以下词汇或者短语应分别有以下的意义：“ Commissi on ” means the commissi on paya ble by the Prin cipal to the Gen eralAge nt pursua nt to Article 6.1 subject to the terms and con diti ons of this Agreee mnt.佣金”意思是根据此协议的第 6.1 章，委托人给总代理所支付的佣金。
“ Lice nee Agreeme nt ” means the Tech no logy Tran sfer or Lice nee Agreeme nt tobe entered into between the Principal and the Seller, together with all adde nda, ame ndme nts and suppleme nts made thereto from time to time and at any time, setting out the Price and other terms and conditions for the sale and tran sfer by the Seller of the Tech no logy to, and the acquisiti on of the same by, the Prin cipal.许可协议”意思是在委托人和卖方之间所达成的技术转让兴许可协议，包括为了设定销售价格和其它条款，和卖方的技术转让，和由委托人获得同样的技术所进行的不时的、在任何时候所有的补遗，补充和增加。
“ Piece ” means the aggregate amount of the purchase price payable by the Prin cipal to the Seller for the acquisiti on of the Tech no logy, which amount shall also in clude all lice nee fees and royalties and other payme nts of whatsoever nature payable to the Seller by the Principal in consideration of or in connection with the tran sfer of the Tech no logy to the Prin cipal.价格”意味着委托人为获得技术所付给卖方的总的购买价格，此价格还应包括所有委托方考虑到或者和转让给委托方的技术有关的的所有许可费用和版税以及其它性质的付给卖方的费用。
2.2 Clause headi ngs are in serted for convenience of refere nee on ly and shallbe ignored in the interpretation of this Agreement.条款的标题的插入只是为了参考需要，在解释此协议时应被忽略。
Article 3/ 第3 章General Age ncy/ 总代理3.1 The Prin cipal hereby appo ints the Gen eral Age nt, and the Gen eral Age nthereby accepts appo in tme nt, as the Prin cipal ' s sole exclusive Gen eral Age ntto negotiate, on behalf of the Principal, with the Seller, the Price and all otherterms and con diti ons of the Lice nee Agreeme nt and otherwise to actgenerallly on behalf of the Principal in all respects relating to, and to attend toall maters whatsoever conn ected with, the acquistii on of the Tech no logy by the Prin cipal.委托方在此任命总代理，并且总代理在此接受任命，作为委托方的独家总代理，代表委托方和卖方进行许可协议的价格和所有其它条款的谈判，并且也总体作为委托方在所有委托方所要获得的技术方面处理和关注所有的有关事宜。
10 : 53/11:093.2 The Principal shall not, during the period of this agreement, appoint anyother pers on or pers ons as Age nt of the Prin cipal to n egotiate the Price or theterms and con diti ons of the Lice nee Agreeme nt or otherwise to act in anyrespect on behalf of the Principal relating to, or to attend to any matter whatsoever conn ected with, the acquisiti on of the Tech no logy by the Prin cipal.委托方在此协议期间，不得任命任何其它人或者人们作为委托方的代理来代表委托方协商有关许可协议的条款或者以任何方式来关注和委托方获得技术的任何事宜有关的事情。
3.3 The appo in tme nt of the Gen eral Age nt here un der as the sole exclusive Age nt of the Prin cipal for the n egotiati on of the Lice nce Agreeeme nt and the acquisiti on by the Prin cipal of the Tech no logy shall be deemed, for all purposes, to have become effective as from the date of this Agreeme nt, and shall rema in effective un til the date whe n the Price and all other terms and con diti ons for the acquisiti on of the Tech no logy by the Prin cipal from theSeller have bee n agreed and satisfactorily con eluded, and Lice nee Agreeme ntexecuted and delivery con eluded, and Lice nee Agreeme nt executed anddelivered by all releva nt Parties thereto, and the Commissi on paid to and received by the Gen eral Age nt.此下任命总代理作为委托方为获得技术的独家代理来商议许可协议，应被认为从此协议今日起生效，并应向来生效到委托方所获技术的价格和所有其它条款得到卖方允许并满意地完成，许可协议执行并完成装运，并且许可协议由所有相关方面执行和装运，佣金付给并由总代理接受为止。
