and place of delivery are crucial factors in defining the point where the responsibilities and the risks pass from the seller the buyer. Sellers and buyers can choose the place of delivery according to the responsibilities and risks that each party wants to take .
1.Responsibilitees and associated costs
There
must be no ambiguity in the interpretation of the terms of delivery quotes, particularly in the area of costs and expenses. Problems would often mean loss of good relations and loss of repeat orders. This essential for both the buyer and the seller to agree on the terms of delivery and their interpretations.

International trade has numerous procedures encompassing packing, insurance, license, customs entry, shipping, loading/unloading, transhipment ,and import/export duties. Each procedure must be completed by either the seller or the buyer. There must be a clear specification regarding the following issues.

The problem in international trade is that different countries might have different ways of interpreting the same contract wording. Such a problem can be solved only by creating a set of internationally agreed terms .the Incoterms aim to provide such a set of standardized terms which mean exactly the same to both parties to a contract and which will be interpreted in exactly the same way by courts in every country. Incoterms are not part of national or international law, .but they can be binding on buyer or sellers provided the sales contract specifies that a particular Incoterms will apply. It is desirable that sellers and buyers clarify their legal positions by appropriate clauses in their contract of sale. There are also WarsawOxford Rules 1932 and Revised American Foreign Trade Definitions 1941 that respectively provide standard interpretation for CIF and delivery terms which are widely used in America.
Ⅳ. A Brief Explanation Of The Terms
1. Ex Works…named place (EXW)
This term means maximum involvement by the buyer in arrangements for the conveyance of the consignment to the specified destination. The exporter merely makes the goods available to the buyer by an agreed date at his factory or warehouse. The seller’s obligations cease when the buyer accepts the goods at the factory or warehouse,. By using this term, the seller minimizes his obligations while the buyer obtains the goods at the lowest possible price. The seller must supply the goods in accordance with the contract of sale, provide at his expense basic packing and give the buyer prompt notice when the goods are ready. Equally, the seller should render the buyer on request every assistance to provide all the relevant documentation or to clear the customs. Obviously, the responsibilities of the buyer are more extensive. He must pay for the goods in accordance with the contract and bear all the costs and risks of the goods from the time they have been placed at his disposal by the seller. The buyer must fund any customs duties and taxes and all costs in obtaining the documents required for the purpose of importation and exportation.

INCOTERMS: International Rules for the Interpretation of Trade Terms The terms in Incotrems 2000 are grouped in four basically different categories: E, F, C, D, with increasing responsibilities, costs and risks for the seller and decreasing responsibilities, cost and risks for the buyer.
