Property Management AgreementThis is a Management Agreement between ________________________ herein called "Owner", and OOO Properties, Inc., herein called "Agent", made this _____ day of ___________, _____.1. Property - The Owner hereby appoints Agent exclusively to lease, manage, and operate, for the Owner the real property described as _________________ , Texas consisting of ________ unit(s) herein called "Property".2. Term - This agreement shall become effective on the ______ day of ________________, ____, and shall continue for one year.3. Renewal - This Agreement will be automatically renewed on a month-to-month basis unless written notice of termination is given by either party at least thirty (30) days before the end of the above term or renewal period or unless another contract is signed by both parties.4. Termination by Notice - Either party may terminate this Agreement at any time by giving the other party at least thirty (30) days written notice. Owner may terminate this Agreement immediately by tendering to Agent with written notice of termination one full month's management fee less one plus the number of consecutive months the management agreement has been enforce. The amount of the management fee shall be the same as that charged against the operating account for the month immediately preceding the month of termination. In the event the property is vacant at the time of termination, the management fee shall be computed on the posted rent at time of termination.5. Delivery of Notice - Notice of termination shall be delivered in person or by certified or registered mail.6. Termination Upon Sale - This Agreement shall terminate automatically upon the sale of the Property or upon termination of Owner's rights to collect rents therefrom or upon re-occupancy by the Owner.7. Notice of Sale - Owner shall notify Agent in writing at least thirty (30) days prior to sale date. Agent shall provide the Owner the following with respect to the sale of the property up to one day prior to sale date:a) Itemization of security deposit liability per tenant.b) Itemization of rents collected per tenant.c) Keys for Owner or his agent to access property to perform interior inspections.8. Operating Account - Owner agrees to deposit with Agent the sum of $_150-200__ to establish an operating account. All cash receipts shall be deposited to this account and all cash disbursements shall be drawn against this account. Owner agrees to fund any negative account balance within 5 days of notice from Agent. Agent will be prudent and use our best judgment in placing operating account balances in financial institutions. Agent in no way guarantees these account balances due to financial insolvency or receivership of these institutions.9. Monthly Accounting - Agent agrees to render to Owner a monthly accounting of the operating account and a summary for the year in the first month following the just ended year. Said monthly accounting shall be rendered no later than thirty (30) days after the end of the calendar month for which the monthly accounting is being rendered. Along with the monthly accounting, Agent shall remit to Owner the operating account balance in excess of $____.00 along with a statement of the property’s monthly account balances, incomes and expenses up to the date of the statement prepared on or before the 16th of each month and mailed on or before the 20th of each month.10. Final Accounting - Upon termination of the Agreement, Agent shall deliver to Owner within sixty (60) days after termination:a) A final accounting reflecting the ending cash balance.b) The balance of any monies of Owners or security deposits, or both, held by Agent with respect to the Property.c) Unpaid bills for which the Owner is responsible.11. Maximum Expenditures (Ordinary/Emergency) - Agent shall use its best judgment to expedite the performance of ordinary maintenance and repairs, including make ready, in the normal course of the operation of the property. No single expenditure for these purposes shall exceed $150.00 without the owner’s approval. In order to prevent damage or injury to persons or property, or for other reasons (e.g. inability to contact the owner, violation of law), the Agent is authorize to approve or incur expenditures on behalf of the owner for emergency maintenance and repairs that exceed the aforementioned amount.12. Security Deposit - Agent will collect and forward security deposits to owners account and owner shall refund security deposits in accordance with the terms of each lease. When the tenant moves out, the security deposit will be refunded to the tenant from the operating account. Lawful deductions from the security deposit will be credited to the Owner's operating account only after the tenant moves out.13. Mortgage, Tax, Insurance, and other Fees or Obligations - Owner shall pay all mortgage indebtedness including real and personal property taxes, property insurance, Owners Associations fees or other fees and obligations.14. Property Insurance - Owner shall be responsible for obtaining and maintaining comprehensive insurance coverage against damage or injury to property or persons which might arise out of the operation, management, maintenance, repair, or occupancy of the property. Owner will furnish to Agent certificates evidencing the existence of public liability and property hazard insurance. Any new or existing liability coverage for the property shall include Agent as "additional insured". If Owner does not providecertificates evidencing the existence of public liability and property hazards insurance, Agent MAY place said insurance and pay the premium out of the operating account. However, placing such insurance is not the responsibility of the Agent. Owner also shall be responsible for securing "extended vacancy" insurance.15. Authority - The Owner herein agrees to assume all reasonable expenses in connection herewith and gives to Agent the following authority:To perform all routine yard maintenance and interior and exterior cleaning necessary to maintain the property in marketable condition and to provide utilities for same. Agent at the written request of the owner will provide owner with an estimate of the cost of yard maintenance;To advertise the availability for rental Property or any part thereof, to advertise the property on the internet and use photos of the property's interior and exterior, and to display "For Lease" sign(s) thereon;To sign, renew and/or cancel leases for the Property or any part thereof;To collect rents due or to become due and give receipts therefor;To terminate and sign and serve in the name if the Owner such legal notices as are appropriate,To institute and prosecute action to evict tenants and to recover possess of said Property;When expedient, to settle, compromise and otherwise make necessary concessions to tenants as deemed necessary and prudent by Agent;To hire, discharge and supervise all labor for and on behalf of Owner required for the operation and maintenance of the Property. It is understood and agreed that Agent shall not be responsible for a contractor's acts, defaults or negligence if reasonable carehas been exercised in a contractor's appointment or retention by Agent. Owner agrees to pay the Agent $75 per hour with a minimum of 1 hour, billed in hour increments to purchase materials, observe workmen, obtain building permits and estimates, to meet with building inspectors, appraisers, insurance adjusters, contractors, utility service men (water, gas, electricity, telephone) and any other requirement of the owner not normally connected with the day to day management and operation of the Property.To purchase on behalf of the Owner all equipment, supplies, and materials necessary for the maintenance and operation of the Property;To refer matters requiring legal services to qualified professionals. (These services may include eviction proceedings and suits for recovery of lost rents and damages above the amount of the security deposits.)To exercise a landlord's lien for non-payment of rents and Owners shall indemnify and hold harmless the Agent except in cases of willful misconduct or gross negligence.16. Landscape Maintenance - During periods of vacancy, Owner specifically authorizes Agent to perform all reasonable landscape maintenance and understands that all such charges will be paid from the operating account.During periods of occupancy, if it is determined by Agent that the grounds are being neglected or abused by the resident, Owner specifically authorizes Agent to perform landscape maintenance and understands that all such charges will be paid from the operating account. Said charges will be billed to the resident, if said charges remain unpaid for a period of sixty (60) days after billing, Owner authorizes Agent to apply all rents subsequently collected first to such charges, then to rent due, and, on this basis, Agent may initiate eviction proceedings for non-payment of rent.17. Hold Harmless - The Agent shall account for all collections and expenditures made hereunder and it is agreed that the Agent shall not be liable except for collections actually received. The Owner agrees to indemnify, defend, and save harmless the Agent from and against expense (including court costs and attorney's fees), loss, damage,fines, penalties, claim, demand, cause(s) of action, or liabilities arising from and acts of the Owner, Agent, or resident. The Agent is also held harmless from any other claim, demand, cause(s) of action, or legal proceeding which may be brought against the Agent by reason of his connection with the renting and management of the premises, except in cases of willing misconduct or gross negligence on part of Agent.18. Consideration - In consideration for the services to be rendered to the Owner by the Agent under this Agreement, the Owner agrees to pay the Agent:For Management, ____________, of the gross rent collected or a minimum fee of $25.00 per month, (10%, 8%, $60, $50 or $35)For residential leasing or re-letting 50-100 % of one month's rent. Refund policy is as follows: If tenant vacates for any reason between 0-30 days, a full refund of the leasing commission is given to Owner; 30-60 days - 2/3 refund; 61-90 days - 1/3 refund; over 90 days -zero.Owner will reimburse manager for ads specifically placed for this property. Ad expense not to exceed $150 in any month without the owner's approval.For re-leasing a property to an existing tenant or writing a new lease for a tenant, $150.00, ( included in 10% & 8% management)One half of all late charges and all of returned check charges will be retained by Agent.For delivering or mailing a "Three Day Notice to Vacate" letter or other letter or notice to a tenant, $25; for filing an eviction case, $75; for attending an eviction hearing, $125; for recording and reporting judgments, lease violations at the court house and with credit reporting entities, $50 for each separate reporting.(included in 10% & 8% management)All long distance phone charges incurred on behalf of the owner will be reimbursed to Agent.All copying costs incurred on behalf of the owner will be paid from the property account at a cost of 10 cents per copy.In no event shall the Agent's compensation be less then $25.00 per month.19. SPECIAL PROVISION -Owner shall approve all leases and tenants.Owner shall purchase a programmable lock box for each unit of a property at a cost not to exceed $50 dollars perlock box.Owner shall provide a complete sets of keys for current tenants and complete set of rekeyed keys for unoccupied properties. Additional copies up to 4 copies for tenants and for the property file shall be made and charged to the owner.20. 2. Party A shall have the right to supervise implementation of various management regulations by Party B.3、甲方有权向乙方投诉管理服务方面问题。

3. Party A shall have the right to file a complaint to Party B about the problems in the aspect of management service.4、甲方有义务服从乙方的管理,同时甲方须保证其雇员、访客及其受甲方许可进入大厦内的人员在使用、管理、维护该物业过程中遵守本协议及大厦的相关规定。

甲方的雇员、访客及其受甲方许可进入大厦内的人员在使用、管理、维护该物业过程中的失责行为、违约行为、侵害行为,均视作甲方自身的行为,并由甲方承担相应的责任和费用。

4. Party A shall have the obligation to obey Party B’s management, meanwhile Party A must guarantee its employees, visitors and personnel allowed by Party A to enter the building to comply with the provisions of this agreement and relevant regulations of the building in the process of use, management and maintenance of this property. Default, breach and infringement actions of Party A’s employees, visitors and personnel allowed by Party A to enter the building in the process of use, management and maintenance of this property shall be considered as Party A’s own actions and Party A shall bear corresponding liability and cost.5、甲方置于该物业内财产的相关保险事宜由甲方自行解决或委托乙方协助办理,费用由甲方承担。
