UT斯达康行贿案
跨国公司在华行贿丑闻屡屡曝光之后，中美司法协作如何进行应受关注UT斯达康行贿案本刊记者李微敖钱亦楠胡雯UT斯达康又一次出名了，不过这回是一系列的丑闻曝光。
当地时间2009年12月31日，美国司法部宣布，通信业制造商UT斯达康（NASDAQ：UTSI）公司与美国司法部达成和解，愿意就其违反美国《反海外贿赂法》（FCPA）行为支付150万美元罚金。
美国司法部文件称，UT斯达康借培训之名，安排中国国有的电信公司职员前往美国夏威夷、拉斯维加斯、纽约等著名景点旅游。
同日，UT斯达康也接受了美国证券交易委员会（SEC）的另外150万美元罚款。
SEC则在披露的文件中描述了UT斯达康2002-2007年之间，于海外的种种贿赂行为，其中大多发生在中国。
UT斯达康的“培训”很长一段时间，UT斯达康几乎就是“小灵通”的同义词。
这家公司发源于二十世纪八十年代的美国硅谷，由吴鹰等一群中国人创办。
1995年9月，吴鹰将他的斯达康（Starcom）公司，与来自中国台湾的陆鸿亮的尤尼泰克（Unitech）公司合并，正式成立UT斯达康公司。
2000年3月，公司在纳斯达克上市，股票代码UTSI。
SEC调查的文件称，该机构是在2008年5月1日，发现UT斯达康公司及其部分行政人员进行了多项会计违规操作，这严重违反了美国联邦证券法律（2002-2005年间）对公司报告、记录留存和内部控制的要求。
不过，SEC负责调查这一案件的加州办公室职员斯蒂文（STEVEN D. BUCHHOLZ）在回答《财经》记者问询时介绍，根据UT斯达康公司提供给SEC 的文件，该公司其实在2007年就已经开始进行了内部调查。
SEC对UT斯达康公司的介绍是：在1995至2004年间，超过75%的UT斯达康的销售额是来自中国的省级和国家级电信公司。
在2004至2008年，该公司多次试图开辟中国以外的市场，然后就2008年来说，中国依然是其最大的销售地。
UT斯达康在2004年以前成长十分迅速的主要原因，归功于其在中国大中城市的无线网络设备的销售，也就是我们耳熟能详的“小灵通”和“小灵通”的基站设备。

本人作为上海斯米克建筑陶瓷股份有限公司（以下简称“公司”）独立董事，按照《公司法》、《关于在上市公司建立独立董事制度的指导意见》、《关于加强社会公众股股东权益保护的若干规定》、《深圳证券交易所中小企业板上市公司董事行为指引》、《公司章程》《公司独立董事工作条例》等相关法律法规和规章制度的规定和要求，勤勉尽责、谨慎认真地行使公司所赋予的权利，履行了独立董事的职责，现将2009年度履行独立董事职责情况述职如下：

2009年度，本人亲自出席了公司召开的各次董事会，出席了公司2009年4月27日召开的2008年度股东大会及2009年7月20日召开的2009年第二次临时股东大会。
公司在2009年度召集召开的董事会、股东大会符合法定程序，重大经营决策事项和其它重大事项均履行了相关程序，合法有效。
我对各次董事会会议审议的相关议案均投了赞成票，2009年度我未对公司董事会各项议案及公司其它事项提出异议。
二、 发表独立意见的情况
2009年度，本人就公司相关事项发表独立意见情况如下：
1、2009年1月15日，在公司第三届董事会第十四次会议上，发表了《关于提名金宗志先生为第三届董事会独立董事候选人的独立意见》；
2、2009年2月26日，在公司第三届董事会第十五次会议上，发表了《对公司累计和当期对外担保情况的专项说明和独立意见》、《对公司与控股股东及其他关联方的资金往来情况的专项说明和独立意见》、《关于关于续聘2009年度审计机构的独立意见》、
《关于公司内部控制自我评价报告的独立意见》；
3、2009年4月23日，对公司第三届董事会第十六次会议审议中的《关于继续履行与关联方签订的日常关联交易协议的议案》发表了《关于关联交易事项的事前认可意见》，并在会上发表了《关于关联交易事项的独立意见》；
4、2009年4月29日，在公司第三届董事会第十七次会议（临时会议）上，发表了《关于聘任财务总监的独立意见》；
5、2009年6月30日，对公司第三届董事会第十八次会议审议的《关于受让斯米克工业有限公司持有的上海斯米克陶瓷有限公司25%股权的议案》发表了《关于关联交易事项的事前认可意见》，并在会上发表了《关于关联交易事项的独立意见》；
6、2009年8月21日，在公司第三届董事会第十九次会议上，发表了《关于公司关联方资金占用和对外担保的专项说明和独立意见》；
7、2009年10月23日，在公司第三届董事会第二十一次会议（临时会议）上，发表了《关于选举副董事长和人事任免的独立意见》。
三、对公司进行现场调查的情况
2009年度，本人对公司进行了实地现场考察，了解公司的生产经营情况和财务状况；并通过电话和邮件，与公司其他董事、高管人员及相关工作人员保持密切联系，时刻关注外部环境及市场变化对公司的影响，关注传媒、网络有关公司的相关报道，及时获悉公司各重大事项的进展情况，掌握公司的运行动态。
四、在保护投资者权益方面所做的其他工作
2009年度，我继续关注并督促公司严格遵照法律、法规要求，加强信息披露工作，保证了公司信息披露的公平、真实、准确、及时、完整。
并对公司的生产经营、管理和内部控制等制度的完善及执行情况进行更加深入的了解，并通过各种方式与公司内部人员进行沟通交流，掌握公司生产经营和法人治理情况，以便能够独立、客观、审慎地行使表决权。
2009 年度，本人积极学习证监会、交易所等监管部门发布的最新法规和规章制度，认真了解这些法令法规提出的要求，并对董事、高管人员是否履行职责、信息披露是否准确、完整等进行监督和核查，积极有效地履行了独立董事的职责，切实维护了公司和中小股东的合法权益。
五、任职董事会各专门委员会工作情况
本人作为董事会薪酬与考核委员会、提名委员会主任委员和董事会审计委员会成员，在2009年履职情况如下：
1、薪酬与考核委员会工作
2009年，本人召集并主持召开了一次薪酬与考核委员会会议，对公司董事、监事、高级管理人员在2008年度报告中披露的2008年度薪酬情况进行了审核并签署了书面审核意见，认为公司对董事、监事、高级管理人员的薪酬发放符合公司绩效考核评价体系的规定，所披露的薪酬真实、准确，不存在虚假信息。
2、提名委员会工作
2009年，本人召集并主持了三次提名委员会会议，分别审议了提名金宗志先生为公司第三届董事会独立董事候选人、提名宋源诚先生为公司财务总监、聘任高维新先生为公司总经理、聘任冯辉煌先生为公司副总经理及财务长等事项，并形成决议提交董事会审议。
3、审计委员会工作
2009年，本人出席了审计委员会召开的九次会议，审议了关于更换公司内部审计部门负责人等议案，听取了内部审计负责人所作的季度内部审计工作报告。
审计委员会在2009年年度审计方面也做了大量的工作，与审计机构协商确定年度财务报告审计工作时间安排，对公司财务报表进行审阅并形成书面意见，保持与审计会计师的联系和沟通，就审计过程中发现的问题及时交换意见，确保审计的独立性和审计工作的如期完成。
同时，对审计机构的年报审计工作进行总结和评价，并建议续聘，形成决议提交董事会。
