前言随着私营企业的蓬勃发展,原来以国有企业为范本的劳动人事制度实际很难适应私营企业管理的需要。而且更重要的是,私营企业主往往或多或少将劳动人事管理工作随心所欲处理。盲目地扩展经营自主权(包括用人自主权)范围,认为企业是自己的所以根据自己要求进行管理。甚至很多私营企业主将劳动法中规定的劳动关系理解为:劳动合同关系。自认为没有合同就与职工没有劳动关系,可以规避劳动法自由处置职工的录用与辞退。但是实际上,劳动法上所说的劳动关系是:雇佣方(劳动法所指的用人单位)与受雇方(劳动法所指的劳动者)之间的雇佣劳动而产生的权利义务关系。而劳动合同是这种劳动关系的书面约定,劳动合同是诺成性的、有偿的双务书面合同。没有书面合同并不意味着劳动关系无法证明,事实上有很多职工凭着工资单等相干证据和证人证言,举证说明了劳动关系,而单位往往因为这样除了被裁判赔偿外,还因为没有及时签订劳动书面合同而被劳动行政机关处罚(上海单位被处以500~1000元/人*未签订合同的职工人数=处罚金额)根据劳动法第十九条规定,劳动合同条款包括:劳动合同期限;工作内容;劳动保护和劳动条件;劳动报酬;劳动纪律;劳动合同终止的条件;违反劳动合同的责任。笔者就以上劳动合同必须具备的条款,如何结合实际劳动管理工作需要进行合法且合理原则确定进行分析:一、劳动合同期限;指劳动合同的有效时间,在合同有效期间,双方都必须自觉履行合同所规定的义务,享有相应的权利。合同期满双方的权利义务关系即告终止。按照劳动法第二十条的规定,劳动合同的期限分为

有固定期限、无固定期限和以完成一定的工作为期限。一般劳动合同是以固定期限(如1年或几年)为限,事实上劳动法和地方性法规并没有设定下限,只是对无固定期限的情况设定为:“劳动者在同一用人单位连续工作满十年以上,当事人双方同意续延劳动合同的,如果劳动者提出订立无固定期限的劳动合问,应当订立无固定期限的劳动合同。”但是无固定期限并不意味着可以随时解除合同,双方若是要行使合同解除权,仍然需要按照劳动法第二十五条、第二十六条、第三十条规定的要求进行。而“完成一定的工作为期限”的合同,也不同于劳务合同(关键在于双方确定了雇佣劳动关系),实践中完成一定的工作为期限的合同往往是企业因临时工作需要录用职工而订立的合同,往往是以计件、计时形式发放工资;或者象建筑工程项目性质所需要的情况下进行的。因此,除非是建筑或以项目工程形式经营的企业是可以适用该期限。另外,企业往往擅自设定试用期,有的居然2年合同期中约定了1年试用期;实际上按照劳动法第二十一条“劳动合同上可以约定试用期。试用期最长不得超过六个月。”和上海市劳动合同条例规定:劳动合同期限不满六个月的,不得设试用期;满六个月不满一年的,试用期不得超过一个月;满一年不满三年的,试用期不得超过三个月;满三年的,试用期不得超过六个月。劳动合同当事人仅约定试用期的,试用期不成立,该期限即为劳动合同期限。可见一般劳动合同试用期是有限制的,而不是任意设定的。另外,对于试用期解除合同权利,有些企业理解失误,以为试用期是双方劳动关系处于不完全稳定阶段,所以试
