鉴于：Whereas

1. 甲方希望通过借助国际马拉松赛事的影响力提升城市知名度，起到良好的宣传作用，故与乙方订立本战略合作协议。

Party A is desirous of promoti on of city 'fame and popularity through intern ati onal marth on and

play a good publicity role in propaga nda, so en ter into this strategic cooperati on agreeme nt with party B.

2. 乙方是旨在为跑者提供跑步运动服务、赛事组织、赛事运营服务等一系列增值服务的公司，而且乙方在运营马拉松赛事方面具有丰富的成功经验。

Party B is a professional pany which aims to provide runners with a series of value-added service in cludi ng, in ter alia, running sports services, the orga ni zati on / operati on of petiti ons, with rich successful experie nee in marath on operati on.

为此，在遵循自愿、公平的原则基础上，经友好协商，甲乙双方根据《中华人民共和国合同法》和《中华人民共和国体育法》的规定，就共同举办以甲方为承办单位、乙方为赛事运营与推广方的马拉松事宜，达成合作协议，共同遵照执行。

NOW THEREFORE, parties hereto, on the basis of the principle of voluntariness and fairness, through amicable n egotiati on, in accorda nce with the Con tract Law of the People's Republic of China and the Sports Law of the people's Republic of China, have reached a cooperation agreement on jointly organizing the marathon in which party A as the host and party B as the operator and promoter. It is hereby agreed as follows for abide by:

一、赛事概况General View

1 ?赛事项目：男女全程马拉松、半程马拉松、一万米跑、五千米跑和健身跑。

Race Items: Male / female's marathon, Half marathon, 10,000 meters, 5,000 meters and fitness run.

5?竞赛办法：按照中国田径协会审定的最新田径竞赛规则和本届马拉松赛竞赛规程执行。

参赛规模： 全程马拉松项目7,000人，半程马拉松项目 8,000人，健身跑项目5,000人，

共计20,000人。

Participation scale: marathon 7,000 people, half marathon 8,000 people, fitness runing 5,000 people, total 20,000 people.

二、 合作方式 Cooperati on Means

1. 甲方作为赛事承办方，为赛事提供所必需的政府公共资源，并委托乙方负责该赛事及相 关系列活动的运营和推广工作。

Party A, as the host of maratho n, shall provide the n ecessary gover nment public resources for the petition, and entrust party B with the responsibility for the operation and promotion of the petition and related activities.

乙方负责赛事运营和推广工作并承担如下费用（赛事执行、赛事物料、赛事设备、赛 事公关、赛事前中后期宣传推广、工作人员差旅

费、嘉宾邀请的费用等） 。 Party B shall be resp on sible for the operati on and promoti on of the petiti on and shall un dertake the following costs and expenses （ the execution, material / equipment, public relations, propaga nda of pre-a nd post- peti on, staff travel fees, guest in vitati on expe nse, etc.）

三、 收益分配、账户管理和审计 Proceeds Distributio n, Ba nk Acou nt and Autit

1.

赛事营运和广告推广过程中所获得的收益， 甲方分

The proceeds from the operati on and advertis ing promoti on will be distributed as that party A 'distribution is __________________________ %; party B 'distribution is % and taxes are paid separately by each party.

The intellectual property rights of title, logo, audio / video data and other with respect to this marath on will be jointly owned by parties hereto.

2. 本届赛事设立专门银行账户，由甲乙双方共同监管。乙方投入资金、赞助广告收入和

选手报名费均应进入专门账户。赛事结束所有收入和开支进行必要的审计。

A special bank account shall be established for this marathon petition which be supervised join tly by parties hereto. The funds in vested by party B, reve nues from spon sor advertisme nt and player 'sen ter fee and other in e shall in ter into the bank acco unt. The audits of all revenue and expe nses will be n ecessary at the end of petiti on.

3. 乙方在该赛事相关商业收入与甲方进行分配时，甲方有权派出相关财务人员对赛事收益进行审计。Party A is reserve the right of con duct ing audit on the proceeds of petiti on by its finan cial pers onnel at the time of distributi on of mercial reve nue with respect to this

petiti on betwee n

party A and party B.

四、甲方的权利和义务Party A's Rights and Liabilities

1 ?负责赛事相关报批、备案等赛事审批工作，并在获得中国田径协会有关举办赛事的批准函后10日内向乙方提供副本。

Being liable for submission of approval, file keeping and other issues concerned the marathon, and shall, with in 10 days subseqe nt to acquireme nt of APPROV AL from China Athletics Associati on, provide party B with a copy of APPROV AL.

2 ?负责赛事组织委员会相关职能部门的筹备工作，包括实施比赛日程计划及相关工作人员的安排。

Being responsible for the preparation of the televant functional departments of the Organizing mittee, i ncludi ng the impleme ntati on of the petiti on schedule and related staff arra ngeme nts.

3 ?负责赛事期间的安全保卫、交通管制、秩序维护、应急处理、卫生监督、医疗救护、消防安监等赛事保障工作。

In the period of petition, be liable for the works of safety and security, traffic control, order maintenance, emergency handling, health supervision, medical rescue, fire fighting and so on.

4. 邀请政府有关领导参加开幕式、颁奖仪式等活动，安排甲方邀请的嘉宾及相关工作人员在赛事期间的住宿、交通等。

甲方为乙方邀请和接待的国外运动员、媒体记者等提供各种必要的协助和协调，包括办理出

入境手续等。

In vitati on and receptio n of releva nt gover nment leaders and officials of intern ati onal orga ni zati ons to attend the opening ceremony, award ceremony and other activities, in addtion to arrange the ac modati on / traffic and n ecessary services for the guests and staff therewith in vited by party A in the period of petiti on.

Party A provides the necessary assistance and coord ination of party B 'invitation and reception of foreig n players and media reporters, in clude, in ter alia, han dli ng exitg and en try

formalities, etc.

5. Party A shall enjoy the right of in e distribution of international marathon.

甲方享有国际马拉松赛事收益的分配权。

五、乙方的权利和义务Party B 'Rights and Liabilities

1 ?合约期内，乙方负责赛事市场开发，每年投资不少于—元(包括筹集赛事运营和推广

工作所需资金和赞助)。

Party B shall, in the period of con tract, be liable for market developme nt with annual in vestme nt not less than _ Yuan RMB, including the necessary funds for the operation / promotion of the petiti on and spon sorship.

2 ?乙方在马拉松赛事举办和运营过程中，应对—城市的经济发展做出贡献，包括招商引资、

促进旅游、餐饮住宿、商品采购和城市知名度的提高等活动。

Party B shall, in the process of holding and operation of marathon, make a contribution to the econo mic developme nt of city, in clude in ter alia, attract ing in vestme nt, promot ing tourists,

cateri ng and ac modati on, modity procureme nt and rais ing city popularity.

3. 负责编制及实施本赛事策划方案、预算方案等，包括市场开发方案、招商方案、活动方案、媒体整合方案等工作。有关马拉松赛事的宣传推广、广告赞助、比赛现场装饰搭建等事宜，经甲方书面同意后，乙方可以委托给第三方公司代为实施。

Being liable for the preparation and implementation of the schedules of plans and budget, etc. in cludi ng in ter alia, such schedules of market developme nt, attract ing mercha nt / in vestme nt, activities, media integration and other. Party B may, with the written consent of party A, entrust the third party to make the impleme ntatio n of the propaga nda promoti on, advertis ing spon sorship, petiti on on-side decorati on con struct ion and other works.

4. 负责竞赛组织方案策划、编制及实施工作，包括：

Responsible for the organization planning, preparation and implementation of petition, in cludi ng:

(1)赛事运营和报名系统的软件和网站开发、使用及各项流程数据的统计工作；

The development and usage of the software and wibesite for petion operation / registration system in additi on to the data statistics in whole precedures.

(2)赛事运营和宣传广告用品的采购、现场装饰搭建布展；

制作、发放、销售奖牌，奖杯，

证书，纪念品，赛事包，参赛服等。

The procureme nt of materials for the operati on and propagada / advertisme nt, on-site decorati on of exhibiti on; Make, issue and sell medals, trophies, certificates, souve nirs, player

'bag, athletes costumes and other.

(3)比赛期间车辆安排和摆渡车线路的规划、起终点功能区规划、赛时流程安排；志愿者岗位职责的计划、赛前培训及管理组织志愿者。

The arran geme nt of vehicle and pla nning of ferry route in the period of race; pla nning of function zones of start / fini sh; arran geme nt of race time schedule; pla nning of volun teer 'post liabilities; pre-race trai ning and man ageme nt of volun teers.

5. 乙方享有国际马拉松赛事共—年的全部运营权、商业开发权和收益分配权。

Party B shall enjoy the full rights of operation, mercial development and in e distribution of the international marathon for a total of years.

六、保密Con fide ntiality

合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一

方的书面同意，另一方不得泄露给任何第三方。

With in the validity period of con tract, parties hereto shall take proper measures to keep the materials or in formati on strictly con fide ntial. The other party shall not disclose or divulge to any third party without prior writte n consent of one party.

七、报批Submissi on for Approval

关于履行本合同所需办理相关管理机构的报批、报备手续，各方应按照本协议约定的工

作分工各自负责相关报批、报备程序中的具体工作。如果由乙方作为申报主体的报批、报备

手续，甲方应当在行政职权范围内给予必要协助。

With regard to the approval and fili ng procedures of the releva nt admi nistrative authotities which required for the performa nee hereof, each party hereto shall, as per the agreeme nt here in, be resp on sible for pleti on of its specific work with respect to the approval and fili ng procedures.

Provided that party B will be a principle part of application for approval and filing procedures, party A shall ren der n ecessary assista nee with in scope of its adm ini strative authority.

八、违约责任Resp on sibilities for Breach

甲方承诺在合作期限内本协议项下所涉及赛事项目仅与乙方独家合作；乙方承诺将按照

协议约定的目标和规模运营该赛事。如果甲方违约，应向乙方支付违约金_ 美元；如果乙

方违约应向甲方支付违约金_ 元。

Party A undertakes, in the period of cooperation, to cooperate exclusive with party B on the petiti on project which is concerned herewith; and party B un dertakes to operate this

peti on as

per the objectives and scale agreed upon here in. Where party A breach the con tract, shall pay party B a pen alty in US dollars; and party B breach the con tract, shall pay party A a pen alty of

in US dollars.

九、适用法律及争议解决Applicable Law and Settleme nt of Dispute

1 ?本协议的签订、效力、解释及执行，均适用中华人民共和国的法律。

The sig nature, validity, i nterpretati on and executi on hereof shall be governed by the laws of the people's Republic of China.

2 ?甲乙双方应严格遵守本协议的规定，并履行各自的义务。如果因履行本协议而产生的任

何争议，双方应当友好协商解决；如协商不成或任何一方不愿协商的，任何一方均可向被告

所在地的具有管辖权的法院提起民事诉讼。

Parties hereto shall strictly abide by the provisions hereof and fulfill their respective obligations. Provided that any dispute which arise out of or in consequenee of performanee hereof, parties hereto should make settleme nt through amicable n egotiati on; where no reasult by n egotiati on or any party is unwilling to do so, either party may lodge a civil litigation to the petant court at local of defe ndent.

1.本协议自签字盖章之日起生效。本协议一式三份，具有同等法律效力。甲方、乙方各
