Delivery of the Goods shall be made by the Seller to the Buyer at the location set forth in Exhibit A on or before the date set forth in Exhibit A.
V. PAYMENT
Payment for the Goods shall be made by the Buyer to the Seller on or before the date set forth in Exhibit A.
VI. WARRANTIES
The Seller warrants to the Buyer that the Goods will be delivered free from any defects in material or workmanship.
VII. INTELLECTUAL PROPERTY RIGHTS
The Parties acknowledge that all intellectual property rights associated with the Goods are the property of the Seller, and the Buyer shall have no right or license to use or exploit any intellectual property rights associated with the Goods.
VIII. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.
IX. ARBITRATION
Any disputes arising under or in connection with this Contract shall be settled by arbitration in accordance with the China International Economic and Trade Arbitration Commission (CIETAC) Arbitration Rules.
X. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, and agreements between the Parties with respect to the subject matter of this Contract.
XI. AMENDMENTS
This Contract may not be amended except in writing executed by both Parties.
XII. SUCCESSORS AND ASSIGNS
This Contract shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and assigns.
