Purchase Agreement
This Purchase Agreement (the "Agreement") is entered into as of [date] (the "Effective Date") by and between [Party A], a [company or individual] organized under the laws of [jurisdiction], with its principal place of business at [address] ("Seller"), and [Party B], a [company or individual] organized under the laws of [jurisdiction], with its principal place of business at [address] ("Buyer"), collectively referred to as the "Parties."
WHEREAS, Seller desires to sell, and Buyer desires to purchase the products or goods described in Exhibit A attached hereto (the "Products") subject to the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. Identity of the Parties. The Parties hereby represent and warrant that they have full power and authority to enter into this Agreement and to perform their respective obligations hereunder. The Parties hereby disclose their identity as follows:

2. Products. Seller agrees to sell and deliver to Buyer the Products in accordance with the terms and conditions of this Agreement. The Products shall be delivered to Buyer at the location specified in Exhibit A.
3. Price. Buyer agrees to pay the purchase price for the Products specified in Exhibit A.
4. Payment. Buyer shall pay the purchase price to Seller in accordance with the terms specified in Exhibit A. In the event that Buyer fails to pay the purchase price in accordance with the terms of this Agreement, Seller shall have the right to terminate this Agreement or pursue any other remedies available under applicable law.
5. Delivery. The Products shall be delivered by Seller to Buyer in accordance with the delivery terms specified in Exhibit A.
6. Inspection and Acceptance. Buyer may inspect the Products upon delivery and shall have the right to reject any Products that fail to conform to the specifications set forth in Exhibit A. Rejected Products shall be returned to Seller at Seller's expense. If Buyer does not notify Seller of any defect or
non-conformity within [number of days] days after delivery, the Products shall be deemed to be accepted by Buyer.
7. Warranties. Seller hereby represents and warrants that the Products shall conform to the specifications set forth in Exhibit A. Seller further warrants that the Products shall be free from defects in material and workmanship for a period of [number of days] days from the date of delivery.
8. Limitation of Liability. In no event shall either Party be liable to the other for any special, indirect, incidental, or consequential damages arising out of or relating to this Agreement, whether in contract, tort, or otherwise.
9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.
10. Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, understandings, and agreements between the Parties.
11. Amendments. No amendment or modification of this Agreement shall be valid or binding unless in writing and signed by both Parties.
12. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
