企业集团公司的管理体制研究

摘要：随着经济的发展和国家经济体制改革的深化,我国企业结构正在发生巨大变革。市场经济的发展使得竞争的加剧，因此不少企业以不同形式进行联合,增加成员单位,形成强有力的专业化,建立起企业集团公司。企业集团公司管理体制主要包括战略、产权、投资、人事和财务管理等方面。企业的管理体制并不是完美无缺的，经过研究发现存在着母子公司不正当交易，财务管理失控，内部管理以行政控制为主，权利分配出现矛盾等问题。要改进和完善我国企业集团公司治理,应该建立和完善母公司的功能，处理好集团内部的集权与分权，绝对控制公司的核心业务，努力调整政府与企业的关系等，这样对于我国其他企业集团公司的发展也提供借鉴。

【Abstract】With the development of economy and the deepening of national economic system reform, our country’s enterprise structure is undergoing tremendous changes. The development of market economy makes the competition stronger, so many enterprises in various forms of join with each other, increase the members, formed a strong professional and set up enterprise group co., LTD. Enterprise group management system mainly includes the strategy management, property rights management, investment management, personnel and finance management, etc. Enterprise management system is not perfect, through the research found that there exists many problems such as a parent-subsidiary unfair trade, financial management out of control ,internal management is given priority to with administrative controls and power distribution appears antinomy, etc. To improve and perfect our country corporate governance, enterprise group should establish and perfect the function of the parent company, deal with the group's internal centralization and decentralization, absolute control over the company's core business, to adjust the relationship between government and enterprises, etc., this also important to the development of the other enterprise group in our country .
