Letter of Commitment

1. 供应商承诺，在本承诺书做出后至I.C.G Business Ventures. Ltd销售我方**产品的整个期间，未经I.C.G Business Ventures. Ltd同意，我方不得直接与I.C.G Business Ventures. Ltd相关联的客户或任何其他顾客、人与公司以任何方式就**产品进行直接销售或者进行与销售相关的任何协商或者谈判。

2. 承诺，在本承诺书做出后至I.C.G Business Ventures. Ltd销售我方**产品的整个期间，未经I.C.G Business Ventures. Ltd同意，不得直接将**产品的外观、性能等各类信息提供给任何与I.C.G Business Ventures. Ltd相关联的客户或任何其他顾客、人与公司。

2. The Supplier hereby makes the commitments that, without the consent of

I.C.G Business Ventures. Ltd after making this Letter of Commitment to the whole period of I.C.G Business Ventures. Ltd selling our * * products, he shall not directly provide product appearance, performance, and other kinds of information to any associated customers of I.C.G Business Ventures. Ltd. or to any other clients, people, company.

3. 供应商承诺，对与I.C.G Business Ventures. Ltd销售的相关事宜承担保密的义务。保密的范围包括但不限于商业信息、资料、文件、设计、费用、合同。3. The Supplier will undertake the obligation to keep confidential about related matters of * * product sales. 4. 供应商承诺，及时、全面地向I.C.G Business Ventures. Ltd公司披露主动与我方接触的客户的信息和资料，以利于I.C.G Business Ventures. Ltd及时与客户取得联系；并应当积极配合I.C.G Business Ventures. Ltd及其所指派人对相关事宜进行调查工作。

4. The Supplier hereby makes the commitments that, disclose information and

data of customers who take the initiative to contact with us to I.C.G Business Ventures. Ltd in a timely and comprehensive manner, to facilitate I.C.G Business Ventures. Ltd promptly get in touch with the customers; And shall actively cooperate with I.C.G Business Ventures. Ltd and its assigned people to investigate the relevant matters.

5. 承诺并保证本承诺书能够对双方具有法律约束力；签订和履行该承诺书已经获得一切必需的授权，本承诺具有法律约束力。

5. The Supplier hereby promises and guarantee that this Letter of Commitment can be legally binding upon both parties; Signing and fulfilling this Letter of Commitment has obtained all necessary authorization, it is legally binding.

本承诺书并不限制我方与非关联于I.C.G Business Ventures. Ltd的客户进行商业来往。

This Letter of Commitment does not limit our business dealings with

non-relevant customers of I.C.G Business Ventures. Ltd.

若我方违背上述承诺，I.C.G Business Ventures. Ltd有权在其所在地法院向我方提起诉讼，我方愿意在弥补其实际损失的基础上，承担最低2万元的惩罚性违约金。

If we violate the above commitments, I.C.G Business Ventures. Ltd shall have the right to bring a suit against us in its located court, we shall be willingly to pay minimum RMB 20,000 of punitive liquidated damages on the basis of making up for its actual losses.
