International Trade Contract

Article 1: Basic information
Party A and Party B agree to establish a business partnership through this International Trade Contract. Party A and Party B shall fulfill the terms and conditions of this contract in good faith and with mutual respect.
Article 2: Identity and Obligations of Parties
2.1 Party A shall provide Party B with [goods/services] within the stipulated period. Party B shall pay the full amount of the contract value to Party A within [x] days upon receipt of the goods/services, as specified in the shipping documents.
2.2 The goods/services provided by Party A shall conform to the relevant provisions of the [Chinese/foreign] laws, regulations,

Article 3: Performance Method, Term, and Termination

3.2 Term: This contract shall be effective from the date of the signing of the contract and shall remain in force until the parties fulfill all the terms of the contract.
3.3 Termination: This contract may be terminated by either Party A or Party B under the following conditions:
3.3.1 One of the parties breaches the contract, and the breach cannot be remedied within [x] days;
3.3.2 One of the parties breaches the contract, and the other party requires the termination of the contract;
3.3.3 One of the parties declares bankruptcy or is dissolved;

Article 4: Breach of Contract Liability
4.1 If Party A fails to ship the goods on time, Party A shall pay Party B for liquidated damages equal to [x]% of the total contract value for each day of delay.
4.2 If Party B fails to make payment on time, Party B shall pay liquidated damages equal to [x]% of the overdue amount for each day of delay.
4.3 If Party A delivers goods that do not meet the quality requirements or violate relevant laws and regulations, Party A shall bear all the losses and legal responsibilities.
4.4 If Party B refuses to accept the goods or services provided by Party A, Party A shall be entitled to terminate this contract, and Party B shall bear the legal responsibilities.
Article 5: Relevant Laws and Regulations
This contract shall be subject to and construed in accordance with the laws and regulations of the People's Republic of China. Any disputes arising from this contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration in Beijing in accordance with the latest effective arbitration rules. The arbitration award shall be final and binding on both parties.
Article 6: Effectiveness and Execution
6.1 This International Trade Contract shall become effective after the parties have signed or affixed their seals.
