经甲乙双方友好协商,就中石油煤层气保德区块地面工程合作经营事宜,自愿达成如下协议,以资信守:
一、合伙宗旨:共同合作、合法经营、利益共享、风险共担。
二、合作经营项目:中石油煤层气保德区块地面建设工程。
三、合作经营地点:山西省保德县。
四、出资金额方式:期限垫付。
1、甲方以现金方式出资200万元;乙方以现金方式出资200万元(主要用于补足前任合伙人撤资款项)。
2、合同签订之日乙方向甲方交付100万元投资款,剩余100万元乙方须在2012年3月31日前全额到位。
3、2012年3月31日前应付前任合伙人撤资的17万利息,双方各承担8.5万元。
