8. Entire Agreement

The Principal shall indemnify the Agent against any claims arising out of the Principal's breach of this Agreement or any negligence on the Principal's part that causes harm to the Agent.VIII. This irrevocable Agreement is a supplement on commission of the sale contract (reference No. 1008-01,1112-01.1112-02) between Rumit international customer –Aries Dyechem, Aries Organics Pvt. Ltd and Hindprakash, and Chongqing Fuyuan Chemical CO. Ltd whereas Party A and Party B shall abide by the following terms:
mission amount: The total amount on contract (reference No. 1008-01, 1112-01,1112-02)
is USD 101,875.00, among which USD 2,625.00 (say two thousand six hundred twenty five US dollars) is the irrevocable commission to Party A.
2.Transaction agreement: During the trasaction (reference No. 1008-01,1112-01,1112-02), Party
B only contacts Party A, and vise verse, Party B will commit not to contact directly the Party
A’s Buyer.
mission remittance: Party B will transfer the said commission (USD2,625.00) to Party
A’s nominated bank account within 3 working days after Party B receives notice from its bank that USD 101,875.00 is settled down by Party A’s customer.
4.Work scale: Party A shall provide Party B correct company contacts and bank Account and
deal with the end buyer on behalf of Party B. Otherwise, Party B is not responsible for
commission payment.
5.Bank charges: All bank charges inside China will be paid by Party B, and inside India will be
paid by Party A.
6.Arbitration: Any disputes in connection with this Agreement to be settled Amicably shall be
referred to the India International Arbitration Center (IIAC). The arbitration fee and other charges shall be borne by the losing party unless otherwise agreed.
