六、违约处理（1）因乙方不能及时履行合同所规定的服务条款，并对甲方工作造成严重延误时，甲方有权终止合同。
（2）因乙方工作失误导致甲方设备损坏，乙方应赔偿甲方相应零件并负责修复工作。
（3）甲方未能按本合同条款3的规定及时付款时，乙方可解除合同并保留追缴甲方欠款的权利。
（4）甲方允许非乙方技术人员维修、维护、拆卸设备及附件或造成设备损坏，本合同自行作废。
七、说明（1）本合同中所述的“工作小时”是指法定工作日的9：00-17：00时段内的每一小时。
（2）甲方的名称、地址、电话、指定设备负责人等资料如有变更，请及时通知乙方否则将会造成甲方利益的损失。

This agreement is made between the Party A and Party B according to Contract Law of the People's Republic of China and related laws. Whereby the Party B agrees to maintain and repair the equipment under-mentioned and guarantee the quality to Party A.第一条标的物 Subject Matter1．乙方收到设备后对设备进行校准维护。
Party B shall repair and maintain the equipment after receipt of it.2．协议维修期限内维修完毕后乙方寄给甲方，并以书面的方式通知甲方。
协议维修期为六个月，自签订日期算起。
如超越期限未履行完毕维修义务的，甲方有权解除协议另行委托第三方维修且由此产生的维修费用和乙方迟延履行义务给甲方造成的损失均因由乙方承担。
Party B shall dispatch the equipment and give a written notice to Party A after repair and maintenance. The time for repair and maintenance is six months starting from date of this agreement signed by both parties. Party A shall have the right to cancel the Agreement and invite the Third Party to repair the equipment if Party B cannot finish the performance within the time for repair and maintenance and all the expenses and other necessary expenses required incurred therefore shall be borne by Party B.3. 乙方为甲方提供的更换部件必须保证为原装部件，如有特殊情况，乙方需在与甲方协商认同后更换与原部件应用功能与技术指标相近的部件。
Party B shall guarantee the replacement accessories are factory original ones. Under special circumstances, Party B shall replace the accessories with those that have similar performance and specifications to factory original ones upon the agreement of the Party A4. 如果乙方为甲方更换的部件在三个月保修期内损坏（收到设备当天算起），乙方需为甲方免费更换、维修。
Guarantee Time is three months starting from date of receipt of equipment by Party A. Party B shall replace the damaged replacement accessories within the guarantee period and bear all expenses incurred.第三条甲方义务 Obligation of Party A1．甲方在协议设备出现故障后，及时通知乙方。
Party A shall timely notify Party B when the equipment trouble occurs.2．甲方不能使用未经乙方认可的，非原厂的零配件、消耗品，否则产生的设备故障，乙方不承担责任。
Party B shall not bear the responsibility for the equipment troubles when Party A uses non-factory original accessories and/or parts without the agreement of the Party B.3．未经乙方认可，甲方不得邀请第三方单位对协议设备进行维修，否则乙方不承担由此产生的后果和责任。
Party B shall not bear the responsibility and consequence when Party A invites Third Party to repair the equipment without the agreement of the Party B.4．甲方不得对合同设备进行私自拆卸，否则由甲方承担所造成的全部损失。
Party A shall bear all the responsibility and consequence for disassembling the equipment without the agreement of the Party B.第四条结算金额及方式 Payment Terms甲方在收到维修好的设备后应在两周内完成验收工作，一个月内完成付款。
Part A shall pay the actual expense for repair and maintenance to Party B. After arrival of the equipment, Party A shall do the inspection within two weeks and pay within a month.第五条争议的解决 Settlement of Dispute1、协议的订立、效力、解释、履行、终止及争议的解决均受中华人民共和国（不包括香港、台湾、澳门）法律管辖。
如果本协议中有无法执行的条款，双方应根据原条款的真实意图及经济后果另立新的款项。
The conclusion, validity, explanation, performance, termination, and dispute settlement of the Agreement are to be subject to the laws of the People’s Republic of China with Hong Kong, Taiwan and Macao being excluded. If the Agreement can not be implemented in the terms, the new terms to this Agreement shall be agreed in writing by both Parties and shall refer to this Agreement.2、因执行本协议而引起的或与本协议有关的一切争议，双方应友好协商解决并签订补充协议。
无法协商一致的，任何一方均可将争议提交中国国际经济贸易仲裁委员会华南分会，根据该会仲裁程序进行仲裁。
