2.3 con seque nces of in accuracy in Represe ntatio nsif any of the above representations and warranties of a Party are not accurate in all material respects on the date hereof, the n such Party shall be in breach of this Con tract.如果在本合同签订日，一方的上述陈述和担保的任何一项与实际情况有实质性不符，则构成该方违约。
